are held on the second and fourth Tuesday at 3:00 p.m. Public hearings are held at
7:00 p.m. on the fourth Tuesday of each month. Deviations from this schedule will be

ISSUE:
Request from Richfield Living to issue up to $99 million of tax exempt bonds through the
Economic Development Authority
BACKGROUND:
The Economic Development Authority (EDA) is empowered, under state law, to issue
revenue bonds to assist in financing certain types of facilities, subject to requirements
and limitations imposed under the Internal Revenue Code of 1986, Chapters 49 and 50
of Title 15.2 of the Code of Virginia. Projects eligible for financing through the EDA
may include, but are not limited to, the following types of facilities owned by qualified
501(c)(3) organizations:
· Medical or research facilities
· Small manufacturing facilities
· Parking facilities
· Higher education facilities
· School facilities
· Headquarters or other facilities for 501c3 organizations
When issuing its revenue bonds, the EDA serves solely as a conduit between the
borrower and a third-

secure a funding source (i.e., a purchaser for the bonds) and make payments on the
bonds. Under state law, any bonds issued by the EDA do not constitute a debt or a
pledge of the faith and credit of the EDA, Roanoke County or the Commonwealth of
Virginia.
DISCUSSION:
Richfield Living is proposing to significantly alter their existing operations through a
combination of new construction, demolition/construction and renovation. The re-
developed site will add 140 independent living units and reduce nursing beds by 181.
Nursing home beds reduced at the Glenvar facility will be replaced through new
construction at a site in the region.
in tax exempt bond financing. The total of the project funded with bonds is currently
expected to be approximately $85 million. Project funding for development and
construction related expenses comprise approximately $62 million of the total costs.
Approximately $23 million is related to the retirement of existing bonds, bank issued
loans and debt issuance costs. The remaining amount was recommended by Richfield
things, including discount bonds and additional increases in interest rates.
Richfield Living is the issuer of the debt and is solely responsible for the debt obligation.
The EDA is the conduit for the issuance of tax exempt debt only. Any debt issued by
Richfield Living and authorized by the EDA for this project has no bearing on the
inancial condition or debt obligations.
The Roanoke County Economic Development Authority held a public hearing and
authorized the sale of these bonds at their meeting on October 24, 2018.
FISCAL IMPACT:
The approval of this resolution will not have any financial impact on the County. The
bond sale is scheduled to close before December 31, 2018, and will not have any
impact on the bank qualification of debt we may issue in calendar year 2019.
STAFF RECOMMENDATION:
Staff recommends approving the attached resolution that will allow Richfield Living to
sell up to $99 million of non-taxable bonds through the Roanoke County Economic
Development Authority.

RESOLUTION OF THE BOARD OF SUPERVISORS OF THE COUNTY
OF ROANOKE, VIRGINIA APPROVING THE ISSUANCE OF REVENUE
BONDS BY THE ECONOMIC DEVELOPMENT AUTHORITY IN AN
AGGREGATE AMOUNT NOT TO EXCEED $99,000,000 FOR THE
BENEFIT OF RICHFIELD LIVING
WHEREAS, the Economic Development Authority of Roanoke County, Virginia
(the "Authority"), has approved the application of Richfield Living (the "Organization"), a
Virginia nonstock corporation, whose primary business address is 3615 West Main
Street, Salem, Virginia 24153 (the approximately 50 acres of land within the County of
Roanoke, Virginia, owned by the Organization at and adjacent to such address being
referred to as the "Campus"), requesting that the Authority issue up to $99,000,000 of
its revenue bonds in one or more series at one time or from time to time (the "Bonds")
and loan the proceeds of the Bonds to the Organization:
(1) to refinance the Authority's Revenue Bonds (Richfield Retirement
Community), Series 2008B (Tax-Exempt), the proceeds of which were used to finance
or refinance, in whole or in part:
(a) the acquisition, construction and equipping of an assisted living
facility located at 3939 Daugherty Road on the Campus,
(b) the construction and equipping of an assisted living facility located
at 3706 Knollridge Road on the Campus,
(c) the construction and equipping of a professional building located at
3737 West Main Street on the Campus,

(d) the construction and equipping of two buildings, each comprising
residential units for use as facilities for the residence of the aged
located on the Campus, and
(e) other costs associated with the foregoing, including, without
limitation, costs of issuance, credit enhancements, capitalized
interest and working capital;
(2) to refinance a taxable loan from Branch Banking and Trust Company, the
proceeds of which were used to finance or refinance, in whole or in part:
(a) the renovation and construction of a former assisted living building
into a short-term rehabilitation facility;
(b) renovation of and improvements to common areas in The Oaks
assisted living facility on the Campus; and
(c) paying certain costs and expenses associated with the loan.
(3) to refinance a taxable line of credit from Branch Banking and Trust
Company, the proceeds of which were used to interim finance or refinance, in whole or
in part the costs financed and refinanced under (2) above, routine maintenance
expenses on the Campus and other Campus-related improvements;
(4) to finance the acquisition, construction, demolition, renovation and
equipping of various buildings on the Campus, including the construction of new
independent living units, the reconfiguration of a transitional care facility and a
replacement nursing facility, all located on the Campus; and
(5) to finance, if and as needed, capitalized interest on the Bonds, a debt
service reserve fund for the Bonds, costs of issuance related to the issuance of the

Bonds, working capital, routine capital expenditures at the Campus and other related
costs (collectively (1) (5) above, the "Plan of Finance"); and
WHEREAS, the Authority held a public hearing on October 24, 2018, regarding
the Plan of Finance; and
WHEREAS, Section 147(f) of the Internal Revenue Code of 1986, as amended
(the "Code"), provides that the governmental unit having jurisdiction over the issuer of
private activity bonds and over the area in which any facility financed with the proceeds
of private activity bonds is located must approve the issuance of the bonds and Section
15.2-4906 of the Industrial Development and Revenue Bond Act, Chapter 49, Title 15.2,
Code of Virginia of 1950, as amended (the "Act"), sets forth the procedure for such
approval; and
WHEREAS, the Authority issues its bonds on behalf of the County of Roanoke,
Virginia (the "County"), and the facilities to be financed and refinanced with the
proceeds of the Bonds are located in the County and the Board of Supervisors of the
County of Roanoke, Virginia (the "Board"), constitutes the highest elected governmental
unit of the County; and
WHEREAS, the Authority has recommended that the Board approve the Plan of
Finance and the issuance of the Bonds, solely to the extent required by Section 147(f)
of the Code and Section 15.2-4906 of the Act; and
WHEREAS, a copy of the Authority's inducement resolution approving the
issuance of the Bonds, subject to the terms to be agreed upon, a certificate of the public
hearing and a Fiscal Impact Statement have been filed with the Board.

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS
OF THE COUNTY OF ROANOKE, VIRGINIA:
1. Subject to paragraph (2) below, the Board hereby approves the issuance of
the Bonds, in an aggregate principal amount up to $99,000,000, by the Authority for the
benefit of the Organization, solely to the extent required by Section 147(f) of the Code
and Section 15.2-4906 of the Act, to permit the Authority to assist in accomplishing the
Plan of Finance.
2. No Bonds shall be issued after December 31, 2018, unless a subsequent
authorization is provided by the Board.
3. The approval of the issuance of the Bonds does not constitute an
endorsement to a prospective purchaser of the Bonds of the creditworthiness of the
Plan of Finance or the Organization. In accordance with the Act, the Bonds shall not be
deemed to constitute a debt or a pledge of the faith and credit or taxing power of the
Commonwealth of Virginia or any political subdivision thereof, including the Authority
and the County.
4. This resolution shall take effect immediately upon its adoption.

ISSUE:
Enact an ordinance authorizing a public sanitary sewer easement at 20 Verndale Drive
in the Hollins Magisterial District
BACKGROUND:
Brookside Park is located at 20 Verndale Drive in the Hollins Magisterial District, tax ID
number 038.07-02-29.00-0000. The park currently has a public sanitary sewer line with
two man holes for access to the sewer line. This particular sewer line has reached its
capacity for the community it serves.
DISCUSSION:
The Western Virginia Water Authority (WVWA) has requested a public sanitary sewer
and a temporary construction easement for 20 Verndale Drive. This will allow WVWA to
install a new parallel sewer line to increase the sanitary sewer system hydraulic
capacity and mitigate wet weather overflows in this area. The project will replace a
failing, undersized sewer line with a new larger line. The total impacted area is 3897
square feet or 0.0895 acres. The 10 foot temporary construction easement will impact
5990 square feet or 0.1375 acres. This project will not have an effect on the use of
Brookside Park. The easement will traverse the passive open space of the park. The

work is scheduled for the December of 2018 through January, 2019.
FISCAL IMPACT:
There is no fiscal impact for the easement.

Staff recommends approval of the first reading of the ordinance and second reading for
November 20, 2018.

ORDINANCE AUTHORIZING CONVEYANCE OF A PUBLIC SANITARY
EASEMENT TO THE WESTERN VIRGINA WATER AUTHORITY ON
PROPERTY OWNED BY THE ROANOKE COUNTY BOARD OF
SUPERVISORS LOCATED AT 20 VERNDALE DRIVE, HOLLINS
MAGISTERIAL DISTRICT
WHEREAS, the Western Virginia Water Authority (WVWA) requires a 3,897 square
foot easement for an underground sanitary sewer extension and a ten (10) foot temporary
construction easement within Brookside Park, located at 20 Verndale Drive (Tax Map No.
038.07-02-29.00-0000) in the Hollins Magisterial District; and
WHEREAS, the park currently has a public sanitary sewer line that has reached its
capacity for the community it serves and must be expanded; and
Construction Easement Being Granted by Roanoke County Board of Supervisors to the
Western Virginia Water Authority Situated at 20 Verndale Drive, Hollins Magisterial District,
Thomas Ogle, Jr., on August 22, 2018; and
WHEREAS, the proposed easement will allow WVWA to install a new parallel sewer
line to increase the sanitary sewer system hydraulic capacity and mitigate wet weather
overflows in the area. It will serve the interests of the public and is necessary for the public
health, safety, and welfare of the citizens of Roanoke County; and
WHEREAS, pursuant to the provisions of Section 18.04 of the Roanoke County
Charter, the acquisition and disposition of real estate can be authorized only by ordinance.

A first reading of this ordinance was held on November 7, 2018, and a second reading and
was held on November 20, 2018.
THEREFORE, BE IT ORDAINED by the Board of Supervisors of Roanoke County,
Virginia, as follows:
1. That pursuant to the provisions of Section 16.01 of the Roanoke County
Charter, the interest in real estate to be conveyed is hereby declared to be surplus, and is
hereby made available for other public uses by conveyance to WVWA for the provision of
sanitary sewer service.
2. That donation to WVWA of a 3,897 square foot variable width easement and
for an underground sanitary sewer extension and
related improvements, within the easement area desig

the Hollins Magisterial District, is hereby authorized and approved.
3. That the County Administrator, or any Assistant County Administrator, is
hereby authorized to execute such documents and take such further actions as may be
necessary to accomplish this conveyance, all of which shall be on form approved by the
County Attorney.
4. That this ordinance shall be effective on and from the date of its adoption.

ISSUE:
Creation and acceptance of a new ten foot (10') private water line easement crossing
the property of William Byrd LLC
BACKGROUND:
The 17.8 acre William Byrd property consists of two (2) parcels owned by the Roanoke
County Board of Supervisors (Lot A1-A, 11.335 Acres) and William Byrd LLC (Lot B1,
6.494 acres). Lot B1 was conveyed by the Board of Supervisors to William Byrd LLC
for the redevelopment of the property on May 23, 2017. The existing water line serving
both parcels requires the following action to issue a certificate of occupancy for William
Byrd LLC's new construction project:
- Defining and clarifying a twenty foot (20') public easement from Gus Nicks Boulevard
to the existing water meter (140' +/- of public water line) on the William Byrd LLC
property.
- Creation and acceptance of a new ten foot (10') private water line easement crossing
the property of William Byrd LLC to access Roanoke County's parcel, Lot A-1A.

DISCUSSION:
The Town of Vinton Public Works requires the clarification of the public easement
shown on the attached plat. The creation of the new private water line easement over
the existing water line allows Roanoke County to make improvements to the water line,
as needed in the future.
There have been no changes since the first reading of the ordinance held on October
23, 2018.
FISCAL IMPACT:
There is no fiscal impact to the easement acceptance.

endangers or interferes with the proper use of the same. The Grantor covenants that no building
or structure shall be erected upon or within the easement herein granted or placed in such
location as to render said easement inaccessible. In the event that this covenant is violated, the
Grantee shall not be obligated to repair, replace, or otherwise be responsible for such
improvements if damaged or removed.
The fixtures, facilities, lines, utilities, and any other improvements placed upon, under, or
across the Property by the Grantee shall remain the property of the Grantee. The easement
herein granted is in addition to, and not in lieu of, any easement or right-of-way now in existence
or which may be acquired in the future.
The Grantor covenants and agrees for themselves, and for their heirs, successors,
successors in title, executors, legal representatives and assigns that the consideration
aforementioned and the covenants herein shall be in lieu of any and all claims to compensation
and damages by reason of the location, operation, maintenance, or reconstruction of or within the
easement herein granted.
The grant and provision of this Easement Agreement shall constitute a covenant running
with the land for the benefit of the Grantee, its successors and assigns forever.

WHEREAS, Roanoke County has requested that WM Byrd LLC grant the County
a new across its property located at 100
Highland Road (Tax Map No. 060.11-04-20.00), in the Vinton Magisterial District; and
WHEREAS, the County owns property located at 156 Highland Road, adjacent to
100 Highland Road; the water line easement will enable the County to make
improvements, as needed, to the water line providing service to its property at 156
Highland Road; and
WHEREAS, Section 18.04 of the Roanoke County Charter directs that the
acquisition and conveyance of real estate interests be accomplished by ordinance; the
first reading of this ordinance was held on October 23, 2018, and the second reading was
held on November 7, 2018.

ISSUE:
Proposed amendment to the lease between Roanoke County and the Bent Mountain
Center, Inc. (Tenant) to eliminate an exclusion to use for any elementary or secondary
school purpose. Additionally, the amendment will provide that both the County and
Tenant maintain the same ability to terminate the lease or reduce the scope of leased
space.
BACKGROUND:
The County assumed possession of the former Bent Mountain Elementary School in
2012. In January of 2013, the County entered into a lease agreement with the Bent
Mountain Center, Inc. for use of defined sections of the building and grounds as a
Community Center.
The following changes to the lease agreement are proposed in this amendment:
1. Modify to eliminate exclusion of use for an elementary or secondary school
purpose. The Center continues to seek out opportunities to expand programs
and utilization of the facility and has requested consideration to sublet a portion
of the facility to the Bent Mountain Christian Academy, a small private school
located at 2226 Colonial Avenue, Roanoke, VA 24015.

2. Modify to provide that either the County or Tenant, at their sole discretion, may
cancel or reduce the scope of the Leased Premises with one hundred eighty
(180) days written notice to the other. The current lease provides only the
Tenant the option to cancel or reduce the scope with written notification of thirty
(30) days.
3. Modify to expand the Leased Premises as shown in the revised Exhibit A.
DISCUSSION:
The proposed amendment will allow the Tenant to broaden utilization opportunities for
an existing sublet prospect.
The Amendment will also provide both the County and Tenant with the ability to address
future needs for reducing the scope of leased space or cancellation.
The attached draft lease amendment addresses the proposed changes outlined above.
There have been two changes to the amendment and ordinance since the first reading:
1. The existing lease specifies that the provision of heating and cooling systems are
the responsibility of the County. The amendment clarifies that the County will not
be responsible for heating and cooling systems for the Additional Leased
Premises provided by this action.
2. Modification for clarification purposes only that the existing lease specifies in
Section 18, RESERVED RIGHTS that the Tenant may cancel or reduce the use
of the Leased Premises with thirty (30) days written notification. The actual
revisions to the provide for either party to cancel or reduce the physical Leased
Premises with one hundred eighty (180) days written notification is unchanged.
FISCAL IMPACT:
There is no direct fiscal impact from this action, however any future sublet rents
collected are required per the existing lease to be utilized for the ongoing operations
and maintenance costs for the leased premises.

ISSUE:
Locality support in the form of a Resolution of Endorsement is required for a new VDOT
Comprehensive Roadside Management Program (CRMP) project proposed for the
Brambleton Triangle at the intersection of Brambleton Avenue and Electric Road.
BACKGROUND:
One Earth Landscapes, Inc., located at 3317 Brandon Avenue SW, proposes to
sponsor a landscaping project in the median triangle and the left turn lane median on
Brambleton Avenue. The existing landscaping is currently maintained by Roanoke
County Parks, Recreation and Tourism, utilizing an inmate crew. One Earth
Landscapes, Inc. proposes to trim back and leave the existing trees and bushes in
place while adding several new plant beds around the landscaping in the triangle. The
bushes in the median strip on Brambleton Avenue will be trimmed back and mulched.
Two signs recognizing One Earth Landscapes, Inc. and One Earth Mulch, Inc. will be
installed.
The program requires that at least $7,500 be spent on landscaping projects located
within VDOT right-of-way over the course of five (5) years. In exchange for the financial
support of the local governing body with the adoption of a Resolution of Endorsement.

Roanoke County acts as a facilitator between VDOT and the sponsors.
The Board of Supervisors has approved six CRMP projects since 2012. This project
implements the 2005 Roanoke County Community Plan.

Department for the use as a detection K-9.
DISCUSSION:
The Police Department has been offered a donation from the Roanoke County Police
Foundation of an eighteen month old German Shepherd (named Ordi) to the Police
Department for use as a detection K-9. The value of the canine is approximately $6,000.
The Police Department intends to assign Ordi to a police officer handler in the K-9 Unit
where she will be trained as an explosives detection K-9.
FISCAL IMPACT:
The Police Department will supply necessary training, equipment, and a vehicle from its
existing funds. No additional funding is requested.

governing body cannot convene due to \[a\] disaster or other exigent circumstances, the
\[local\] director \[of emergency services\] . . . may declare the existence of a local
emergency, subject to confirmation by the governing body at its next regularly scheduled
meeting or at a special meeting within fourteen days of the declaration, whichever occurs
first; and
WHEREAS, in conformity with the Commonwealth of Virginia Emergency Services
and Disaster Law of 2000 (Virginia Code Section 44-146.13 et seq.), the Board of
Supervisors by adoption of Resolution No. 111798-2, adopted an Emergency Operations
Plan for Roanoke County, and designated the County Administrator as the Director of
Emergency Services; and
WHEREAS, by virtue of the authority vested in him by Section 44-146.21, the

Recognition of the retirement of Diana C. Wilson
BACKGROUND:
Diana C. Wilson retired on November 1, 2018, after more than forty years of service
with Roanoke County.
Ms. Wilson is unable to attend today's meeting and her quilt and resolution will be
mailed to her home.

RESOLUTION EXPRESSING THE APPRECIATION OF THE BOARD OF
SUPERVISORS OF ROANOKE COUNTY TO DIANA C. WILSON,
ASSISTANT DIRECTOR OF INFORMATION TECHNOLOGY, UPON HER
RETIREMENT AFTER MORE THAN FORTY (40) YEARS OF SERVICE
WHEREAS, Ms. Wilson was employed by Roanoke County on May 22, 1978; and
WHEREAS, Ms. Wilson retired on November 1, 2018, after forty years and five
month of devoted, faithful and expert service to Roanoke County; and
WHEREAS, during Ms. Wils tenure she has served in the Roanoke County
Schools Data Processing Department, as a Computer Programmer, then as a Programmer
Analyst, a Lead Programmer Analyst, Systems Design/Programming Manager, Business
Architect, and Assistant Director of Information Technology for the County of Roanoke and
served with professionalism and dedication in providing services to the citizens of Roanoke
County;
WHEREAS, Ms. Wilson, through her employment with Roanoke County, has been
instrumental in improving the quality of life and providing services to the citizens of
Roanoke County; and
WHEREAS, as an applications
developer, served as systems analyst over business critical applications such as Personal
Property, Payroll/Human Resources, Utility Billing, Cashiering and Computer Aided
Dispatch systems. She led the successful Year 2000 (Y2K) Project that involved modifying
many lines of code in multiple business systems to ensure systems were operable for the
year 2000. Ms. Wilson also lead the multi-year migration from HP mainframe to client-
server computing which involved moving from in-house developed applications to the

purchase of off-the-shelf vendor solutions. As Business Architect she led development of
County web presence, and the first implementations of document and content
management solutions. As the Assistant Director or Information Technology, Ms. Wilson
recognized the County technical positions provided no career opportunities for staff to grow
within a specialty track. Working with Human Resources she developed career paths for
eight separate disciplines in the Technology Department; and
NOW, THEREFORE, BE IT RESOLVED that the Board of Supervisors of Roanoke
County expresses its deepest appreciation and the appreciation of the citizens of Roanoke
County to DIANA C. WILSON for more than forty years of capable, loyal and dedicated
service to Roanoke County; and
FURTHER, the Board of Supervisors does express its best wishes for a happy and
productive retirement.

County of Roanoke Fire and Rescue Department staffing

ISSUE:
Overview of County of Roanoke Fire and Rescue Department staffing.
BACKGROUND:
In October 2016, County staff provided the Board of Supervisors and overview of Fire
and Rescue Department current and projected staffing needs. This presentation will
provide an update to that information.
In anticipation of further discussion during the fiscal year 2019-2020 budget
development process, staff will provide an update on incident information, current and
projected staffing needs, volunteers, and the impact of staffing levels on service
delivery.
DISCUSSION:
County staff will review the attached PowerPoint presentation (Attachment A) at the
work session.
FISCAL IMPACT:
There is no fiscal impact associated with the receipt of the attached presentation. Any
decisions regarding Fire and Rescue Department staffing levels and additional funding

will be prioritized as part of the fiscal year 2019-2020 budget development process.
STAFF RECOMMENDATION:
Staff recommends that the Board of Supervisors receive information regarding County
of Roanoke Fire and Rescue Department staffing.
