The Board of Supervisors of Roanoke County, Virginia, met this day in
open session at the Roanoke County Administrtion Center, Roanoke, Virginia, this being
the fourth Tuesday, and the second regular meeting of the month of December, 1983.
IN RE:
CALL TO ORDER
Chairman, May W. Johnson, called the meeting to order at 7 :05 p.m. The
roll call was taken:

IN RE:
OPENING CEREMONIES
Vice Chairman, Harry C. Nickens, offered the invocation. The Pledge of
Allegiance was recited by all present.
IN RE:
REPORTS AND INQUIRIES OF BOARD MEMBERS
Supervisor Burton - advised the County Administrator of a communication from
Gordon Dixon, the Secretary of the Fifth District Planning Commission, requesting a
replacement for the vacancy on the Fifth District Planning Commission as soon as
possible.
Supervisor Nickens - wished to call the attention of the Virginia Department of
Highways and Transportation to a hazard condition existing at the corner of Bandy
Road and Reynolds Road.
Supervisor Myers - inquired about the procurement of gas monitors for Roanoke
County vehicles. The County Administrator informed the Board he hoped to receiv
bids very soon.
Supervisor Minter - wished everyone a Happy New Year.
Supervisor Johnson - asked for a motion to approve a raffle permit for the Futur
Homemakers of America, Cave Spring High School. Motion was made by Superviso
Burton and adopted by a unanimous voice vote.

IN RE:
REPORTS OF OFFICERS, DEPARTMENTS, AND COMMITTEES
Industrial Developement Authority - Superintendent of the Department of
Development, Timothy W. Gubala, reported the proposal is to obtain funding for Manassas
Associates for the acquisition, construction and equipping of an office complex facility
to be constructed on .416 acre of land on Manassas Drive near the intersection of such
drive with Colonial A venue in Roanoke County. Supervisor Minter moved for adoption
of the prepared resolution.
RESOLUTION NO. 83-230 APPROVING THE PLAN OF
FINANCING AND THE ISSUANCE OF AN INDUSTRIAL
DEVELOPMENT BOND BY THE INDUSTRIAL DEVELOPMENT
AUTHORITY OF ROANOKE COUNTY FOR MANASAS
ASSOCIA TES
WHEREAS, the Industrial Development Authority of Roanoke County, Virginia (the
Authority) has considered the application of Manassas Associates, a Virginia General
partnership, (the Purchaser) for the issuance of the Authority's industrial development
revenue bond in an amount not to exceed $500,000 (the Bond) to assist in the financing
of the Purchaser's acquiring, constructing and equipping an office complex facility,
approximately 4,500 square feet in size (the Facility) for lease by the Purchaser to
business and professional enterprises in Roanoke County, Virginia, and has held a public
hearing thereon December 20, 1983. The Proposed location of the Facility is on
approximately .416 acre of land on Manassas Drive near the intersection of such drive
with Colonial A venue in Roanoke County. The initial owner, operator or manager of
the Facility will be Manassas Associates; and
WHEREAS, the Authority has recommended that the Board of Supervisors (the
Board of Supervisors) of Roanoke County, Virginia (the County), approve the plan of
financing for the Facility to comply with Section 103{k) of the Internal Revenue Code
of 1954, as amended; and
WHEREAS, a copy of the Authority'S resolution approving the plan of financing,
subject to terms to be agreed upon, and a record of the public hearing and a fiscal
impact statement have been filed with the Board of Supervisors.
BE IT RESOLVED by the Board of Supervisors of Roanoke County, Virginia, as
follows:
1. The Board of Supervisors approves the plan of financing and the issuance
of the Bond by the Authority for the benefit of the Purchaser, to the extent required
by Section 103(k), to permit the Authority to assist in the financing of the Facility.

2. The approval of the plan of financing and the issuance of the Bond, as
required by Section 103(k), does not constitute an endorsement of the Bond, the financial
viability of the Facility or the credit worthiness of the Purchaser. Further, as required
by Section 15.1-1380 of the Code of Virginia of 1950, as amended, the Bond shall
provide that neither the Commonwealth of Virginia, the County, nor the Authority shall
be obligated to pay the principal of, premium, if any, the intent or supplem~ntal interest
thereon, or other costs incident thereto except from the revenues and moneys pledged
therefor and other applicable security, and neither the faith, credit, nor the taxing
power of the Commonwealth, the County or the Authority shall be pledged thereto.
3. This Resolution shall take effect immediately upon its adoption.
On motion of Supervisor Minter and adopted by the following recorded vote:

County Administrator - Donald R. Flanders expressed gratitude for the
outstanding service and positive leadership provided by Supervisor Johnson and Supervisor
Myers during their terms on the Board of Supervisors.
Mr. Flanders reported a problem of overloaded electrical circuits in the
Circuit Court Clerk's Office. Supervisor Nickens moved that the County Administrator
proceed with a plan to engage the appropriate professional person to correct the
electrical supply problem to the Clerk's Office. The motion carried by a unanimous
roll call vote.
Mr. Flanders called the Board's attention to a communication from the
Virginia Association of Counties regarding errors in a previous communication about
filing procedures under the Freedom of Information Act.
Official notification of the resignation of the County Assessor, Andrew
Clingenpeel, was received and accepted with regret. Supervisor Minter moved to accept
the resigntion and also to proceed to advertise to fill the position. The motion carried
with a unanimous roll call vote.
Mr. Flanders reminded all present of the swearing-in of the new Board
members to take place December 29, 1983, at 2:30 p.m. at the Salem Courthouse.
Each Supervisor received a copy of the job classifications notebook prepared
by the Office of Personnel Services. A work session is planned for early January.

IN RE:
EXECUTIVE SESSION
At 7:27 p.m. Supervisor Burton moved to go into Executive Session pursuant
to the Code of Virginia, Section 2.1-344 (a) (1), (2), (4), (6) to discuss personnel, real
estate, industrial development, and legal matters. The motion carried by a unanimous
voice vote.

OPEN SESSION
Supervisor Minter moved to go into Open Session at 8:18 p.m., and the
motin carried by a unanimous voice vote.
IN RE:
ADJOURNMENT
Supervisor Minter moved to adjourn to 11 :00 a.m. Tuesday, January 3,
1984, following the Reorganizational Meeting scheduled for 10:30 a.m. on January 3,
1983, at the Roanoke County Administration Center.
