Good afternoon and welcome to our meeting for February 10, 2015. Regular meetings
are held on the second and fourth Tuesday at 3-00 p.m. Public hearings are held at 7-00
p.m. on the fourth Tuesday of each month. Deviations from this schedule will be
announced. The meetings are broadcast live on RVTV, Channel 3, and will be
rebroadcast on Thursday at 7-00 p.m. and on Saturday at 4-00 p.m. Board of
Supervisors meetings can also be viewed online through Roanoke County's website at

SUMMARY OF INFORMATION:
Auditors from the Virginia Law Enforcement and Professional Standards Commission
conducted an on-site assessment of the Sheriff's Office on December 1-3, 2014. During
the assessment, the audit team inspected equipment, examined records, reviewed policy
and procedures, observed court activities, court security and the service of civil process.
The audit team found the Sheriff's Office in compliance with all one hundred and ninety-two
(192) standards that pertained to its operation. On December 18, 2014, the Sheriff's Office
appeared before the VLEPSC Board consisting of nine (9) Virginia Chiefs and Sheriffs and
was awarded accreditation. This was the second (2nd) accreditation by the Sheriff's Office.
The Sheriff's Office joins ninety-two (92) other law enforcement agencies in Virginia that
have been awarded VLEPSC accreditation.
VLEPS Commission Members Chief Gary Roche and City of Salem Sheriff Ric Atkins are
here to present the award to the Sheriff's Office.

traffic safety awards

COUNTY ADMINISTRATOR'S COMMENTS:
SUMMARY OF INFORMATION:
During 2014, the Police Department received several state and national awards for its
efforts towards promoting traffic safety.
Each year, the Department participates in the National Law Enforcement Challenge and
the Virginia Law Enforcement Challenge. These are sponsored by the International
Association of Chiefs of Police and the Virginia Association of Chiefs of Police,
respectively. The Challenge is designed to promote excellent and innovative traffic safety
programs amongst law enforcement agencies and provides annual recognition to those
judged to be the best. Applicants must providedetailed information regarding theiractivities
and outcomes for speeding, impaired driving, occupant protection and a local issue chosen
by the agency. The Roanoke County Police Department received the following awards:
National Law Enforcement Challenge- First place in category
Virginia Law Enforcement Challenge- First place in category
Additionally, the Department received the Commonwealth Award from the Virginia Law
Enforcement Challenge for the best overall traffic safety program in Virginia.
Each year, the Virginia Highway Safety Office sponsors the "Click It orTicket" Program and
awards agencies that excel in the effort to promote occupant protection. In 2014, the
Roanoke County Police Department received "Click It or Ticket" awards for highest seat

belt use rate and most improved seat belt use rate.
These awards are the result of the hard work and dedication of the entire Police
Department as well as partners from around the Roanoke Valley. These efforts contribute
significantly to keeping roadways safe for all citizens.

COUNTY ADMINISTRATOR'S COMMENTS:
SUMMARY OF INFORMATION:
The Virginia Public School Authority (VPSA) was created by the General Assembly
to issue revenue bonds and to use these proceeds to purchase or refinance bonds
issued by local governments to finance capital projects for public schools. VPSA
pledges to the payment of its bonds the school bonds it purchases from local
governments. Local school bonds issued by counties and sold to the VPSA are not
subject to the referendum requirement of the Virginia Constitution.
The County of Roanoke has historically financed major School construction and renovation
projects through the issuance of Virginia Public School Authority (VPSA) bonds, which are
managed by the Virginia Department of the Treasury.
Periodically, the Treasury has these bonds evaluated for the purpose of identifying the
feasibility of refunding certain bond issues and reducing overall interest/financing costs
based on current market conditions.
The County and Schools were notified that the VPSA bonds issued in 2007 and 2009 were
subject to refunding in a planned 2015 Refunding Bond and would be considered along
with other school bonds issued by VPSA.

The 2007 Bonds were originally issued for the renovation of Northside High School for
$14.9 million with annual installments of $745,000 through July 2027 and interest at 4.4%
to 5.1 %.
The 2009 Bonds were originally issued for the renovation of Cave Spring Elementary,
Green Valley Elementary, Mt. Pleasant, William Byrd and a new Mason's Cove Elementary
for $43.8 million with annual installments of approximately $2.2 million and interest at 4.0%
to 5.0%.
The 2015 VPSA Refunding Bonds were priced on February 3, 2015, and achieved savings
of approximately $2.7 million. In order to receive the savings, the County is required to
approve the attached resolution which authorizes the execution of certain documents in
connection with the refunding of the bonds.
The School Board is expected to approve the associated documents at their meeting on
February 12, 2015.
FISCAL IMPACT:
The savings generated from the refunding for the 2007 and 2009 bonds are as follows -

Savings achieved as a result of the 2015 VPSA Refunding totals $2,693,280.56. The
locality will continue to be responsible for making its debt service payments on the Local
School Bond in accordance with the original amortization schedule and VPSA will cause
the Refunding Credit to be returned (by wire) on or after August 1 each applicable year,
provided the Locality's debt service payment has been received. The refund will be shared
equally between the County and Schools and appropriated each year during the budget
process based on the prioritized needs of the governing body.

STAFF RECOMMENDATION:
Staff recommends authorizing the County Administrator or his designee to execute the
necessary documents in connection with the 2015 Virginia Public School Authority bond
refunding.

CERTIFICATE OF REFUNDING OF LOCAL SCHOOL BOND
The undersigned representative of the School Board of the County of Roanoke, Virginia
(the "School Board"), and the undersigned representative of the County of Roanoke, Virginia (the
"Issuer"), each hereby certify on behalf of the School Board and the Issuer, respectively, the
following to the Virginia Public School Authority ("VPSA"):
I . The School Board and the Issuer acknowledge that each provided to VPSA a Use
of Proceeds Certificate dated November 8, 2007 (the "Original Use of Proceeds Certificate") in
connection with the issuance of certain local school general obligation bond of the Issuer described
therein (the "Local Bond"). A copy of the Original Use of Proceeds Certificate is attached
as Schedule 1.
2. As set forth in the Original Use of Proceeds Certificate, VPSA purchased the Local
Bond with the proceeds of certain bonds of VPSA described therein (the "VPSA Bonds").
3. VPSA informed the School Board and the Issuer that on February 17, 2015 VPSA
will issue its School Financing Refunding Bonds (1997 Resolution) Series 2015A (the "VPSA
Refunding Bonds") in part for the purpose of refunding a portion of the VPSA Bonds for debt
service savings, and the School Board and the Issuer understand that as a condition of realizing
the debt service savings allocable to the Local Bond, VPSA is requiring that the School Board and
the Issuer provide this Certificate.
4. The schedule of refunding credits for the Local Bond, which has been prepared by
VPSA, is attached as.Schedule 2.
5. The School Board and the Issuer acknowledge that the Local Bond was issued as
tax-exempt bond and that the refunding of the VPSA Bonds causes a "reissuance" for federal
income tax purposes of the Local Bond. The School Board and the Issuer further acknowledge
that (i) VPSA is not requiring that the Local Bond continue to be treated as tax-exempt obligations
for federal income tax purposes after February 17, 2015, (ii) VPSA is requiring that the Local
Bond not be considered a "private activity bond" within the meaning of Section 141 of the Internal
Revenue Code of 1986, as amended and (iii) in order for the Local Bond to satisfy VPSA's
requirement in (ii), the School Board and the Issuer must continue to comply with the requirements
of the Original Use of Proceeds Certificate, as modified by this Certificate.
6. The School Board and the Issuer hereby represent that except as set forth in this
Certificate and except to the extent that they relate to an earlier date, the representations and
warranties of the School Board and the Issuer contained in the Original Use of Proceeds Certificate
are true and correct as of the date hereof.
7. The Local Bond financed the costs of the projects described on Schedule 3 (the
"Project").
8. The School Board and the Issuer expended all of the proceeds of the Bonds on costs
associated with the Project or costs of issuance related to the Local Bond on or before

9. The Project is operational and used by the School Board and the Issuer for public
school purposes and for no other purpose.
10. Neither the School Board nor the Issuer has any plans to close or lease, sell or
otherwise dispose of the Project or any part thereof.
11. Neither the School Board nor the Issuer has entered into any arrangement regarding
the ownership, use or operation of the Project, and no third party owns, uses (for example, under
a lease), or operates (for example, through a management agreement) the Project or any part
thereof.
12. The School Board and the Issuer acknowledge that the certifications,
representations, warranties, and agreements contained in this Certificate will be relied upon by (i)
the Treasurer and Secretary and the Assistant Treasurer and Secretary of VPSA in executing the
tax certificate and Form 8038-G with respect to the VPSA Refunding Bonds and (ii) VPSA's Bond
Counsel in rendering its opinion that interest on the bonds that refunded the VPSA Bonds is
excludable from gross income for federal income tax purposes. Reliance for such purposes is
authorized.
13 The School Board and the Issuer shall provide VPSA with any information within
the School Board's or Issuer's possession or control, as the case may be, pertaining to the amount,
expenditure, and investment of the proceeds of the Local Bond or the ownership, use and operation

RESOLUTION OF THE BOARD OF SUPERVISORS OF THE COUNTY
OF ROANOKE, VIRGINIA AUTHORIZING THE EXECUTION OF
CERTAIN DOCUMENTS IN CONNECTION WITH CERTAIN GENERAL
OBLIGATION SCHOOL BONDS PREVIOUSLY PURCHASED BY THE
VIRGINIA PUBLIC SCHOOL AUTHORITY
WHEREAS, the County of Roanoke, Virginia (the "County") previously issued its
General Obligation School Bond, Series 2007 (the "2007 Local Bond") to finance certain
capital projects for public school purposes, which was purchased by the Virginia Public
School Authority ("VPSA") with a portion of the proceeds of VPSA's School Financing
Bonds (1997 Resolution), Series 2007B (the "2007 VPSA Bonds"); and
WHEREAS, the County previously issued its General Obligation School Bond,
Series 2009 (the "2009 Local Bond" and, together with the 2007 Local Bond, the "Local
Bonds") to finance certain capital projects for public school purposes, which was
purchased by VPSA with a portion of the proceeds of VPSA's School Financing Bonds
(1997 Resolution), Series 2009B (the "2009 VPSA Bonds"); and
WHEREAS, VPSA has notified the County that (i) VPSA is issuing its School
Financing Refunding Bonds (1997 Resolution), Series 2015A to refund a portion of the
2007 VPSA Bonds and the 2009 VPSA Bonds (the "Refunded VPSA Bonds") for debt
service savings and (ii) VPSA will allocate the debt service savings achieved as a result
of such refunding to the local school bonds purchased with the Refunded VPSA Bonds,
including a portion of the Local Bonds (the "County's Refunded Local Bonds"); and
WHEREAS, VPSA has notified the County that the County will receive its
allocable share of the savings achieved over the remaining amortization period of the
County's Refunded Local Bonds through an annual credit (the "Refunding Credit"),

which will be paid to the County on or after August 1 of each applicable year, provided
the County's debt service payments on the Local Bonds have been received; and
WHEREAS, in order to receive the Refunding Credit, VPSA requires that the
County and the School Board of the County execute a Certificate of Refunding of Local
School Bond (the "Refunding Certificate") in a form substantially similar to the
Certificate of Refunding of Local School Bond on file with the County's Director of
Finance-, and
WHEREAS, the Board of Supervisors of the County (the "Board") desires to
authorize the execution and delivery of the Refunding Certificate and the performance
of such other actions required by VPSA in order to receive the Refunding Credit.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS
OF THE COUNTY OF ROANOKE, VIRGINIA:
1 . The Board authorizes and directs the County Administrator and the
Director of Finance, or either of them, and such officers and agents of the County as
either of them may designate to execute and deliver the Refunding Certificate and to
take such other actions and to sign such other documents as required by VPSA in order
to receive the Refund Credit and all such actions previously taken are ratified and
confirmed.
2. This Resolution shall take effect immediately.

SUMMARY OF INFORMATION:
NTELOS wireless has leased space at the Hollins Fire Station since November 2004 for a
wireless cell site, which includes a tower, cabinets and related equipment. Lumos
Networks, formerly a part of NTELOS, owns one (1) of the pieces of equipment at the site.
NTELOS is subleasing a portion of the compound to Lumos for that equipment. Underthe
terms of the lease, NTELOS needs permission from the County to sublease, and such
permission shall not be unreasonably withheld. NTELOS is not charging Lumos Networks
for the space, so there is no associated income from this transaction.
By Ordinance #102604-7, the Board approved this lease agreement with NTELOS.
Paragraph 3 of this ordinance provides as follows: "That subleases of tower and
equipment space to third party entities by NTELOS, with 20% of the rental to be paid to the
County, shall be subject to approval by the Board through resolution." The attached
resolution is consistent with this ordinance.
FISCAL IMPACT:
There is no fiscal impact associated with this approval.

In accordance with Section 14 Assignment; Sublease; License of the Option and Lease
Agreement (the "Lease") dated November 11, 2004 between Virginia PCS Alliance, L.C. d/b/a
NTELOS (-NTELOS-) and The Board of Supervisors of Roanoke County, Virginia ("Roanoke
County"), NTELOS is requesting Roanoke County's consent for Lumos Networks Inc., its
successor and assigns, ("Lumos") to use a portion of the Site (as defined in the Lease) to provide
services including voice, video and data and other telecommunications, cable, and information
services to NTELOS and/or other tenants at the Site, and others.
Per Section 14 of the Option and Lease Agreement, NTELOS must receive consent from Roanoke
County to sublease/License the Site, which shall not be unreasonably withheld, delayed or
conditioned. In addition, Roanoke County hereby irrevocably waives NTELOS' obligation under
the Lease to require Lumos to pay any rent relating to such license to NTELOS or NTELOS'
successors and assigns.

WHEREAS, by Ordinance #102604-7 the Board approved a lease agreement
with Virginia PCS Alliance, LC d/b/a NTELOS for a 3,400 square foot tower site at the
Hollins Fire Station on Barrens Road; and
WHEREAS, this ordinance authorized subleases of tower and equipment space
to third -party entities by NTELOS, subject to approval by the Board of Supervisors
through resolution; and
WHEREAS, Lumos Networks, formerly a part of NTELOS, owns equipment at
this tower site; and
WHEREAS, NTELOS is sub -leasing a portion of the leased property to Lumos for
its equipment; and
WHEREAS, NTELOS is requesting approval from the County for this sub -lease.
NOW, THEREFORE BE IT RESOLVED by the Board of Supervisors of Roanoke
County, Virginia, as follows:
1 . That the sub -lease by NTELOS to Lumos Networks at the Hollins Fire
Station tower site is hereby approved.
2. That the County Administrator or Assistant County Administrator are
hereby authorized to execute such documents and take such actions on behalf of
Roanoke County in this matter as are necessary to accomplish the acquisition of this
real estate, all of which shall be approved as to form by the County Attorney.

AN OPTION AND LEASE AGREEMENT WITH VIRGINIA PCS ALLIANCE,

OF ROANOKE COUNTY
WHEREAS, the Board of Supervisors of Roanoke County, Virginia, is the ownerof a
parcel of land, containing 2.51 acres, located at 7401 Barrens Road in the County of
Roanoke, Virginia, designated on the Roanoke County Land Records as Tax Map #27.13-
4-1, and commonly referred to as the Hollins Fire Station; and,
WHEREAS, staff has been approached by and has negotiated with Ntelos for lease
of a portion of the Hollins Fire Station Site to construct a new telecommunications tower,
with space available for the County's equipment and facilities-, and,
WHEREAS, by Ordinance #082404-9 adopted on August 24, 2004, the Board
approved a Special Use Permit for this project at the County site-, and,
WHEREAS, Section 18.04 of the Roanoke County Charter directs that the
acquisition or conveyance of an interest in real estate, including leases, shall be
accomplished by ordinance; the first reading of this ordinance was held on October 12,
2004; and the second reading and public hearing was held on October 26, 2004.
THEREFORE, BE IT ORDAINED by the Board of Supervisors of Roanoke County,
Virginia, as follows:
That lease of approximately 3,400 square feet of land, together with rights of
access, ingress and egress, and utility easements, at the Hollins Fire Station, located at
7401 Barrens Road in the County of Roanoke, Virginia, to Virginia PCS Alliance, LC, d/b/a
Ntelos, for an initial period of five (5) years at an annual rental of $6,000.00, payable
annually in advance, plus installation and payment for its own utility services, and to
include the option to Ntelos to renew said lease for four (4) additional successive periods
of five (5) years at a twenty percent (20%) rental increase for each renewal period, is
hereby authorized and approved.
2. That an Option to Ntelos to exercise the rights set forth in the Lease
Agreement and authorized in paragraph 1 hereof, for a period of one (1) year during which
Ntelos shall have the necessary rights of access for feasibility studies and tests, at an
Option Fee of $500.00, to be applied to the rent in the event that the option is exercised, is
hereby authorized and approved.
3. That subleases of tower and equipment space to third party entities by
Ntelos, with 20% of the rental to be paid to the County, shall be subject to approval by the
Board through resolution.
4. That the County Administrator or an Assistant County Administrator is hereby
authorized to execute an Option and Lease agreement on behalf of the Board of
Supervisors of the County of Roanoke and to execute such other documents and take
such further actions as are necessary to accomplish this transaction, all of which shall be
upon form and subject to the conditions approved by the County Attorney.
5. That the revenue generated by this lease agreement, including future
subleases, shall be placed in the County Building Repair Account.
6. That this ordinance shall be effective on and from the date of its adoption.

SUMMARY OF INFORMATION:
The General Assembly provides State funds to award incentives to teachers in Virginia's
public schools who hold certification from the National Board for Professional Teaching
Standards and meet the specified criteria. Nine (9) teachers will receive $2,500 for
continuing award status. Three (3) teachers will receive $5,000 for initial award status. The
National Board Certification Bonus award amount is $37,500 for the funding period of July
1, 2014 to June 30, 2015.
FISCAL IMPACT:
The Roanoke County Public School budget will increase $37,500. The incentive payment
is taxable to the recipient and the school division assumes responsibility for ensuring all
taxes are remitted.
ALTERNATIVES:
1. To accept and appropriate $37,500 from the Virginia Department of Education to
Roanoke County School Board for the National Board Certification awards.

SUMMARY OF INFORMATION:
On July 1, 2014, Roanoke County became the Local Authority for the Virginia Stormwater
Management Program (VSMP), which authorized the County to manage the State
program. The State program is administered through the Virginia Department of
Environmental Quality (DEQ). The VSMP program manages land -disturbing activities
resulting from development activities within the County.
As part of administering this program, the County collects permit fees associated with the
type and size of a land disturbance/development activity. The permit fee is to provide
coverage under the State General Permit for Discharge of Stormwater from Construction
Activities. This permit fee is split with the Virginia Department of Environmental Quality
receiving twenty eight percent (28%) of revenues and the County receiving seventy-two
percent (72%). The purpose of the fees is to help the local authority and the DEQ pay for
the costs associated with the administration and management of the program.

Prior to July 1, 2014, DEQ collected fees associated with providing coverage under the
state General Permit. As a part of the program transition from State to Local
administration, DEQ has forwarded the County's portion of the permitfees totaling $95,386
to Roanoke County.
The appropriation from the State of $95,386 to the NPDES account (103109-6509) will
provide funding for technology that will enhance and improve efficiency both in the
Drainage Maintenance and MS4 (Municipal Separate Stormwater Sewer System)
programs.
FISCAL IMPACT:
The fiscal impact is $95,386 in funding for Stormwater Management programs.
ALTERNATIVES:
1. Adopt the ordinance accepting and appropriating the Stormwater Management
Program Fee in the amount of $95,386 to the Department of Community
Development's minor capital "National Pollutant Discharge Elimination System"
(NPDES) account.
2. Do not adopt the ordinance

SUMMARY OF INFORMATION:
This is the first reading of an ordinance authorizing the sale of the 419 Library property to
Kissito Pace of Roanoke, Inc.
The 419 Library was vacated by the County upon the completion of the new South County
Library. The building and site were subsequently declared surplus and at Board of
Supervisor's direction were made available for public acquisition. In July of 2014, Roanoke
County advertised a Request for Proposals for either a sale or lease of the former 419
Library building. The County received and accepted a proposal from Kissito Pace of
Roanoke, Inc. (a tax exempt 501 c3 organization) to purchase the facility and establish an
adult day care operation for Senior Citizens. The proposed operation will provide
comprehensive and coordinated care intervention for elderly populations while integrating
all-inclusive medical and long term care services.

FISCAL IMPACT:
As outlined in the contract of sale, Kissito Pace proposes to acquire the property from
Roanoke County in "as is" condition at a purchase price of $2.7 million. Following a
detailed staff analysis, it was concluded that the sale of the property would net an
immediate financial advantage to the County, while avoiding significant up -front capital
investments that would be required to maintain and lease the property.
ALTERNATIVES:
1) Adopt the attached ordinance authorizing the sale of the 419 Library property to Kissito
Pace of Roanoke, Inc., and authorize the County Administrator, or any Assistant
County Administrator, to execute a contract of sale, all upon form approved by the
County Attorney.
2) Decline to adopt the attached Ordinance.

ORDINANCE APPROVING THE SALE OF THE 419 LIBRARY
PROPERTY TO KISSITO PACE OF ROANOKE, INC. AND
AUTHORIZING THE EXECUTION OF A CONTRACT OF SALE
WHEREAS, the Board of Supervisors owns property located at 3131 Electric
Road consisting of two (2) parcels containing 2.526 acres and 0.93 acre previously
used as the main headquarters for the County library system and known as the "419
Library"; and
WHEREAS, upon completion of the new South County Library, the 419 Library
was vacated and made available for public acquisition; and
WHEREAS, in July of 2014 the County advertised a Request for Proposals for
either the sale or lease of the former 419 Library building-, and
WHEREAS, Kissito Pace of Roanoke, Inc. (a tax exempt 501c3 organization)
submitted a proposal to purchase the property to establish an adult day care operation
for senior citizens-, which proposal the County accepted" and
WHEREAS, a draft contract of sale has been prepared between the County and
Kissito Pace of Roanoke, Inc. providing for the purchase of the property in "as is"
condition at a purchase price of $2.7 million; and
WHEREAS, this ordinance authorizes the conveyance of the former 419 Library
located at 3131 Electric Road to Kissito Pace of Roanoke, Inc. upon the terms and
conditions set out in the above mentioned contract-, and
WHEREAS, Section 18.04 of the Roanoke County Charter directs that the
acquisition and conveyance of real estate interests be accomplished by ordinance-, the

NOW, THEREFORE, BE IT ORDAINED by the Board of Supervisors of Roanoke
County, Virginia, as follows:
1 . That the conveyance of a 2.526 acre parcel and 0.93 acre parcel of real
estate known as the former 419 Library and located at 3131 Electric Road (Tax Map
Nos. 076.16-02-07.00 and 076.16-02-08.00) to Kissito Pace of Roanoke, Inc., upon
certain terms and conditions as set forth in a contract of sale, is hereby approved and
authorized-, and
2. That the County Administrator or Assistant County Administrator are
hereby authorized to execute such documents and take such actions on behalf of
Roanoke County in this matter as are necessary to accomplish the acquisition of this
real estate, all of which shall be approved as to form by the County Attorney.

CONTRACT OF SALE
THIS CONTRACT of sale made and entered into this - day of
2015, by and between the BOARD OF SUPERVISORS OF ROANOKE COUNTY, VIRGINIA, its
successors or assigns, party or parties of the first part, hereinafter referred to as Seller, and
KISSITO PACE OF ROANOKE, INC., party of the second part, hereinafter referred to as Buyer.
WITNESSETH:
NOW, THEREFORE, in consideration of the premises and the mutual promises, covenants,
and conditions set forth herein, the parties agree as follows:
1. PROPERTY: The Seller agrees to sell and the Buyer agrees to buy all that certain
lot, tract or parcel of land, together with any improvements thereon, rights incident thereto, and
appurtenances thereunto belonging, situate in the County of Roanoke, Virginia, and more
particularly described as follows:

thereon, rights incident thereto, and appurtenances thereunto belonging,
situate in the County of Roanoke, Virginia, and more particularly shown
and designated as 2.526 acre parcel and 0.93 acre parcel located at 3131
Electric Road, Tax Map #s 76.16-2-7 and 76.16-2-8.
THIS BEING all of the same real estate conveyed to the Board of
Supervisors of Roanoke County by deeds from Radford & Radford, Inc.
dated June 25, 1970 (Deed Book 898 Page 759); Donald J. Plybon and
Teresa B. Plybon dated September 19, 1987 (Deed Book 1273, Page 405);
and Eloise P. Clements and Charles Clements dated December 21, 1998
(Deed Book 1605, Page 384).
Hereinafter collectively referred to as the "Property."
2. PURCHASE PRICE: The purchase price for the property is Two Million Seven
Hundred Thousand Dollars ($2,700,000.00), which is payable to Seller as follows:
(A) Thirteen Thousand Five Hundred Dollars ($13,500) Deposit (hereinafter
referred to as the "Deposit") paid upon the execution of this Contract, the receipt of which is
hereby acknowledged by the Seller; the deposit shall be applied at settlement to the purchase
price.
(B) The balance of the purchase price shall be paid to Seller at settlement,
subject to the payment of closing costs and the credits and pro -rations set forth herein.

3. SETTLEMENT: Settlement shall be made at the office of an attorney or the offices
of the Buyer, as may be designated by the Buyer, within sixty (60) days of all contingencies in the
contract being fulfilled, including, without limitation, the examination of title, corrections by the
Seller of any title defects or objections reported by the title examiner, and preparation of closing
documents, but in any event, closing shall be no later than May 29, 2015. Possession of the
Property shall be given to Buyer at Settlement.
The Seller shall be responsible for preparation of the deed, payment of the tax imposed
pursuant to the provisions of Section 58.1-802 of the Code of Virginia, 1950, as amended, payment
of any other taxes properly payable by the Grantor/Seller, and payment of the Seller's attorney's
fees, if applicable. Except as otherwise specifically provided herein, all other costs and
recordation fees incurred in connection herewith shall be the responsibility of the Buyer.
4. TITLE TO PROPERTY: At Settlement the Seller shall deliver to Buyer a good and
sufficient deed for the Property, conveying to Buyer title with SPECIAL WARRANTY and English
covenants of title and free and clear of all liens, encumbrances, easements, conditions and
restrictions, except as otherwise specifically provided herein or as Buyer may, at its option, waive
in writing. Seller represents and warrants that Seller has no knowledge of any reason or
circumstance that would prevent Seller from conveying such title. If a defect is found which can
be remedied by legal action within a reasonable time, Seller shall, at Seller's expense not to exceed
$1,000.00 promptly take such action as is necessary to cure the defect. If the Seller, acting in good
faith, is unable to have such defect corrected within sixty (60) days after Notice of such defect is
given, or is unable to have such defect corrected at a cost not to exceed $1,000.00 and Seller elects
not to expend additional sums for such correction, then Buyer may, at its option, either (i)
terminate this agreement, in which event the Buyer shall be entitled to the return of the Deposit,
shall have no obligation to purchase the property, and this agreement shall be null and void, or
(ii) waive the foregoing rights and enforce its rights to acquire the property as provided herein.
The parties may extend the date for settlement by mutual agreement in order to comply with the
requirements of this paragraph.

5. RISK OF LOSS: All risk of loss or damage to the property shall remain on the Seller
until the date of settlement. In the event of substantial loss or damage to the real estate or its
improvements prior to settlement, Buyer shall have the option of either (i) terminating this
Contract and recovering the Deposit, or (ii) affirming this Contract, in which event Seller shall
assign to Buyer all of Seller's right under any policy or policies of insurance applicable to the
property and pay over to Buyer any sums received as a result of such loss or damage.
6. RIGHT OF ACCESS: Buyer or its agents, employees, or assigns, shall be entitled to
enter upon the Property from the date of this contract, for the purpose of conducting any and all
desired or required engineering and land surveys, and for other tests, studies, examinations, and
inspections as it deems appropriate. However, Buyer shall not unreasonably interfere with
Seller's use of the Property, and shall endeavour to provide Seller advance notice of intended
entries onto and activities upon the Property. In the exercise of privileges granted by this
Paragraph, Buyer shall substantially restore the property to its original condition upon
completion of such test or engineering work and shall be responsible for all loss, damage or
expense directly arising from or attributable to Buyer's use of the property or entry thereon prior
to settlement.
7. ENVIRONMENTAL STUDY AND REPORT; ENGINEERING STUDY AND REPORT:
Buyer may conduct its own environmental site assessment and engineering study of the Property
and the improvements, and the Seller specifically agrees that Buyer's purchase of the Property
shall be subject to and contingent upon receipt of satisfactory results from any environmental
site assessments and audit reports and engineering studies which Buyer may, in its discretion
and at its cost, deem appropriate, indicating to a reasonable degree of certainty that no Hazardous
Wastes or Toxic Substances, as defined under federal, state and local environmental laws and
regulations, are present upon the Property and determining that the improvements are free from
material defect. In the event that an unsatisfactory report is received, Buyer may elect to
terminate this contract by providing written notice to the Seller, in which event Seller shall return

the Deposit to the Buyer, this agreement shall become null and void, and neither party shall have
any further rights or obligations in relation hereto.
8. FINANCING CONTINGENCY: The Buyer's obligation to purchase the Property is
conditioned upon the Buyer obtaining satisfactory financing to purchase the Property, renovate
and equip the improvements for use as a PACE center and generally place the Property and
improvements into service. The Buyer covenants to use its best efforts to obtain financing
promptly.
9. REAL ESTATE COMMISSION: Seller and Buyer acknowledge that no Real Estate
Agent or Agency has been involved in this transaction, and each agrees to be responsible for any
claim for a commission by reason of any action on their part.
10. DEFAULT: In the event Seller neglects or fails to comply with the provisions and
covenants herein, Buyer shall be at liberty to seek remedy in specific performance.
11. APPROVAL: This Contract, and the terms contained herein, is subject to approval
by the Board of Supervisors of Roanoke County, Virginia. In the event that this contract is not
approved by the Board of Supervisors by February 24, 2015, Seller shall promptly provide notice
of same to the Buyer, at which time Seller shall return the Deposit to the Buyer and this contract
shall become null and void, and neither party shall have any further rights or obligations in
relation thereto.
12. MISCELLANEOUS
(A) No waiver of any breach of covenants or conditions herein shall be
construed as a waiver of a covenant or condition itself or any subsequent breach thereof. The
paragraph headings appearing in this Agreement are for purposes of each reference and shall not
be considered a part of this Agreement or in any way to modif�; amend, or affect the provisions
hereof.
(B) This Contract represents the entire agreement between the parties and
may not be modified or changed except by written instrument executed by the parties. This
Contract shall be construed, interpreted, and applied according to the law of the Commonwealth

of Virginia, and shall be binding upon and shall inure to the benefit of the heirs, personal
representatives, successors, and assigns of the parties.
(C) Buyer accepts the Property in an "AS IS" condition acknowledges and
agrees that Seller makes no representation or warranties with respect to the Property. Buyer
agrees that Buyer is taking the Property, including the Building and Improvements, without any
warranties or representations from the Seller and that Buyer has had sufficient opportunities to
fully examine the Property, including the Building, and that Buyer shall comply with all
environmental and other laws in renovating the Building, including the proper removal of any
asbestos and lead paint on the Property,
(D) This Contract is executed in duplicate, with each having the effect of an
original, one of which shall be provided to each of the parties hereto.
(E) The Seller shall remove all personal property from the Property before
Closing. The Seller shall also remove the art work located in front of the Building or the Seller
shall present a reasonable plan regarding the transfer of any artwork on the property to the
appropriate owners to be agreed upon by the Buyer and the Seller prior to settlement. The Seller
shall also develop a plan for the time capsule located on the property and present a separate
agreement to the Buyer accordingly to be resolved prior to settlement.
13. The promises in this contract and obligations of the Buyer shall survive closing
and be incorporated into the deed.
14. ASSIGNMENT: The Buyer may assign this Agreement to an affiliate, so long as
such assignment does not change the intended use of the Property.

SUMMARY OF INFORMATION:
The Roanoke River Greenway will be a thirty-one (31) -mile bicycle/pedestrian trail
through the Roanoke Valley, linking Roanoke County, the Cities of Roanoke and Salem,
and the Town of Vinton. The greenway system has been strongly supported by citizens,
businesses, civic organizations, and local governments. As such, the Roanoke Valley
Greenway Commission made the Roanoke River Greenway its number one priority in
the 2007 Update to the Roanoke Valley Conceptual Greenway Plan. Greenways were
also strongly supported by Roanoke County citizens during development of the
Department of Parks, Recreation and Tourism Comprehensive Parks Master Plan
completed in 2007. The residents of Roanoke County have identified greenways as a
high priority need for recreational facilities and amenities desired in our community.
The scope of the project includes a 1.6 -mile section of the Roanoke River Greenway
proposed along the north and south sides of the Roanoke River between Green Hill
Park in Roanoke County and Riverside Park in the City of Salem.
The cost estimate for completing the West Roanoke River Greenway project is

On March 3, 2014, Roanoke County entered a professional engineering services
agreement with Anderson & Associates of Virginia, Inc. (A&A) for Phases 11 and III of
the West Roanoke River Greenway Project. The RSTP funding will be utilized for final
engineering, environmental permitting, right-of-way acquisition, and construction of the
greenway that includes two (2) bridge crossings of the Roanoke River. VDOT has
recently conducted a Value Engineering (VE) Study with project recommendations, and
the project team is currently working with A&A on preparation of final design and
engineering documents. Over the next twelve to eighteen (12-18) months, Roanoke
County anticipates completing final design and engineering, obtaining the environmental
permits, completing right-of-way acquisition, and beginning construction.
Fiscal year 2014-2019 Regional Surface Transportation Program
On April 19, 2013, Roanoke County submitted a grant application to the Roanoke Valley
Area Metropolitan Planning Organization for Regional Surface Transportation Program
(RSTP) funding for the western section of the Roanoke River Greenway. The regional
application was sponsored by the City of Roanoke, City of Salem, County of Roanoke
and Town of Vinton in cooperation with the Roanoke Valley Greenway Commission. In
its entirety, the regional application requested $12,775,000 for completion of the
Roanoke River Greenway from Green Hill Park to the Blue Ridge Parkway for a 21.2 -
mile continuous bicycle and pedestrian trail across the Roanoke Valley.
As of the date of the RSTP application, 12.2 miles of this greenway were completed and
open, 1.7 miles funded and 7.3 miles partially funded. As depicted on the map below,
the four (4) sections of the greenway that needed additional funding, were- 1) Green Hill
Park to Woodbridge and Mill Lane to Riverside Park, 2) Eddy Avenue and Apperson
Drive bridges, 3) Roanoke/Salem line to Bridge Street, and 4) Water Pollution Control
Plant (WPCP) to Blue Ridge Parkway.

On May 23, 2013, the Roanoke Valley Area Metropolitan Planning Organization
endorsed the Regional Surface Transportation Program project priorities and six (6) -
year financial plan, which included $2,990,760 in funds to Roanoke County for the West
Roanoke River Greenway project proposed between Green Hill Park in Roanoke
County and Riverside Park in the City of Salem.
On June 19, 2013, the Commonwealth Transportation Board adopted the fiscal year
2014-2019 Six -Year Improvement Program, which allocated the Regional Surface
Transportation Program funds. Regional Surface Transportation Program funds are
apportioned by the Commonwealth of Virginia to Metropolitan Planning Areas that have
been designated "Transportation Management Areas" by the U.S. Department of
Transportation. The urbanized area in and around the Roanoke Valley was recently
designated a Transportation Management Area, based on 2010 census data.
FISCAL IMPACT:
The grant amount of $2,990,760 from the Federal Regional Surface Transportation
program includes a twenty percent (20%) match from the Commonwealth of Virginia-,
therefore, no local match is required. The funds are scheduled for allocation as follows:

BE IT ORDAINED by the Board of Supervisors of Roanoke County, Virginia as
follows:
1. That the sum of $2,990,760 is hereby appropriated from the Regional Surface
Transportation Program to the Department of Parks, Recreation and Tourism
for fiscal years 2014 and 2015; and
2. The funds are to be allocated to the West Roanoke River Greenway Project
proposed between Green Hill Park in Roanoke County and Riverside Park in
the City of Salem; and
3. That appropriations designated for the West Roanoke River Greenway
Project will not lapse at the end of the fiscal year, but shall remain
appropriated until the completion of the project. RSTP funds are subject to
deallocation if not expended within four (4) years of allocation; and
4. That if Roanoke County subsequently elects to cancel this project the County
agrees to reimburse the Virginia Department of Transportation for the total
amount of costs expended by the Department through the date the
Department is notified of such cancellation; and
5. That Roanoke County will be responsible for maintenance, upkeep and
operating costs of any facility constructed with Regional Surface
Transportation Program funds; and
6. That this ordinance shall take effect from and after the date of adoption.

cost estimate for completing the East Roanoke River Greenway project is $6,574,079.
In addition to Regional Surface Transportation Program (RSTP) funding awarded for the

East Roanoke River Greenway project, Roanoke County has previously received
$716,250 in Virginia Department of Transportation (VDOT) Transportation
Enhancement funding. A portion of this funding has been used to complete Phase I of
the project that included preliminary design and engineering that commenced in April
2012. The total funding allocated for the project to date is $6,824,090.
On December 4, 2014, Roanoke County entered a professional engineering services
contract with Anderson & Associates of Virginia, Inc. for Phase 11 of the East Roanoke
River Greenway Project. The RSTP funding will be utilized for final engineering,
environmental permitting, right-of-way acquisition, bidding and construction contract
administration for the greenway.
Fiscal year 2014-2019 Regional Surface Transportation Program
On April 19, 2013, Roanoke County submitted a grant application to the Roanoke Valley
Area Metropolitan Planning Organization for Regional Surface Transportation Program
(RSTP) funding for the western section of the Roanoke River Greenway. The regional
application was sponsored by the City of Roanoke, City of Salem, County of Roanoke,
and Town of Vinton in cooperation with the Roanoke Valley Greenway Commission. In
its entirety, the regional application requested $12,775,000 for completion of the
Roanoke River Greenway from Green Hill Park to the Blue Ridge Parkway for a 21.2 -
mile continuous bicycle and pedestrian trail across the Roanoke Valley.

As of the date of the RSTP application, 12.2 miles of this greenway were completed and
open, 1.7 miles funded and 7.3 miles partially funded. As depicted on the map above,
the four (4) sections of the greenway that needed additional funding, were- 1) Green Hill
Park to Woodbridge and Mill Lane to Riverside Park, 2) Eddy Avenue and Apperson
Drive bridges, 3) Roanoke/Salem line to Bridge Street, and 4) City of Roanoke to the
Blue Ridge Parkway.
On May 23, 2013, the Roanoke Valley Area Metropolitan Planning Organization
endorsed the Regional Surface Transportation Program project priorities and Six (6) -
Year financial plan, which included $5,857,840 in funds to Roanoke County for the East
Roanoke River Greenway project proposed between the City of Roanoke and the Blue
Ridge Parkway.
On June 19, 2013, the Commonwealth Transportation Board adopted the fiscal year
2014-2019 Six-year Improvement Program, which allocated the RSTP funds. These
funds are apportioned by the Commonwealth of Virginia to Metropolitan Planning Areas
that have been designated "Transportation Management Areas" by the U.S. Department
of Transportation. The urbanized area in and around the Roanoke Valley was recently
designated a Transportation Management Area, based on 2010 census data.
FISCAL IMPACT:
The grant amount of $5,857,840 from the Federal Regional Surface Transportation
program does not require matching funds from the County. These funds include a
twenty percent (20%) match from the Commonwealth of Virginia.

Transportation Program to the Department of Parks, Recreation and Tourism
for fiscal years 2014, 2016, and 2017; and
2. The funds are to be allocated to the East Roanoke River Greenway Project
for final engineering, environmental permitting, right-of-way acquisition, and
construction; and
3. That appropriations designated for the East Roanoke River Greenway Project
will not lapse at the end of the fiscal year, but shall remain appropriated until
the completion of the project. RSTP funds are subject to deallocation if not
expended within four years of allocation; and
4. That if Roanoke County subsequently elects to cancel this project the County
agrees to reimburse the Virginia Department of Transportation for the total
amount of costs expended by the Department through the date the
Department is notified of such cancellation; and
5. That Roanoke County will be responsible for maintenance, upkeep and
operating costs of any facility constructed with Regional Surface
Transportation Program funds; and

SUMMARY OF INFORMATION:
The Roanoke River Greenway will be a thirty-one (31) -mile bicycle/pedestrian trail
through the Roanoke Valley, linking Roanoke County, the Cities of Roanoke and Salem,
and the Town of Vinton. The greenway system has been strongly supported by citizens,
businesses, civic organizations, and local governments. As such, the Roanoke Valley
Greenway Commission made the Roanoke River Greenway its number one priority in
the 2007 Update to the Roanoke Valley Conceptual Greenway Plan. Greenways were
also strongly supported by Roanoke County citizens during development of the
Department of Parks, Recreation and Tourism Comprehensive Parks Master Plan
completed in 2007. The residents of Roanoke County have identified greenways as a
high priority need for recreational facilities and amenities desired in our community.
The scope of the East Roanoke River Greenway project includes a 2.7 -mile section of
the Roanoke River Greenway proposed along the south side of the Roanoke River from
the waste water treatment plant in the City of Roanoke to the Blue Ridge Parkway. The
cost estimate for completing the East Roanoke River Greenway project is $6,574,079.

Funding for the project includes $200,000 MAP21 /Transportation Alternatives, $50,000
in local match and $716,250 in Virginia Department of Transportation (VDOT)
Transportation Enhancement funding. A portion of this funding has been used to
complete Phase I of the project that included preliminary design and engineering that
commenced in April 2012. The total funding allocated for the project to date is
$6,824,090.

Under the MAP -21 federal transportation bill, the Transportation Enhancement Program
(EN) is now part of the Transportation Alternatives (TA) Program. MAP -21 includes
many program changes- 1) a portion of TA Program funds shall be allocated based on
population and 2) Metropolitan Planning Organizations (MPO's) in Transportation
Management Areas (TMAs), which are urbanized areas with a population over 200,000,
shall select projects to be carried out within the TMAs. Roanoke County has received
previous funding for the Transportation Enhancement and Alternatives Programs as
shown below:

The grant amount of $250,000 from the MAP -21 /Transportation Alternatives program
does require twenty percent (20%) local matching funds from Roanoke County in the

SUMMARY OF INFORMATION
The mission of Project Lifesaver is to provide timely response to save lives and reduce
potential injury for adults and children who wander due to Alzheimer's, autism, and other
related conditions ordisorders. Citizens enrolled in Project Lifesaverweara small personal
transmitter around the wrist or ankle that emits an individualized tracking signal. If an
enrolled client is missing, the caregiver notifies their local Project Lifesaver agency for
assistance.
During 2014, five (5) monetary donations were received by the Roanoke County Police
Department to be used for the Project Lifesaver Program as follows:
• Mr. Fred Lee donated $100 in the month of February.
• Fellowship Community Church donated $600 in the month of June.
• John M. Oakey donated $150 in the month of July.
• Mr. Kenneth Stanley donated $25 in the month of October.
• The Roanoke County Woman's Club donated $25 in the month of November.
• The Adult Care Center of Roanoke Valley paid $250 to replace a transmitter
damaged beyond repair in the month of July.
FISCAL IMPACT:
Ordinance #052714-4 appropriated various grants, donations and other miscellaneous

The Virginia Department of Health, Office of Emergency Medical Services, has awarded
the Fire and Rescue Department a fifty percent (50%) matching grant #M -0O3/12-14
totaling $13,507.00 for one Physio Lucas 2 Mechanical CPR Device for use on cardiac
arrest patients.
The purchase of this new equipment will not only provide consistent, constant CPR during
patient transport but also reduces the risk to responders by allowing them to remain seated
and restrained during the transport.
FISCAL IMPACT:
Ordinance #052714-4 appropriated grant funds for grants that are routine and usual in
nature for the 2014-15 fiscal year. Funds in the amount of $6,753.50 will be allocated from
the grant account to the Mechanical CPR Device Grant. The remaining $6,753.50 will be

state agency".

WHEREAS, Patrick C. Buchanan, Jr. was employed by Roanoke County on October
15,1996; and
WHEREAS, Mr. Buchanan retired on February 1, 2015, after eighteen (18) years
and three (3) months of devoted, faithful and expert service to Roanoke County; and
WHEREAS, Mr. Buchanan, through his employment with Roanoke County, has
been instrumental in improving the quality of life and providing services to the citizens of
Roanoke County; and
WHEREAS, throughout Mr. Buchanan's tenure with Roanoke County, his
enthusiasm, dedication and professionalism to his work, has earned the admiration and
respect of his colleagues throughout the Commonwealth.
NOW, THEREFORE, BE IT RESOLVED that the Board of Supervisors of Roanoke
County expresses its deepest appreciation and the appreciation of the citizens of Roanoke

1. Capital Improvement Program (CIP) (appointed by District)
Charlotte Moore has recommended the appointment of Pete Tyree to represent the
Cave Spring Magisterial District. This appointment will expire August 31, 2016.
2. Community Policy and Management Team (CPMT)
Thomas C. Gates, County Administrator, has recommended the appointment of Daniel
R. O'Donnell, Assistant County Administrator, to fill the Local Government Official Role
on this committee and for Richard L. Caywood, Assistant county Administrator to be his
alternate.
3. Roanoke Broadband Authority
On July 22, 2015, Daniel O'Donnell, Interim County Administrator, was appointed to this
Authority until a new County Administrator was hired. It is the recommendation of
Thomas C. Gates, County Administrator, that Mr. Gates be appointed to this Authority

and Mr. O'Donnell returning as Alternate. This term will expire December 13, 2017.
4. Roanoke Valley Alleghany Regional Commission
On July 22, 2015, Daniel O'Donnell, Interim County Administrator, was appointed to this
Authority until a new County Administrator was hired. It is the recommendation of
Thomas C. Gates, County Administrator, that Mr. Gates be appointed to this
Commission. This term will expire June 30, 2017.
5. Roanoke Valley Convention and Visitors Bureau Board of Directors
Thomas C. Gates, County Administrator, has recommended the appointment of
Richard L. Caywood, Assistant County Administrator, to fill the Administration Role on
this Board of Directors. This term will expire June 30, 2015.
6. South Peak Community Development Authority
On July 22, 2015, Daniel O'Donnell, Interim County Administrator, was appointed to this
Authority until a new County Administrator was hired. It is the recommendation of
Thomas C. Gates, County Administrator, that Mr. Gates be appointed to this Authority.
This term will expire October 25, 2016.
7. Western Virginia Regional Industrial Facility Authority
On July 22, 2015, Daniel O'Donnell, Interim County Administrator, was appointed to this
Authority until a new County Administrator was hired. It is the recommendation of
Thomas C. Gates, County Administrator, that Mr. Gates be appointed to this Authority

AT A REGULAR MEETING OF THE BOARD OF SUPERVISORS OF ROANOKE
COUNTY, VIRGINIA, HELD AT THE ROANOKE COUNTY ADMINISTRATION
CENTER ON TUESDAY, FEBRUARY 10, 2015
RESOLUTION CERTIFYING THE CLOSED MEETING WAS HELD IN
CONFORMITY WITH THE CODE OF VIRGINIA
WHEREAS, the Board of Supervisors of Roanoke County, Virginia has convened a
closed meeting on this date pursuant to an affirmative recorded vote and in accordance
with the provisions of The Virginia Freedom of Information Act-, and
WHEREAS, Section 2.2-3712 of the Code of Virginia requires a certification by the
Board of Supervisors of Roanoke County, Virginia, that such closed meeting was
conducted in conformity with Virginia law.
NOW, THEREFORE, BE IT RESOLVED, that the Board of Supervisors of Roanoke
County, Virginia, hereby certifies that, to the best of each member's knowledge:
1. Only public business matters lawfully exempted from open meeting requirements
by Virginia law were discussed in the closed meeting which this certification resolution
applies-, and
2. Only such public business matters as were identified in the motion convening the
closed meeting were heard, discussed or considered by the Board of Supervisors of
Roanoke County, Virginia.
