III RE: CALL TO ORDER Vice Chairman Nickens p.m. The roll call was taken. called the meeting to order at 12:01 KEJlBERS PRESENT: Vice Chairman Harry C. Nickens, Supervisors Lee B. Eddy, Fenton F. Myers, Assistant County Administrator; Anne Marie Green, Director, Community Relations KEJlBERS ABSENT: III RE: EXECUTIVE SESSION At 12:07 p.m., Supervisor Minnix moved to go into Executive Session pursuant to the Code of Virginia 2.1-344 (A) 5: February 21, 1996 to7 -- ---_.....-,---~,---_.~-'_._-_. ~.'...-_.__-. -,- conformity with Virginia law. NOW, THEREFORE, BE IT RESOLVED, that the Board of Supervisors of Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge: 1. Only public business matters lawfully exempted from open meeting requirements by Virginia law were discussed in the executive meeting which this certification resolution applies, and 2. only such public business matters as were identified in the motion convening the executive meeting were heard, discussed or considered by the Board of Supervisors of Roanoke County, Virginia. On motion of Supervisor Johnson to adopt the Certification Resolution, and carried by the following recorded vote: AYES: Supervisors Eddy, Minnix, Harrison, Nickens, Johnson NAYS: None III RE: RECESS At 1:25 p.m., Chairman Johnson declared a recess so that the Board of Supervisors could attend a press conference with Governor George Allen. III RE: RECONVENEKENT At 2:50 p.m., Chairman Johnson reconvened the meeting. IN RE: NEW BUSINESS 108 February 21, 1996 - ~ Consideration of a Performance Aareement with the Industrial Develotlment Authoritv and R. R. Donnellev , Sons. Inc. and &tltlrotlriation of funds. R-022196-2 County Attorney Paul Mahoney announced that the County staff has negotiated a Performance Agreement with the Industrial Development Authority and R.R. Donnelley and Sons Company to be located at Valley tech Park. He explained that the resolution approves the agreement and appropriates the necessary funds. Supervisor Eddy announced that he may have a potential conflict of interest because of his jOb as an engineer and would refrain from discussion of the issue and abstain from voting. Supervisor Nickens moved to authorize the County Administrator to execute the Performance Agreement with the Industrial Development Authority and R. R. Donnelley and Sons, and adopt the resolution appropriating $2.5 million from the Unappropriated Balance. The motion carried by the following recorded vote: AYES: Supervisors Minnix, Harrison, Nickens, Johnson NAYS: None ABSTAIN: Supervisor Eddy RESOLUTION 022196-2 AUTHORIZING THE EXECUTION OF A PERFORMANCE AGREEMENT WITH R. R. DONNELLEY , SONS COMPANY, INC. , THE BOARD OF SUPERVISORS OF ROANOKE COUNTY, AND THE ROANOKE COUNTY INDUSTRIAL DEVELOPMENT AUTHORITY, AND ,- .... ...--~- ¥'" _ 102_________..__ _ _u ._....._.~_.___.___._,______ February 21, 1996 - __~__.___,_.._..._"_,__~.,^~...,.,.._._..__,.._"..,_w·,,~_."____.__.__ ~_ H'_ . _ ~~-- - .-~-, - APPROPRIATION OF FUNDS WHEREAS, the County of Roanoke and the Industrial Development Authority desire to promote· and encourage the economic development of Roanoke County, Virginia, and the Roanoke Valley by the recruitment of new industry for the Roanoke Valley, in order to provide for increased employment and corporate investment in the county; and WHEREAS, this increased employment and investment constitutes a valid public purpose for the expenditure of public funds; and WHEREAS, the Company desires to support these economic development efforts of the County and the Authority by establishing its corporate facilities in the county. NOW, THEREFORE, BE IT RESOLVED by the Board of supervisors of Roanoke County, Virginia, as follows: 1. That the execution of a performance agreement with R. R. Donnelley & Sons Company, Inc., Board of supervisors of Roanoke County, and the Roanoke County Industr ial Development Authority for the establishment of certain industrial development facilities in Roanoke county is hereby authorized and approved; and all actions taken by the officers and agents of the county in connection with this transaction are ratified and confirmed. 2. That the County Administrator is authorized to execute said performance agreement on behalf of the county, upon form approved by the County Attorney. 110 February 21, 1996 3. That the sum of $2,102,500 is hereby appropriated and donated to the Industrial Development Authority of Roanoke County. That this appropriation of public funds is made from the County's Unappropriated Balance. 4. That the sum of $397,500 is hereby appropriated to the County Economic Development Department. This appropriation is made from the County's Unappropriated Balance. 5. That this resolution shall take effect immediately.
