Meeting Minutes
Wednesday, September 20, 2023, the Economic Development Authority met at the
Roanoke County Administration Center

CALL TO ORDER
Vice Chair Michael Cagle called the meeting to order at 9:01 a.m.
ROLL CALL
Megan Baker called the roll.
NEW BUSINESS
1. Resolution consenting to assumption of residential care facility revenue and re-
funding bonds (Richfield Living), Series 2019B
Mr. Webster Day presented a resolution to consent to the assignment to, and
assumption by, Friendship Foundation of Richfield Living's obligations under its Series
2019 financing through the EDA. On motion by Barry Thompson, and seconded Ssunny
Shaw the motion passed with six votes in favor and one abstention.
CLOSED SESSION
On motion by Michael Cagle, and seconded by Ssunny Shaw, the present Authority Directors
unanimously voted to meet in closed session, pursuant to Code of Virginia Section 2.2-
3711(A)(5) - discussion concerning a prospective business or industry or the expansion of an
existing business or industry where no previous announcement has been made of the business'
or industry's intent in locating or expanding its facilities in the community. The potential location
or expansion may possibly occur in the Hollins magisterial district.
On motion by Michael Cagle, and seconded Ssunny Shaw, the motion carried unanimously that
pursuant to Section 2.2-3712(D) of the Code of Virginia, that in the closed session just
concluded, nothing was discussed except the matter or matters which were identified in the
motion to convene in closed session, and that only those matters lawfully permitted to be
discussed under the Virginia Freedom of Information Act were discussed.
ADJOURNMENT
Michael Cagle stated the next meeting would be October 5, 2023.
On motion by Don Sowder, and seconded by Kirtesh Patel the motion carried unanimously and
the meeting was adjourned at 9:33 a.m.
