HomeMy WebLinkAbout4/6/2022 - Minutes The Economic Development Authority of Roanoke County In Person Meeting Minutes Roanoke, Virginia 24018 Tuesday, April 6, 2022, the Economic Development Authority of Roanoke County, Virginia met at the Roanoke County Administration Center Members Present Woody Windley, Chair Michael Cagle, Vice-Chair Greg Apostolou (arrived 9:04 am) Steve.Anderson Ssunny Shah Kirtesh Patel Kyle Richardson Barry Thompson Max Beyer Jill Loope, Secretary-Treasurer Peter Lubeck, Counsel Absent Guests Steve Musselwhite, former Chairman of the EDA Board, Jessica Beemer, Assistant Director of Finance and Management Services, Catherine Hall, Finance Manager and Allison Fay, Recording Clerk. CALL TO ORDER Chairman Woody Windley called the meeting to order at 9:00 a.m. REQUEST TO POSTPONE, ADD TO, OR CHANGE THE ORDER OF THE AGENDA ITEMS Ms. Loope stated she had invited Mr. Musselwhite to this meeting to recognize his many years of service to the Board and to present him with a Resolution and a small plaque expressing the County's appreciation. She thanked him for all he did on the Board and said he would be missed. The Board members all expressed their thanks to Mr. Musselwhite for his dedication and many years of service to the Board. Page2of4 April 6, 2022 Economic Development Authority Minutes APPROVAL OF February 16, 2022 MINUTES On motion by Barry Thompson to approve the minutes of February 16, 2022, seconded by Mike Cagle, the motion carried by unanimous voice vote: FINANCE REPORT Ms. Jessica Beemer, Assistant Director of Finance introduced Catherine Hall the new Finance Manager for the County. She stated Ms. Hall would be attending future meetings. Ms. Beemer reviewed the information provided in the statement of revenues, expenditures and changes in fund balances (unaudited) for the 8 months ended February 28, 2022. The current cash balance in the EDA account is $487,198. On motion by Kyle Richardson to accept and approve the financial report as presented, seconded by Ssunny Shah, the motion carried unanimously. OLD BUSINESS 1. Annual Report Ms. Loope provided a copy of the 2021 calendar year Annual Report and reviewed the economic development progress with the Board. She stated how important the Board was and this report shows all the hard work of the Board and staff over the past year. Ms. Loope said the report was all done in house by staff and thanked them all for doing such a great job. She stated Marshall Stanley was a great help with getting all the information collected and then putting the report together. Mr. Kirtesh Patel asked if the report was also available digitally. Ms. Loope stated that the Board will be provided with a digital link to the report. Mr. Shah asked Ms. Loope about the recent Community Economic Development award the Economic Development office won at the VEDA Conference. Ms. Loope explained that at the last VEDA conference her office received recognition on the Reimage 419 project. She stated she accepted it on behalf of the County employees and recognized the work the planning department has done on the project. Ms. Loope said she appreciated the County being recognized and thanked everyone as it was really a team effort. Ms. Loope also stated while at the conference she was asked to provide a presentation on the Reimagine 419 project and serve on a panel to. discuss Community Economic Development best practices. She said she felt very honored to present the County's accomplishments on the panel. Ms. Loope stated she was currently in the process of advertising for the position of an Assistant Director for the Economic Development Department. She said she would keep the Board informed on how things were going. Page 3 of 4 April 6, 2022 Economic Development Authority Minutes NEW BUSINESS 1. 2022 EDA FOIA Training Mr. Peter Lubeck, County Attorney, provided a PowerPoint presentation on FOIA. He reviewed the following items with the Board; the purpose and our current policy on FOIA requests, meeting under FOIA, explanation of public body meetings, closed meetings, requirements for closed meetings, public records and public information requests. Mr. Lubeck provided examples and discussed different scenarios the might encounter and how to address potential items that come up. He told to Board he was always available if they should have any questions regarding this item. Ms. Loope reminded the Board of the Conflict of Interest training that was required by the State. She said she would resend out the link for those that have not completed the training. CLOSED SESSION At 9:35 am, Mr. Linwood moved, seconded by Mr. Patel to go into closed session pursuant to the Code of Virginia Section 2.2-3711(A)(3): Discussion or consideration of the acquisition of real property for a public purpose, or of the disposition of publicly held real property, where discussion in an open meeting would adversely affect the bargaining position or negotiating strategy of the public body; namely the center for Research and Technology. The motion carried by the following recorded vote: AYES: Mr. Windly, Mr. Cagle, Mr. Patel, Mr. Apostolou, Mr. Beyer, Mr. Anderson, Mr. Shah, Mr. Thompson and Mr. Richardson ABSTAIN: None NAYS: None ABSENT: None The closed session was held from 9:35 a.m. until 10:20 a.m. Certifying the closed meeting was held in conformity with the Code of Virginia WHEREAS, the Economic Development Authority of Roanoke County, Virginia has convened a closed meeting on December15, 2021 pursuant to an affirmation-recorded vote and in accordance with the provisions of The Virginia Freedom of Information Act. WHEREAS, the public business matters addressed in the closed meeting were exempt from the open meeting requirements, Pursuant to the Code of Virginia Section 2.2- 3711(A) (3): Discussion or consideration of the acquisition of real property for a public purpose, or of the disposition of publicly held real property, where discussion in an open Page4of4 April 6, 2022 Economic Development Authority Minutes meeting would adversely affect the bargaining position or negotiating strategy of the public body; namely the Vinton Business Center. NOW THEREFORE, BE IT RESOLVED, that the Economic Development Authority of Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge only such public business matters as were identified in the motion convening the closed meeting were heard, and only those matters lawfully permitted to be discussed Under the Freedom of Information Act were discussed ECONOMIC DEVELOPMENT UPDATES REPORTS AND INQUIRIES OF THE BOARD MEMBERS ADJOURNMENT On motion by Kyle Richardson and second by Max Beyer, the meeting was adjourned a 10:38 a.m. NEXT SCHEDULED MEETING June 15, 2022 R p�ec1fully submitted, Jill oope Secretary-Treasurer
