CALL TO ORDER
Chairman Steve Musselwhite called the meeting to order at 9:00 a.m.

On motion by Woody Windley to approve the minutes of November 6, 1919 as presented, . -
seconded by Mike Cagle, the motion carried by unanimous voice vote.

FINANCE REPORT
Evan Malone; Financial Analyst for the Department of Finance, reviewed the information
provided on the financial report for the month ending December 31, 2019.
On motion by Steve Anderson to accept and approve the financial report as presented, seconded
by Kyle Richardson,the motion carried by unanimous voice vote.
OLD BUSINESS- -
VINYARD STATION PERFORMANCE AGREEMENT PURCHASE DATE EXTENSION
Ms. Loope reviewed a letter from Barry Thompson,Vinton Town Manager, granting Vinyard
Station,LLC a 30 day extension on the purchase date due to the unexpected death of Mr. Billy -
Vinyard in September and the transfer of the property to Mr. Vinyard's estate. The original
purchase date on the Performance Agreement-was December 31. The extended date will be
January 31, 2020. All other Performance dates will remain the same.
On motion by Mike Cagle to approve the extension as requested, seconded-by Woody Windley,
the motion was approved by unanimous voice vote. - -
VACORP INSURANCE COVERAGE ADJUSTMENT
A proposal from VaCorp was presented at the November EDA (November 6, 2019)Meeting -
which included$2,000,000 General Liability coverage. Members voted to accept the proposal
from VaCorp; however,requested changing the General Liability coverage to $3,000,000. This
change has been.incorporated in the proposal.
NEW BUSINESS -
ELECTION OF OFFICERS
At this time, Chairman Musselwhite stated the floor was open for nominations for Chair and
Vice- Chair of the EDA.
Woody Windley made a motion to reappoint Steve Musselwhite as Chairman. Hearing no
further nominations, Steve Anderson seconded the motion which carried by unanimous voice
vote. -
Kirtesh Patel made a motion to reappoint Woody Windley as Vice-Chair. Hearing no further
nominations, Mike Cagle seconded the motion which carried by unanimous voice vote.
Jill Loope was reappointed as Secretary/Treasurer after a motion by Mike Cagle and second by
Kirtesh Patel which carried by unanimous voice vote.

CLOSED MEETING
At 10:20 a.m., Greg Apostolou moved to go into closed session,pursuant to the Code of Virginia
Section 2.2-3711 A(5)Discussion concerning a prospective business or industry or the.
expansion of an existing business or industry where no previous announcement has been made of
the business' or industry's interest in locating or expanding its facilities in the community. The
motion was seconded by Kyle Richardson and carried by the following recorded vote.
AYES: Mr. Patel,Mr. Windley,Mr.Anderson,Mr. Apostolou,Mr. Richardson,Mr.
Musselwhite,Mr. Windley
NAYS: NONE
ABSENT: Mr..Shah,Mr. Beyer
The closed meeting was held from 10:20 a.m.until 10:45 a.m.
Certifying the closed meeting was held in conformity with the Code of Virginia
WHEREAS,the Economic Development Authority of Roanoke County, Virginia has convened
a closed meeting on January 17,2020 pursuant to an affirmation-recorded vote and in
accordance with the provisions of The Virginia Freedom of Information Act.
WHEREAS,the public business matters addressed in the closed meeting were exempt from the
open meeting requirements,pursuant to Section 2.2-371.1 A(5) discussion concerning a
prospective business or industry or the expansion of an existing business or industry where no
previous announcement has been made of the business'or industry's interest in locating or
expanding its facilities in the community. Section §2.2-3712(D)of the Code of Virginia
requires a certification by the Economic Development Authority of Roanoke County, Virginia,
that such closed meeting was conducted in conformity with the Virginia Code.
NOW THEREFORE,BE IT RESOLVED,that the Economic Development Authority of
Roanoke County, Virginia, hereby certifies that,to the best of each members knowledge only
such public business matters as were identified in the motion convening the closed meeting were
heard, discussed or considered by-the-Economic Development Authority of Roanoke County,
Virginia
At 10:45 a.m., Greg Apostolou moved to return to open session and adopt the certification, seconded
by Woody Windley. The motion was filed-and carried by the following recorded vote:

BRIEFING—GO VIRGINIA GRANTS
Tom Rowley, Economic Development Manager,reviewed a PowerPoint presentation on"Go
Virginia"(Growth and Opportunity) grants which was initiated in 2015 by the VA Business
Higher Education Council and the Council on VA's future. "Go Virginia" is funded by growth
revenue and repurposed dollars and efficiency savings.
Roanoke County is included in Region 2 along with the cities of Covington, Lynchburg, Radford,
and Salem and the counties of Alleghany,Amherst,Appomattox,Bedford, Botetourt, Campbell
Craig, Floyd, Franklin, Giles, Montgomery, Pulaski and Roanoke. Region 2 industry sector
targets are Manufacturing, Life Science and Health Care, Food and Beverage Processing and
Emerging Technology and IT, with the objective to grow jobs with higher than the regional
median wage. Virginia Tech Office of Economic Development serves as our region's support
organization providing fiduciary oversight and administrative services.
Listed below are ten Region 2 grants thus far in workforce, entrepreneurship and infrastructure.
Mr. Rowley gave an overview of each grant.
• Stopping the Brain Drain—RCED provides staff assistance in study and
implementation
• Talent Collaborative—RCED provides 150 hours of staff time
• Regional Career and Technical Education Study—RCED provides 40 hours staff
time
• Developing a Destination for Talent—RCED provides 200 hours staff time
• Blockchain Ecosystem Catalyst—RCED- $6,000 support
• Capital Ecosystem Development—RCED $5,000.support
• Regional Acceleration And Mentorship Program (RAMP)—Support Letter
• Increasing the Birth Rates of New High Growth Companies—Annual support of
Foundation
• Regional Entrepreneur Initiatives—RCED $25,983 support
• Wood Haven Road Water and Sewer Infrastructure—$200,00 grant with Roanoke
County funding support provided through its membership in the WVRIFA
ECONOMIC DEVELOPMENT UPDATES
Ms. Loope stated the Board of Supervisors has a new member, Paul Mahoney who replaced
George Assaid, Cave Spring Magisterial District. David Radford has been elected Chair and Phil
North, Vice-Chair.
The Board of Supervisors will hold a Retreat on February 2, 2020.

The planned restructuring designed to combine Community Development, Engineering and
Economic Development departments will not move forward. Individual departments will
continue with Philip Thompson as Director of Planning and Tarek Moneir as Director of
Development Services. Both Mr. Thompson and Mr. Moneir held positions in interim status.
Ms. Loope stated she would like members to hold the date of January 31, 2020 for an important
event. The Governor of Virginia will be at the event and she encouraged each one to attend. A
formal invitation will be sent prior to the event.
Ms. Loope thanked members for their flexibility regarding the scheduling of the yearly
organizational meeting.
The next regularly scheduled meeting will be February 19, 2020.

a.m.
