Ruth Ellen Kuhnel, Assistant County Attorney The Economic Development Authority of Roanoke County, Virginia met this day at the Roanoke County Administration Center,this being their regularly scheduled meeting Call to order Mr. Musselwhite called the meeting to order at 9:00:a.m New Member Ms. Loope introduced Mr. Steve Anderson, newly appointed member representing the Cave Spring Magisterial District. Mr. Anderson is employed with Pixel Optics. Everyone welcomed Mr. Anderson. Minutes A motion was made by Greg.Apostolou seconded by Paul Henkel.to approve the January 16, 2013 minutes as read. The motion carried by unanimous voice vote. Finance Report Brian Carter, Finance:Manager, presented the financial report for the period ending March 31, 2013. He reported the equity in pooled cash to be $668,905.54. He reviewed recent activity EDA Minutes Page 2 April 17, 2013 which included payments to Varsity Landscaping in the amount of$15,000, Tecton Products in the amount of $53,255.31 and funding in the amount of $28,880 required for Phase 1 of the Plantation Road Enhancement Grant. The Plantation Road Enhancement Grant was approved on April 18, 2012; however, the grant amount was approved January 16, 2013. A motion approving the financial report was made by Woody Windley, and seconded by Paul Henkel. The motion carried by unanimous voice vote. NEW BUSINESS Resolution Accepting CRT Property Paul Mahoney, EDA Counsel, submitted a resolution signifying acceptance of a 430.27 acre tract of land at CRT from the Board of Supervisors. Roanoke County Charter requires the Board of Supervisors to authorize the sale of real estate only by the adoption of an ordinance and adoption of an ordinance requires two readings at two regular Board meetings. Also, no property shall be sold at public or private sale until a public hearing is held. These procedural requirements could delay the transfer of real estate to an economic development prospect, and perhaps this delay could jeopardize the overall transaction. It has been the Board's practice to first convey the property to the EDA, then in turn from the EDA to the economic development prospect. This conveyance to the EDA will shorten the time period involved in concluding an economic development transaction, while still complying with the statutory procedural requirements. Conveying this real estate to the EDA now will satisfy the initial procedural requirements for any subsequent transaction. Mr. Mahoney assured members there was no personal liability regarding this transaction. After discussion, a motion was made by Greg Apostolou, seconded by Woody Windley to adopt the resolution. The motion carried by unanimous voice vote. Approval of Amended EDA By-Laws The Roanoke County EDA previously consisted of seven (7) EDA members appointed at large. Recently, this number changed to ten (10) members allowing 2 members for each magisterial district. As a result of more members, the quorum also changed to six (6). In response to a query by Mr. Musselwhite regarding"conference call" attendance, Mr. Mahoney stated he would send members information regarding this practice. A motion was made by Paul Henkel, seconded by Kirtesh Patel to approve the amended EDA By-Laws. The motion carried by unanimous voice vote. EDA Minutes Page 3 April 17,2013 Resolution Authorizing Acquisition of 7.766 Acres of Real Estate from VDOT, and the Convenyance of Said Real Estate to Mennel Milling Company. Paul Mahoney, EDA Counsel, presented for consideration a proposed resolution that would authorize the acquisition of 7.766 acres of real estate from the Commonwealth of Virginia by the Roanoke County EDA. In 2006, Mennel Mills exchanged several parcels of real estate with the Commonwealth of Virginia, and one of these parcels is the 7.766 acres of real estate that will be the subject of the proposed resolution. Mennel has been working to re-acquire this real estate and has searched for comparable property to convey to the Commonwealth for a VDOT maintenance area headquarters. After much negotiation and with the help of local delegates, the Commonwealth of Virginia is now willing to sell the 7.766 acre parcel of land to Roanoke County for a purchase price of $735,000. Roanoke County will then sell the property to Mennel Mills. Mr. Mahoney stated Sam Long provided the appraisal. After discussion, a motion was made by Greg Apostolou, seconded by Woody Windley to adopt the resolution authorizing acquisition of 7.766 acres of real estate from VDOT. The motion carried by unanimous voice vote. Paul Mahoney, EDA Counsel, presented for consideration a proposed resolution that would authorize the conveyance of 7.766 acres of real estate from Roanoke County EDA to Mennel Mills. A motion was made by Paul Henkel, seconded by Steve Anderson to adopt the resolution authorizing the conveyance of said real estate to Mennel Milling Company. The motion carried by unanimous voice vote. ECONOMIC DEVELOPMENT UPDATES Business Appreciation Week: Ms. Loope stated that Business Appreciation Week is June 3 through June 7, 2013. In recognition of BAW, the Depai liiient of Economic Development is planning a breakfast June 6 at 8:00 a.m. at the Holiday Inn Tanglewood. The Honorable Lt. Governor William "Bill" Bolling will be the guest speaker. She asked that everyone mark their calendar for that date. Prospect Activity: Ms. Loope stated she has been working with four prospects recently, three of which are large prospects, all looking at the same real estate. Economic Summit: Ms. Loope stated area leaders are looking at multi jurisdictional parks and handing off to local economic development leaders. INQUIRIES FROM THE BOARD MEMBERS Kirtesh Patel stated he would like to have regular updates regarding economic development matters. EDA Minutes Page 4 April 17, 2013 In response to a query by Woody Windley, Ms. Loope stated the open seat is in the Catawba Magisterial District. Woody Windley asked about the Broadband Study. Ms. Loop stated there is a Roanoke Valley Broadband/Fiber Task Force. She stated they are working to form a Broadband Authority. Therefore, she felt the region's broadband efforts were moving forward, and the creation of a broadband authority was needed to keep momentum behind increasing broadband access and affordability. Roanoke County had been busy working on their budget; however, has not identified any broadband specific funding at this time. Steve Anderson stated that Virginia Tech's Innovation in Manufacturing Conference is scheduled at Hotel Roanoke April 23-24, 2013. The two-day event will bring together industry leaders, researchers, students and professionals to exchange ideas around innovative practices and approaches to meet the needs of the manufacturing industry. Through discussion of industry needs and experiences and emergent research in a variety of fields such as hard sciences and engineering, the event will accelerate idea-sharing among leaders in Virginia's manufacturing sector and promote the growth and stability of manufacturing in the Commonwealth and Mid-Atlantic region.
