The Economic Development Authority of Roanoke County, Virginia met this day at the
Roanoke County Administration Center, this being their regularly scheduled meeting.
Call to.order
Mr. Musselwhite called the meeting to order at 9:00 a.m
Minutes
Two changes were made to the minutes of April 16, 2013. Mr. Steve Anderson's place:of
employment was changed to read Pixel Optics and "Elect" was removed from the Chairman and
Vice-Chairman. A motion was made by Greg Apostolou, seconded by Steve Anderson to
approve the amended minutes. The motion carried by a unanimous voice vote.
Finance Report
Brian Carter, Finance Manager presented the 'financial: report for the period ending May 31,
2013. He reported the equity in pooled cash to be $6.1.5,679.78.. He reviewed the attached...
financial report and stated there had been very little activity since the last report.

A motion approving the financial report was made by Woody Windley, and seconded by Sunny
Shah. The motion carried by unanimous voice vote.
Brian Carter presented the proposed 2013-2014 operating budget in'the amount of$7,860, a copy
of which is attached. A motion accepting the proposed budget was made by Woody Windley
and seconded by Steve Anderson. The motion carried by unanimous voice vote.
Performance Agreement Review
Brian Carter provided a review of Economic Development Performance Agreement beginning in
2001 to the current date. Twenty-four agreements have been completed with a total capital
investment of$230,000,000 with over 900 new jobs created. Currently, there are four remaining
active agreements. (Copy of review attached)
In response to a query by Steve Mu'sselwhite regarding property on;Tlirlane Road, Ms. Loope
stated there was difficulty reaching an agreement because of complex infrastructure issues. The
original agreement with Virginia Blue Ridge, LLC is void and additional discussions have been
unsuccessful to date.
NEW BUSINESS.
Downtown Vinton Facade Grant-Salon 21 -Angela Burton
Anita McMillan, Vinton Planning Director, was-present representing the ,application. Ms.
McMillan stated Vinton Town Council expanded the downtown boundaries in November thus
allowing the façade grant boundaries to be expanded. Ms.Angela Burton is the owner of Salon.
21 and plans an expansion to accommodate 6 hairdressers.
The proposed'renovation will;be $25,000; therefore, she is requesting a grant in the amount of
$5,000 which is the,maximum amount allowed.
Woody Windley asked if the request met the facade requirements with Ms. McMillan responding
in the affirnative: ' She "stated staff worked with Ms. Burton to design the best possible'
improvement to the business facade and wanted to work to keep businesses in the downtown
area. Mr. Windley stated his only concern was starting a precedent.
After discussion; a motion was made by Greg Apostolou, seconded by Bill Branch to approve
the grant in the amount of$5,000.

. ECONOMIC DEVELOPMENT UPDATES
Ms. Loope reported that the Business Appreciation Breakfast held on June 6 in recognition of
Business.Appreciation Week was a success. The Honorable Lt.,Governor William "Bill" •
Bolling was the keynote speaker. -
She. also stated that Coca-Cola is having a ribbon cutting'at 11:30 op June-25 to announce the
expansion of their warehouse facility at Valley Gateway off Route 460. All members are invited
to attend. ,
Holiday Inn Tanglewood is hosting an open house today,-June 6, to showcase their recent
remodeling and all members are invited to attend. --
DRI annual meeting is scheduled today,;June'6, at Center in the Square.
A ribbon cutting was held on June 18 for VitaKING, a sports:nutrition vitamin store that recently • '
located in The Forum. The-owners.targeted Roanoke and moved here from„Naples, Florida.
They conveyed their interest in the area and were-very happy they.chose Roanoke. Ms. Loope
y encouraged everyone to stop by and visit the store and welcome a small business to Roanoke. '
The Roanoke County School Board and The Board .of Supervisors are ..currently,considering
options to sell both Roland E. Cook and the former William Byrd High School. Both schools are
located in Vinton. :Mr. Mahoney.stated the county would like` to find:out the interest by
accepting RFPs for the properties. Steve Musselwhite suggested that the EDA members tour the ..
facilities:
- At this time, Paul Mahoney, stated he had a closed session item to be added to the agenda.
CLOSED SESSION
At 9:35 aim, Sunny Shah moved to go into closed meeting, seconded by Steve Musselwhite,
pursuant,to the Code of.Virginia Section 2.2-3711 A (29) discussion regarding the terms or scope
of a public contract where.discussion in'an open session would adversely affect the bargaining
position or negotiating strategy of the public body, more specifically a performance agreement '
between Roanoke County;-Roanoke County Economic Development,Authority and Ardagh
Group. .
• The closed meeting was held,from 9:35 a.m. until 10:05 a.m. '
' Certifying the closed:meeting was held in conformity with the code of Virginia. ,
' At. 10:05 a.m., Greg Apostolou moved to. return:to open session and, adopt the certification. The
motion was seconded by Steve Anderson

WHEREAS, the Economic Development Authority of Roanoke County, Virginia has convened
a.closed meeting on the date pursuant to an affirmation-recorded vote and in accordance with the
• provisions of The Virginia Freedom of Information Act.
WHEREAS, pursuant to the Code of Virginia Section 2.2-3711A (29) discussion regarding the
terms or scope of a public contract where discussion in an open session would adversely affect
the bargaining position or negotiating strategy of the public body, more specifically a
performance agreement between Roanoke County, Roanoke County Economic Development
Authority and Ardagh Group. Sections §2.2-3712 (D) of the Code of Virginia requires a
certification by the Economic'Development Authority of Roanoke County, Virginia, that such
closed meeting was conducted in conformity with the Virginia Code.
.NOW THEREFORE, BE IT RESOLVED, that the Economic Development Authority of
Roanoke County, Virginia, hereby certifies that, to the best of each member's knowledge only
such public business matters as were identified in the motion convening the closed meeting were
heard, discussed or considered by the Economic Development Authority of Roanoke County,
Virginia.
On a motion of 6-0 to adopt the Certification or Resolution for a Closed Meeting and carried by
the following recorded vote:
AYES: Chairman, Steve Musselwhite, Woody Windley, Vice Chairman, Bill Branch
Steve Anderson, Greg Apostolou, and Sunny Shah
NAYS: None
ABSENT: Paul Henkel, Tommy Wood and Kirtesh.Patel •
A motion was made by Greg Apostolou and seconded by Steve Anderson to approve the Ardagh
Group Performance Agreement as presented, and to authorize the Chairman, Steve Musselwhite;
to sign the agreement on behalf of the EDA. Further, it was determined that the final details of
the ageement will be developed between Ardagh Group and Roanoke County based upon the
capital investment and employment goals as presented and submitted in final form as approved
by the County Attorney for the Chairman's signature after approval by the Board of Supervisors.
The motion carried as follows:
AYES: Chairman, Steve Musselwhite, Woody Windley, Vice Chairman, Bill Branch
Steve Anderson, Greg Apostolou, and Sunny Shah
NAYS: None
ABSENT: Paul Henkel, Tommy Wood and Kirtesh Patel
