Members Present Chairman-Bill Branch Vice Chairman-Steve Musselwhite Greg Apostolou Carole Brackman Secretary-Treasurer, Doug Chittum Recording Clerk, Glenna Ratcliffe Members Absent Woody Windley "Cap"Robinson Anthony Conner Guest Jill Loope, Assistant Director of Economic Development, Roanoke County, Elizabeth Atkinson,Manager of Finance and Consuella Caudill,Assistant Vinton Town Manager. The Economic Development Authority of Roanoke County, Virginia met this day at the Roanoke County Administration Center,this being the Annual Meeting. Call to order Chairman, Billy Branch, called the meeting to order at 9:05 A.M. Minutes A motion was made by Greg Apostolou and seconded by Steve Musselwhite, to approve the January 21st minutes as read. The motion carried by unanimous voice vote. Finance Report Elizabeth Atkinson, Manager of Finance, presented the financial reports for the current period through April 30, 2009 and reviewed recent transactions. The cash balance is presently$641,284. After a motion by Carol Brackman and second by Steve Musselwhite, the report was accepted as presented by unanimous voice vote. Page 2 May 20, 2009 Economic Development Authority Minutes New Business Vinton Downtown Facade Grant —Vinton Appliance Center,Inc. Prior to discussion of this request, Steve Musselwhite informed the Board he had recently sold this property to Jeff Janney but stated he had no financial interest in the property at the present time. Consuella Caudill, Vinton Assistant Town Manager, was present representing the application submitted by Jeff Janney, DBA Vinton Appliance Center, Inc. Ms. Caudill reviewed the application as presented and pointed out the request was for two grants; one for 100 E. Lee Avenue and 120 S. Pollard Avenue. The total estimate for 12 new windows, 2 panel wood doors, painting of upper side of building and back alley walls, replacement of new awning in front and side of building was $16,923; therefore, in accordance with county guidelines, the grant request was in the amount of $8,461.50. After a motion by Greg Apostolou and second by Carol Brackman, the request was approved by unanimous voice vote. Briefings Update on CRT Jill Loope, Assistant Director of Economic Development, stated work has been completed at CRT. She stated the landscaping is complete, the street lights are installed and the property looks great and now ready to market. Update on VallevTech Park Jill Loope, Assistant Director of Economic Development, stated work is complete on the sign located at Valley TechPark. She presented photos of the sign with the addition of Industrial Battery and apprised the EDA the cost of the work to the sign was taken from a county capital account rather than the EDA account as previously discussed. CLOSED MEETING At 9:20 a.m., Carole Brackman moved to go into closed meeting, seconded by Steve Musselwhite, pursuant to the Code of Virginia Section 2.2-3711A(3) discussion or consideration of the acquisition of real property for public purposes, namely the Salem Vent International property. The closed meeting was held from 9:20 a.m.until 9:40 a.m. Certifying the closed meeting was held in conformity with the code of Virginia. At 9:40 a.m., Carol Brackman moved to return to open session and adopt the certification, seconded by Steve Musselwhite. Page 3 May 20,2009 Economic Development Authority Minutes WHEREAS, the Economic Development Authority of Roanoke County, Virginia has convened a closed meeting on the date pursuant to an affirmation-recorded vote and in accordance with the provisions of The Virginia Freedom of Information Act. WHEREAS, Section 2.2-3711 A (3) discussion or consideration of the acquisition of real property for public purposes, namely Salem Vent International property. Sections §2.2-3712 (D) of the Code of Virginia requires a certification by the Economic Development Authority of Roanoke County, Virginia, that such closed meeting was conducted in conformity with the Virginia Code. NOW THEREFORE, BE IT RESOLVED, that the Economic Development Authority of Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge on such public business matters as were identified in the motions convening the closed meeting were heard, discussed or considered by the Economic Development Authority of Roanoke County, Virginia On a motion of 4-0 to adopt the Certification or Resolution for a Closed Meeting and carried by the following recorded vote: AYES: Chairman, Bill Branch, Vice Chairman, Steve Musselwhite, Greg Apostolou, Carole Brackman, NAYS: None ABSENT: Allan"Cap"Robinson, Anthony Conner, Woody Windley At the request of the EDA, Mr. Chittum stated he would prepare a letter to the Attorney for Salem Vent International requesting a specific proposal for discussion and relaying that the primary interest of the county is development of the property and conveying that the county has no interest in waiving paragraph 6 and 7 of the covenants and restrictions attached to said property. CLOSED MEETING At 9:45 a.m., Carole Brackman moved to go into closed meeting, seconded by Steve Musselwhite, pursuant to the Code of Virginia Section 2.2-3711A(29) discussion regarding the terms of scope of a public contract where discussion in an open session would adversely affect the bargaining position or negotiating strategy of the public body, more specifically a performance agreement between Roanoke County, Roanoke County Economic Development and Integrity Windows. The closed meeting was held from 9:45 a.m. until 9:55 a.m. Certifying the closed meeting was held in conformity with the code of Virginia. The motion carried by unanimous vote.
