The Economic Development Authority of Roanoke County, Virginia met this day at the
Roanoke County Administration Center,this being their regular monthly meeting
Call to order
Chairman,Billy Branch, called the meeting to order at 9:00 A.M. "

A motion was made by Woody Windley and seconded by Carole Brackinan, to approve the
August 19th minutes as read. The motion carried by unanimous voice vote.
Finance Report
Elizabeth Atkinson, Finance Manager, presented the financial report for the period ending
October 31. She reported the equity in pooled cash to be $653,393.09.` She stated the audit is
now complete and a copy should be available by the next meeting. : A motion was made by.Cap.
Robinson and seconded by Greg Apostolou to accept the financial report as presented: . The
motion carried by unanimous voice vote.

Vinton Facade Grant
Consuella Caudill, Assistant Town Manager, was present representing the façade grant request.
She stated Vinton Appliance Center, Inc. was awarded a façade grant on May 20, 2009 using an
estimate for replacement windows from M &W Windows. After further examination,
it was discovered some of the windows had to be ordered special because of the size causing a
change in the vendor. As a result, the cost estimate increased and the 50/50 match is now
$10,686.25, an increase of$2,089.75..
Upon query by Chairman, Bill Branch, Ms. Caudill stated the interpretation of the guidelines was
that each storefront was deemed eligible for a façade grant in the amount of$5,000 each. She
stated each grant requested by Mr. Janney is in the amount of$5,343,13, a small amount over the
recommended guidelines. She stated Mr. Janney had worked with the Town of Vinton and she
felt the improvements conform to the Town of Vinton Commercial Façade Design Guidelines
and the applicable ordinance for the Town of Vinton.
After confirmation from Ms. Caudill that the changes to the grant were in compliance with
approved design and conformance with design guidelines and the façade grant guidelines and
that the Town of Vinton had approved this approach to the grant, Anthony Conner made a
motion to approve the request as presented. Ms. Brackman seconded the motion which carried
by unanimous voice vote.
Ms. Caudill will forward a contract for signature to the EDA Chairman and invoices as required
for reimbursement.
Yearly Audit Discussion
Mr. Chittum submitted to the EDA a schedule of revenue spreadsheet. In the past,bondholders
have been responsible for Audit charges based on the confirmed balance of loan with an
additional $100 attorney fee. During fiscal year 2008-09,the EDA voted to pay one-half the
audit fee and divide the remaining half between bondholders based on the loan balance.
After discussion, a motion was made by Woody Windley, seconded by Carole Brackman to
follow the same process -that being the EDA paying one-half of the audit cost with the balance
to be billed to bondholders. The motion carried by unanimous voice vote.
Plantation Road & VDOT Enhancement Grant
Mr. Chittum stated the Board of Supervisors (at their November 17th Public Hearing)passed a
resolution in support of the application for the Plantation Road&VDOT Enhancement Grant
and identified possible funding sources to be considered that being Public Private Partnership
Funds and EDA funds.

Megan Cronise was present and stated the grant application is due December 1; however,the
awards will not be announced until May or June of next year. She stated staff felt very hopeful
regarding the grant as the county has a strong staff, a history of getting things done and business
support of the request.
There was unanimous support among EDA members towards supporting a portion of the grant
match with EDA funding. This funding will not be formally requested until such time the grant
is awarded.
Economic Development Strategy
Mr. Chittum stated the County Administrator has asked the Department of Economic
Development to prepare an Economic Development Strategy and suggested the EDA be involved
in the process. He stated the document could be prepared internally,by a paid consultant or a
hybrid. Mr. Branch, Chairman, asked that a summary of the possible methods of completing
this strategy be prepared by staff and presented to the EDA at its next meeting.
CLOSED SESSION
At 9:55 a.m., Carole Brackman moved to go into closed session, seconded by Anthony Conner,
pursuant to the COV §2.2-3711.A.1 discussion or consideration of the employment or
appointment of legal counsel.
The closed meeting was held from 9:55 a.m. until 10:10 a.m.
Certifying the closed meeting was held in conformity with the code of Virginia.
At 10:15 a.m., Anthony Conner moved to return to open session and adopt the certification, seconded
by Carol Brackman.
WHEREAS, the Economic Development Authority of Roanoke County, Virginia has convened
a closed meeting on the date pursuant to an affirmation-recorded vote and in accordance with the
provisions of The Virginia Freedom of Information Act.
WHEREAS,Section 2.2-3711.A.1 discussion or consideration of the employment or
appointment off legal counsel. Sections §2.2-3712 (D) of the Code of Virginia requires a
certification by the Economic Development Authority of Roanoke County,Virginia, that such
closed meeting was conducted in conformity with the Virginia Code.
NOW THEREFORE, BE IT RESOLVED, that the Economic Development Authority of
Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge, only
such public business matters as were identified in the motion convening the closed meeting were
heard, discussed or considered by the Economic Development Authority of Roanoke County,
Virginia.

On a motion of 6-0 to adopt the Certification or Resolution for a Closed Meeting and carried by
the following recorded vote:
AYES: Chairman, Bill Branch, Greg Apostolou, Carole Bradman, Allan "Cap"
Robinson, Anthony Conner, Woody Windley
NAYS: None
ABSENT:. None
Allan "Cap" Robinson made a motion to appoint Roanoke County Attorney, Paul Mahoney, to
represent the EDA on an interim basis. Anthony Conner seconded the motion which carried by a
unanimous voice vote.
