Members Present Chairman-Bill Branch Vice Chairman-Steve Musselwhite Greg Apostolou Carole Brockman Woody Windley Alan"Cap"Robinson Anthony Conner Counsel,Ed Natt Secretary-Treasurer,Doug Chittum Recording Clerk, Glenna Ratcliffe Members Absent None Guest Jill Loope,Assistant Director of Economic Development The Economic Development Authority of Roanoke County, Virginia met this day at the Roanoke County Administration Center,this being their regular monthly meeting Call to order Chairman,Billy..Branch, called the meeting to order at 9:00 A.M. Minutes A motion was made by "Cap" Robinson and seconded by Steve Musselwhite, to approve the May 20th minutes as read. The motion carried by unanimous voice vote. Finance Report The cash balance at the end of June 2009 was $652,732.58. The cash balance at the end of July was $653,633.94. One significant transaction was payment to Foti Flynn for FY2008 audit in the amount of$4,080. The reports were received and filed. CLOSED MEETING At 9:05 a.rn.:, Steve.Musselwhite moved to go into closed meeting, seconded by"Cap"Robinson, ' pursuant to the Code of Virginia Section 2.2-3711A.(3) discussion or consideration of the acquisition of real property for a public purpose or of the disposition of publicly held real property,namely Salem Vent, where discussion in an open meeting would adversely affect the bargaining position or negotiating strategy of the public body. .age 2 August 19,2009 in, Economic Development Authority Minutes The closed meeting was held from 9:05 a.m. until 9:30 a.m. Certifying the closed meeting was held in conformity with the code!of Virginia. At 9:30 a.m., Cap Robinson moved to return to open session and adopt the certification, seconded by Anthony Conner. WHEREAS, the Economic Development Authority of Roanoke County, Virginia has convened a closed meeting on the date pursuant to an affirmation-recorded vote and in accordance with the provisions of The Virginia Freedom of Information Act. WHEREAS, Section 2.2-3711 .A (3) discussion or consideration of the acquisition of real property for public purposes, or of the disposition of publicly held real property, where discussion in an open meeting would adversely affect the bargaining position or negotiating strategy of the public body. Sections §2.2-3712 (D) of the Code of Virginia requires a certification by the Economic Development Authority.of Roanoke County, Virginia, that such closed meeting was conducted in conformity with the Virginia Code. NOW THEREFORE, BE IT RESOLVED, that the Economic Development Authority of Roanoke County, Virginia, hereby certifies that,to the best of each members knowledge on such public business matters as were identified in the motions convening the closed meeting were heard, discussed or considered by the Economic Development Authority of Roanoke County, Virginia On a motion of 7-0 to adopt the Certification or Resolution for a Closed Meeting and carried by the following recorded vote: AYES: Chairman, Bill Branch, Vice Chairman, Steve Musselwhite, Greg Apostolou, Carole Brackman, Woody Windley,Anthony Conner, Allan"Cap"Robinson NAYS: None ABSENT: None A motion was made by Steve Musselwhite, seconded by Anthony Conner(1)to waive the option provisions of Paragraphs 6 (waiving the right of the EDA to reacquire the property) for a period of 6 months and(2)to waive the provisions of Paragraph 7 (waiving the right of first refusal) for a period of 6 months, each as to the Protective Covenants on Lot 4A, Valley Tech Park. The Authority shall consider a second six month waiver of these provisions if, at the end of the first 6 months,the owner is in good faith aggressively pursuing the sale of the property to an appropriate buyer. However, the EDA does not waive the right to approve any subdivision or sale of the property as set forth in Paragraph 7 and such shall remain in full force and effect. At -- the end of the waiver period the EDA will determine how to proceed, including but not limited to the repurchase of the property at the original purchase price per acre as per the protective covenants, Conditions and Restrictions for the Valley Tech Park. The motion carried by unanimous voice vote.
