Members Present Chairman-Bill Branch Greg Apostolou Carole.Bradman Allan"Cap"Robinson Woody Windley Counsel, Dan Barnes Secretary-Treasurer, Doug Chittum Recording Clerk, Glenna Ratcliffe Members Absent Vice Chairman-Steve Musselwhite Anthony Conner _ Guest Jill Loope,Assistant Director of Economic Development, Roanoke County Elizabeth Atkinson, Manager of Finance The Economic Development Authority of.Roanoke County, Virginia met this day at the Roanoke County Administration Center, this being their regularly scheduled monthly meeting. Call to order Chairman, Billy Branch, called the meeting to order at 9:03 A.M. Minutes A motion was made by Cap Robinson and seconded by Woody Windley, to approve the minutes as read. The motion carried by unanimous voice vote. Finance Report Elizabeth Atkinson, Manager of Finance, presented the Financial Reports for the current period through June 30, 2008 and presented the proposed EDA budget for the Year Ending June 30, 2009._ A motion was made by Allan "Cap" Robinson and seconded by Greg Apostolou to accept the financial report as given including the proposed EDA Budget for the Year ending June 30, 2009. `� � The motion carried by unanimous voice vote. Page 2 August 20,2008 Economic Development Authority Minutes Briefings Richfield Retirement Community 'Mr. Chittum apprised members of the EDA that bond counsel for Richfield Retirement Community contacted Mr. Barnes regarding possible authority financing. A completed application is expected for the September meeting. Richfield will be requesting to refinance an existing loan and possible financing for construction of two additional assisted living units. Novozvmes.Performance Agreement Ms. Loope, Assistant Director of Economic Development, addressed members of the EDA regarding the Novozymes Performance Agreement. As of December 2008, Novozymes will not be in compliance with the executed Performance Agreement. The Board of Supervisors gave a two year extension to the original agreement for construction of a manufacturing facility. However, that deadline is approaching (December, 2008) and the company still has not built the facility. The Board of Supervisors have indicated they do not wish to grant further extensions. Ms. Loope stated she has met with company officials with friendly dialogue. She stated the company is doing very well but they do not feel the time is right to build the manufacturing facility. They are not saying they will never build,just won't build right now. After some discussion, the Board members wanted to convey to the Board of Supervisors their support of having formal discussions with Novozymes regarding expansion on site, possibly a right of first refusal for property. CLOSED MEETING At 9:10 a.m., Allan"Cap"Robinson moved to go into closed meeting, seconded by Greg Apostolou,pursuant to the Code of Virginia Section 2.2-3711(A) (29), for a discussion regarding the terms of the scope of a public contract where discussion in an open session would adversely affect the bargaining position or negotiating strategy of the public body, more specifically to discuss revisions to a performance agreement between Roanoke County, Roanoke County Economic Development and Tecton. A motion was made by Cap Robinson, seconded by Carol Brackman to extend the performance agreement with Tecton Products by 15 months and authorize the Chairman, Billy Branch, to sign the amended agreement. The closed meeting was held from 9:10 a.m. until 9:20 a.m. `� ' Certifying the closed meeting was held in conformity with the Code of Virginia. Page 3 August 20,2008 Economic Development Authority Minutes At 9:20 a.m., Greg Apostolou moved to return to open session and adopt the certification, seconded by Allan"Cap"Robinson. The motion was filed and carried by unanimous vote. WHEREAS, the Economic Development Authority of Roanoke County, Virginia has convened a closed meeting on August 20,2008 pursuant to an affirmation-recorded vote and in accordance with the provisions of The Virginia Freedom of Information Act. WHEREAS, the public business matters addressed in the closed meeting were exempt from the open meeting requirements, pursuant to Section §2.2-3711 A (29), in that such matters entailed a discussion regarding the terms or scope of a public contract where discussion in an open session would adversely affect the bargaining position or negotiating strategy of the public body,namely a contract with Tecton. Section §2.2-3712(D) of the Code of Virginia requires a certification by the Economic Development Authority of Roanoke County, Virginia, that such closed meeting was conducted in conformity with the Virginia Code. NOW THEREFORE, BE IT RESOLVED, that the Economic Development Authority of Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge only such public business matters as were identified in the motion convening the closed meeting were heard, discussed or considered by the Economic Development Authority of Roanoke County, Virginia On a motion of 5-0 to adopt the Certification or Resolution for a Closed Meeting and carried by the following recorded vote: AYES: Chairman, Bill Branch, Greg Apostolou, Carole Brackman, Allan "Cap" Robinson, Woody Windley . NAYS: None ABSENT: Vice-Chairman, Steve Musselwhite Anthony Conner Reports and Inquiries of Board Members Hearing none Adjournment Billy Branch, Chairman, adjourned the meeting at 9:25. /.
