Members Present Chairman-Bill Branch Greg Apostolou Carole Brackman Woody Windley • Anthony Conner Counsel,Dan Barnes Secretary-Treasurer,Doug Chittum Recording Clerk, Glenna Ratcliffe Members Absent Steve Musselwhite,Vice-Chairman Allan"Cap"Robinson Guest Jill Loope,Assistant Director of Economic Development,Roanoke County Elizabeth Atkinson,Manager of Finance Al Knighton,Bond Counsel The Economic Development Authority of Roanoke County, Virginia met this day at the Roanoke County Administration Center, this being their regularly scheduled monthly meeting. Call to order Chairman,Billy Branch,called the meeting to order at 9:00 A.M. Minutes A motion was made by Carole Brackman and seconded by Greg Apostolou, to approve the minutes as read. The motion carried by unanimous voice vote. Finance Report Elizabeth Atkinson, Manager of Finance, presented the Financial Reports for the current period through August 31, 2008. By unanimous voice vote, the Financial Reports were accepted as presented. Page 2 October 15,2008 Economic Development Authority Minutes New Business Richfield Retirement Community—Final Resolution for Authority Financing Al Knighton, Bond Counsel, was present to answer questions or address concerns of the EDA regarding the issuance of bonds for Richfield Retirement Community. He stated Richfield was prepared to move ahead with the refinancing of current debt; however, because of the current financial market they are delaying any new construction. A motion was made by Woody Windley, seconded by Carole Brackman authorizing the Chairman,Billy Branch, and Secretary, Doug Chittum, to execute the final resolution approving the issuance of revenue bonds by the EDA of Roanoke County in an aggregate amount not to exceed$10.5 million for the benefit of Richfield Retirement Community. Vinton Facade Grant Application—Citizen's Upholstery Consuella Caudill, Assistant Vinton Town Manager, presented a Façade Grant application on behalf of Mr. Ralph Chumbley, Owner of Citizen Upholstery. Ms. Caudill reviewed the request with the Board Members and apprised them that Mr. Chumbley installed replacement windows, vinyl siding and an awning at his business located at 125 E. Lee Avenue. After the work was completed, Mr. Chumley presented an application for a Vinton Downtown Façade Grant in the amount of$4,654.00. After discussion regarding the Vinton Downtown Mini-Matching Grant process, members expressed concern approving the grant because the project was completed prior to approval by the Town staff and EDA of Roanoke County, as required under the façade grant process. Also, the downtown design criteria does not encourage the use of vinyl siding. Anthony Conner made a motion to approve the grant request with the exception of the cost of the vinyl siding. This motion failed because of the lack of a second. A motion was made by Woody Windley, seconded by Greg Apostolou, to deny the request. This motion carried by a vote of 4-1. Ayes: Woody Windley Absent: Steve Musselwhite,Vice-Chair Greg Apostolou Allan"Cap"Robinson Carole Brackman Billy Branch Nays: Anthony Conner Page 3 October 15,2008 Economic Development Authority Minutes CLOSED MEETING At 9:20 a.m.,Carole Brackman moved to go into closed session, seconded by Greg Apostolou, pursuant to the Code of Virginia Section 2.2-3711(A)(3),for discussion or consideration of the disposition of publicly held real property namely the Jack Smith Industrial Park. The closed meeting was held from 9:20 a.m.until 9:30 a.m. Certifying the closed meeting was held in conformity with the Code of Virginia. At 9:30 a.m., Greg Apostolou moved to return to open session and adopt the certification, seconded by Anthony Conner. The motion was filed and carried by unanimous vote. WHEREAS, the Economic Development Authority of Roanoke County, Virginia has convened a closed meeting on October 15, 2008 pursuant to an affirmation-recorded vote and in accordance with the provisions of The Virginia Freedom of Information Act. WHEREAS, the public business matters addressed in the closed meeting were exempt from the open meeting requirements,pursuant to Section§2.2-3711 A(3),in that such matters entailed a discussion regarding the disposition of publicly held real property, where discussion in an open meeting would adversely affect the bargaining position or negotiating strategy of the public body. Section §2.2-3712(D) of the Code of Virginia requires a certification by the Economic Development Authority of Roanoke County,Virginia,that such closed meeting was conducted in conformity with the Virginia Code. NOW THEREFORE, BE IT RESOLVED, that the Economic Development Authority of Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge only such public business matters as were identified in the motion convening the closed meeting were heard, discussed or considered by the Economic Development Authority of Roanoke County, Virginia. On a motion of 5-0 to adopt the Certification or Resolution for a Closed Meeting and carried by the following recorded vote: AYES: Chairman, Bill Branch, Greg Apostolou, Carole Brackman, Woody Windley, Anthony Conner NAYS: None ABSENT: Vice-Chairman, Steve Musselwhite Allan"Cap"Robinson Page 4 October 15,2008 Economic Development Authority Minutes Briefing Tecton Products,LLC Jill Loope, Assistant Director of Economic Development,reported that on October 14, 2008,the Board of Supervisors approved the modification of the performance agreement for Tecton Products, LLC extending the timeline for completion. Note: The EDA approved this modification request on August 20, 2008 and authorized the Chairman to execute a modified agreement after approval by the Board of Supervisors. Reports and Inquiries of Board Members Hearing none Adjournment Billy Branch, Chairman,adjourned the meeting at 9:35.
