The Economic Development Authority of Roanoke County, Virginia met this day at the Roanoke
County Administration Center, in the Finance conference room. This being the regularly
scheduled monthly meeting.
In the absence of Chairman, Billy Branch, Steve Musselwhite, Vice-Chairman called the
meeting to order at 10:00 A.M.
Minutes
A motion was made by Allan "Cap" Robinson to approve the July 6, 2005, minutes, seconded by
Carole Brackman, carried by unanimous voice vote.
Finance Report
Elizabeth Atkinson, Roanoke County Finance Analyst presented the Finance Reports for the
current period through October 31, 2005. Elizabeth also presented the audit results which were
conducted by Foti, Flynn Lowen & Company at a cost of $3500. A motion was made by Craig
Sharp to accept the financial reports, and the audit report prepared by Foti, Flynn Lowen &
Company through June 30, 2005, seconded by Carole Brackman, carried by unanimous voice
vote.
New Business
By-Laws amendment
Doug Chittum requested this item be moved to new business for the purpose of a motion
concerning amended By-Laws. The Roanoke County Board of Supervisors by
ordinance voted to change the name of the Industrial Development Authority to
Economic Development Authority. Therefore the EDA will need to amend their By-Laws
to reflect the name change to Economic Development Authority. A motion was made by
Carole Brackman to approve the amended By-Laws to reflect the name change.
Seconded by Neil Gallagher.
ITT Night Vision Division Performance Agreement:
Doug Chittum briefed the board concerning the Performance Agreement for ITT Night
Vision Division. The 52 million dollar manufacturing project will create two-hundred fifty
new jobs. ITT Night Vision Division received a Governors Opportunity Fund grant in the
amount of$700,000, with a match of$700,000 approved by the Roanoke County Board
of Supervisors. A reimbursement to ITT in the form of an Economic Development Grant
from the Economic Development Authority will be over a four year period and will equal
to the new tax revenue machinery & tools tax generated by the expansion project. The
Economic Development Grant will be funded by Roanoke County. A motion was made
by Craig Sharp, to send an electronic completed Performance Agreement to each board
member, and to poll each board member by phone within 48 hours to confirm their vote
for Chairman Billy Branch to execute the Performance Agreement between the County
of Roanoke, Economic Development Authority, and ITT Night Vision Division. Seconded
by Carole Brackman.
THE REGULARLY SCHEDULED MONTHLY MEETING OF THE ECONOMIC
DEVELOPMENT AUTHORITY OF ROANOKE COUNTY,VIRGINIA, HELD AT THE
ROANOKE COUNTY ADMINISTRATION CENTER ON NOVEMBER 2, 2005
RESOLUTION CERTIFYING CLOSED MEETING WAS HELD IN CONFORMITY WITH THE
CODE OF VIRGINIA
At 10:30 a.m., Board member Steve Musselwhite moved to go into closed meeting, pursuant to
Code of Virginia Section §2.2-3711.A.5 a discussion concerning a prospective business or
industry or expansion of an existing business where no previous announcement has been made
of the business' or industry's interest in locating or expanding its facilities in the County.
The closed meeting was held from 10:30 a.m. until 11:00 a.m.
CERTIFYING the closed meeting was held in conformity with the Code of Virginia.
At 11:00 a.m., Vice-Chairman Steve Musselwhite moved to return to open session and adopt
the certification. The motion was filed and carried by unanimous voice vote.
WHEREAS, the Economic Development Authority of Roanoke County, Virginia has convened a
closed meeting on the date pursuant to an affirmation-recorded vote and in accordance with the
provisions of The Virginia Freedom of Information Act.
WHEREAS, Section §2.2-3711.A (5) of the Code of Virginia requires a certification by the
Economic Development Authority of Roanoke County, Virginia, that such closed meeting was
conducted in conformity with the Virginia Law.
NOW THEREFORE, BE IT RESOLVED, that the Economic Development Authority of Roanoke
County, Virginia, hereby certifies that, to the best of each members knowledge on such public
business matters as were identified in the motions convening the closed meeting were heard,
discussed or considered by the Economic Development Authority of Roanoke County, Virginia
On a motion of 5-0 to adopt the Certification or Resolution for a Closed Meeting and carried by
the following recorded vote:
AYES: Vice-Chairman-Steve Musselwhite, Carole Brackman, Neil Gallagher, Allan
"Cap" Robinson, Craig Sharp

Briefings
Re-appointments
Doug Chittum informed the board that Billy Branch and Steve Musselwhite were re-
appointed to the Economic Development Authority Board on September 26, 2005 for a
four-year term.
Capital Improvement Program(CIP)
Doug Chittum informed the board that Woody Windley, will represent the Economic
Development Authority on the CIP committee for the year 2006.
Reports and Inquires of Board members
Craig Sharp requested that the Website for Economic Development be updated to reflect
the name change of the Industrial Development Authority to Economic Development
Authority.
Steve Musselwhite, Vice-Chairman adjourned the meeting with unanimous voice vote.
