HomeMy WebLinkAbout8/30/1990 - Minutes _ MINUTES Roanoke County Industrial Development Authority 8:00 a.m, August 30, 1990 Members Present: Members Absent: Charles Saul, Chairman Carson Quarles Bill Branch Darnell Vinyard Rick Cranwell Bill Triplett Dan Zahn Timothy Gubala, Secretary Edward Natt, Counsel Others Present: Paul Mahoney, County Attorney Mark Heath, Regional Partnership Chairman Saul called the meeting to order at 8: 05 a.m. in the Community Room of the Roanoke County Administration Center. He distributed an agenda and minutes from the June 25, meeting. Chairman Saul explained that one of the purposes of the meeting was to review a proposal by Roanoke County's Economic Development Department and County Administrator to have the Authority play a more active role in economic development by exercising their powers for land purchase, sale and lease, etc. (as enumerated in the Code. of Virginia) . A set of draft by-laws for the Authority was presented by Tim Gubala and reviewed by Ed Natt for the Authority. Several minor changes were noted. Charlie Saul inquired about the requirement of a monthly meeting and if Authority members would be compensated for their attendance. Tim Gubala indicated that no meeting would be held if there was not an agenda item. He also stated that the County would reimburse the IDA for those members in attendance .today. Bill Branch made a motion, seconded by Bill Triplett to approve the by-laws as amended. Motion was approved by a unanimous voice vote. Bill Triplett questioned about any liability that the Authority members had. Ed Natt asked County Attorney Paul Mahoney to get a written statement from the County's, ,.insurance carrier that indicated the extent of coverage for the- Authority members. A discussion ensued about the future role of the Authority in regards to economic development. Charlie Saul repeated the County's request to have the Authority exercise its various powers. He felt that the Authority members should officially respond to the County's request. Bill Triplett made a motion to have the Industrial Development Authority act in accordance with the County's request. The motion was seconded by Rick Cranwell and passes by unanimous voice vote. Tim Gubala and Mark Heath made a presentation on the Salem-West site of 160± acres and indicated recent prospect activity. Mark Heath reported that he had a prospect whom wanted the County to obtain an option in the site so that environmental testing could occur. The County in turn is requesting the Industrial Development Authority to obtain an option on their behalf. Funds will be transferred from the County for the deposit amount. Mark Heath indicated that the prospect asked for two other tracts to be optioned. Option deposits would be paid by the Authority and then reimbursed by the prospect through the partnership. After further discussion, Bill Triplett made a motion for the Authority to obtain three (3) options; the Salem-West property and two others to be specified by the Regional Partnership, and to authorize Charlie Saul; to sign for the Authority. Seconded by Bill Branch and approved by unanimous voice vote. Mark Heath requested that the Authority consider requesting rezoning to Industrial District M-2 to meet the prospects needs. Upon a motion of Dan Zahn and seconded by Bill Branch it was moved that after the option was obtained in the Salem-West property and funding for the deposit the Authority would authorize the filing of rezoning as required by the prospect. Motion was approved by unanimous voice vote. Ed Natt then asked what role did the Authority see for him as their counsel. After some discussion about the role of the County Attorney and the Authority's counsel, it was determined that there was a workable relationship. Bill Branch made a motion to retain Ed Natt as the Authority counsel. Motion was seconded by Dan Zahn and passed by unanimous voice vote. Ed Natt indicated that the 1989 Audit would be published in several weeks. Paul Mahoney and Ed Natt agreed to stay after the Authority meeting to complete a review of a draft option for Salem-West. Tim Gubala was requested to obtain a transfer of funds to the Authority. It was moved by Bill Branch and seconded by Rick Cranwell to authorize Dan Zahn to sign the option and/or rezoning in Charlie Saul 's absence.
