HomeMy WebLinkAbout2/13/1991 - Minutes MINUTES Roanoke County Industrial Development Authority 9 a.m. , February 13, 1991 Members Present: Members Absent: Charles Saul, Chairman Rick Cranwell Bill Branch Carson Quarles Darnell Vinyard Ron Martin Bill Triplett Timothy Gubala, Secretary Edward Natt, Counsel Chairman Saul called the meeting to order at 9: 00 a.m. in the Community Room of the Roanoke County Administration Center. Minutes of the November 27, 1990 meeting were previously distributed by mail. Upon a motion by Carson Quarles and seconded by Bill Triplett, the minutes were approved by unanimous voice vote. Election of Officers. A new business item regarding the election of officers was presented by Chairman Saul. Since this is the first 1991 meeting of the Authority, it can be considered as the Annual Meeting and officers may be elected. Upon a motion by Mr. Vineyard and seconded by Bill Triplett, Charles Saul was nominated as Chairman, Tim Gubala as Secretary and Ed Natt as Legal Counsel. The motion passed by unanimous voice vote. The need for a Vice-chairman was mentioned by Ed Natt. Upon a motion by Darnell Vinyard, seconded by Carson Quarles, Bill Branch was nominated as Vice-chairman. The motion passed by unanimous voice vote. (Note that Bill Branch was not in attendance at this point of the meeting. ) Certified Medical Representatives Institute Inc. (CMRI, Inc. ) Chairman Saul convened a public hearing for CMRI, Inc. request for bond approval. No one made any public comments. Chairman Saul closed the public hearing. CMRI, Inc. presented a request for an inducement resolution of $400, 000 to allow this company to acquire and equip a new office facility located at 4950 Brambleton Avenue in Roanoke County. Certified Medical Representatives is a non-profit corporation (501 (c) (3) ) that operates a national program in the education of certified medical representatives. James Dalton, President of CMRI, Inc. discussed the need for space. Bonnie Snyder of CMRI, Inc. elaborated on the curriculum, examination and certification of medical reps. Currently CMRI, Inc. has four employees and would expand to six. Webster Day presented an inducement resolution for $400, 000 for the Authority to consider. Upon a motion by Carson Quarles, seconded by Darnell Vinyard, the inducement resolution was approved unanimously. A resolution for public approval of bonds was presented by Webster Day. Upon motion by Bill Branch and seconded by Carson Quarles, the resolution passed. Bill Triplett did not vote. Webster Day presented the final resolution which would provide public funding for $360, 000. This resolution was moved by Carson Quarles and seconded by Ron Martin. The resolution passed with Bill Triplett not voting. This resolution will not take affect until after the Board of Supervisors meeting on February 26, 1991. Webster Day indicated that the Bond would be placed privately. County Attorney Paul Mahoney discussed a concept for having the Authority serve as a financing mechanism for the Regional Forensics Lab. He explained several alternatives and the Authority agreed to a full discussion of the project at their next meeting. Old business. Chairman Saul reported that his inspection with Secretary Tim Gubala during January 1991 of the Authority's checkbook and statements through July 1, 1990, found everything in order. Ed Natt reported that he had given Roanoke County an accounting of funds used in the Allied-Signal project. Paul Mahoney, Ed Natt and Tim Gubala brought the Authority up to date on the status of the Allied-Signal project. Under one scenario, the Authority could receive title to the 159 acres, as well as the 17 acres, purchased by Allied-Signal after July 1, 1991.
