HomeMy WebLinkAbout2/18/1994 - Minutes MINUTES Industrial Development Authority of Roanoke County, Virginia February 18, 1994 Members Present: Others Present: Charles Saul, Chairman Brian Duncan Bill Branch Rick Cranwell Wayne Dunman Members Absent: Timothy Gubala, Secretary Ron Martin Edward Natt, Counsel Carson Quarles Darnall Vinyard Chairman Saul called the meeting to order at 7:45 a.m. in the Conference Room, 4th Floor, Roanoke County Administration Center, 5204 Bernard Drive. At 7:46 a.m., upon motion by Bill Branch, seconded by Rick Cranwell, the Authority went into Executive Session pursuant to the Code of Virginia, Section 2.1-344(A)(3) to consider a real estate matter. The motion passed unanimously. At 7:55 a.m., upon motion by Wayne Dunman, seconded by Rick Cranwell, the Authority voted to return to open session and certified by resolution (attached) that the Executive Session was held in conformity with the Code of Virginia. The motion passed unanimously. Bill Branch made a motion, seconded by Wayne Dunman, to act on behalf of the Authority to: 1. Sign a letter to rescind the contract with Friendship Manor Apartment Village to acquire a 15 acre tract on Hollins road due to site conditions. 2. Execute a contract for the purchase of 15 acres from the Hinman Estate subject to the Authority completing a survey and subdivision and title examination, "roll-back taxes" being paid for ending land use assessment, and the cemetery being moved. 3. Authorize amendments to the Performance Agreement with Hanover Direct to accomplish the actions in 1 and 2 above. The motion passed unanimously. There being no further business, the Authority adjourned at 7:58 a.m. Respectfully submitted, • Timothy G ala, Secretary 1 r D AT A REGULAR MEETING OF THE INDUSTRIAL DEVELOPMENT AUTHORITY OF ROANOKE COUNTY, VIRGINIA, HELD AT 5402 BERNARD DRIVE, SW, ON FEBRUARY 18, 1994 Resolution certifying Executive Meeting was held in conformity with the Code of Virginia Whereas, the Industrial Development Authority of Roanoke County, Virginia, has convened an executive meeting on this date pursuant to an affirmative recorded vote and in accordance with the provisions of the Virginia Freedom of Information Act; and Whereas, Section 2.1-344.1 of the Code of Virginia requires a certification by the Industrial Development Authority of Roanoke County,Virginia, that such executive meeting was conducted in conformity with Virginia law. NOW, THEREFORE, BE IT RESOLVED, that the Industrial Development Authority of Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge: 1.. Only public business matters lawfully exempted from open- meeting requirements by Virginia law were discussed in the executive meeting which this certification resolution applies, and 2. Only such public business matters as were identified in the motion convening the executive meeting were heard, discussed or considered by the Industrial Development Authority of Roanoke County, Virginia.
