HomeMy WebLinkAbout1/17/1992 - Minutes ` J MINUTES Roanoke County Industrial Development Authority 8:45 AM - January 17, 1992 Members Present: Members Absent: Charles Saul, Chairman Bill Branch Wayne Dunman Ron Martin Carson Quarles Darnell Vinyard Rick Cranwell Timothy Gubala, Secretary Edward Natt, Counsel Others present: Beth Doughty Melvin Wooldridge Chairman Saul called the meeting to order at 8: 50 AM in the upstairs conference room of the Roanoke County Administration Center. He welcomed Wayne Dunman, new member from Vinton, VA. New business: Chairman Saul altered the order of the agenda to hear a proposal from Melvin Wooldridge regarding the use of the former Allied- Signal property in the Glenvar area of the County. Mr. Wooldridge made a proposal to use the property but declined any inducement resolution or commitment from the Authority to convey the property to him. Ed Natt reminded the Authority that any action regarding the conveyance of the property would be subject to approval by the Board of Supervisors; an agreement as to price, terms and conditions; and zoning approval from the County. Mr. Wooldridge was asked to prepare a letter of intent explaining his proposal for the property and to send it to the Authority' s Secretary Tim Gubala. Election of Officers This being the annual meeting, Chairman Saul asked for the Authority's intentions with regards to officers for 1992 . Carson Quarles made a motion, seconded by Wayne Dunman that the current officers serve during 1992 . The motion was approved unanimously. New Business: Tim Gubala spoke to the Authority about the former Allied-Signal property. Allied had conveyed the property back to the Authority and he wanted to know if the Authority wanted to set a price, a use for the property to determine conditions and terms and handle proposals in the future. The Authority discussed these matters and decided that price and use and terms and conditions should be determined by the Board of Supervisors. The Authority wanted future proposals to be in writing so that the Authority and County could evaluate their merit. Chairman Saul asked for the Authority to reconfirm the existing procedures for compensation of the Authority's counsel . Each Bond Holder is assessed $100 (or one hour of legal services) for administrative matters regarding the maintenance of the bonds. This amounts to approximately $3 , 000. The Authority briefly discussed this matter and upon a motion by Carson Quarles, seconded by Rick Cranwell, this procedure was unanimously reconfirmed. Chairman Saul asked if there was other business. Tim Gubala reported that he, the Chairman and Ed Natt had met to discuss the receipt of the property from Allied-Signal. Ed offered to record the deeds and pay for the recordation fees (estimated at $2 , 000) from the Authority' s bonds. Tim Gubala said that County Administrator Elmer Hodge wanted the County to pay this so as not to delete the Authority' s account. Tim Gubala and Ed Natt were to meet and resolve the details of this matter. There being no further business, the meeting was adjourned at 9 :47 AM. Respectfully submitted, 1 4Xk61,( Timothy W.
