Timothy _Gubaia, Secretary Darnall Vinyard Edward .Natt, "Counsel - Chairman Saul called the meeting to order at 9 : 01 a.m. in the upstairs Conference Room . of the Roanoke_-County Administration Center. He-_asked for approval of the minutes and certification of the executive session of theFebruary 23 , 1993 meeting. Upon motion of Carson Quarles, seconded by Bill Branch, minutes of the meeting wereapproved unanimously. - - New business:- Valley "TechPark _ = Tim Gubala reported that the County's request :for industrial access funds had been approved by_ the Commonwealth Transportation Board in the amount -of $450, 000. 'This action will contribute towards the - financing of the road• into Valley TechParkj. The_ preliminary site plan for =the _industrial park is being reviewed by County_ staff and the Virginia Department of Transportation. The Virginia Department of " Transportation- will be constructing the access road and coordinating with Roanoke County Utility Department and private utility- companies -to provide infrastructure to the site. Brian Duncan updated the , Authority on the efforts to acquire additional acreage from Helen Cox Richards and Bruce Hill. Mrs. Richards -has signed a contract agreement and Bruce Hill is expected_ to do so soon.. Richfield and Travelers Bond Issue Carson Quarles asked Diane Hyatt and Paul Mahoney to clarify the "rumors" he's heard that Roanoke County's bond issue for the P.O. A discussion ensued of the differences between the "bank-qualified" approach that Richfield followed versus the public offering, "non bank-qualified" method that the County used. Ed Natt and Chairman Saul asked that Diane Hyatt write a letter to the Richfield Board of Directors explaining the differences. Audit Ed Natt reported that the 1992 Audit was completed and would be filed with the Virginia Department of Housing and Community Development and Roanoke County. At 9: 25 a.m. , upon motion by Carson Quarles, seconded by Bill Branch, the Authority went into executive session pursuant to the Code of Virginia, Section 2 . 1-344 (A) (5) to discuss a prospective business or industry where no previous commitment has been made by the business or industry interested in locating in the community. The motion passed unanimously. At 9:53 a.m. , upon motion by Carson Quarles, seconded by Rick Cranwell, the Authority voted to return to open session and certified by resolution (attached) that the Executive Session was held in conformity with the Code of Virginia. The motion passed unanimously. Charles Saul asked for a voice vote of the Authority to establish a consensus for the County staff and Authority to proceed with an industrial prospect location package at Valley TechPark. the consensus to proceed passed 5-0-1 (with Ron Martin abstaining) . Other business Tim Gubala noted that the terms of Bill Branch and Darnall Vinyard would expire on September 26, 1993 . Bill Branch indicated that he would serve another term. Ed Natt asked the Authority members to review the information on recent changes in Industrial Revenue Bonds (that was mailed to the members) . There being no further business, the Authority adjourned at 9:50 a.m. Respectfully submitted, Timothy W. Gubala, Secretary 2 AT A REGULAR MEETING OF THE INDUSTRIAL DEVELOPMENT AUTHORITY OF ROANOKE COUNTY, VIRGINIA, HELD AT THE ROANOKE COUNTY ADMINISTRATION 'CENTER ON AUGUST 24, 1993 , Resolution certifying Executive Meeting was held in conformity with the Code of Virginia Whereas, the ' Industrial Development Authority of Roanoke County, Virginia, has convened an executive meeting on this date pursuant to an affirmative recorded vote and in accordance with the provisions of the Virginia Freedom of Information Act; and Whereas, Section 2 . 1-344 . 1 of the Code of Virginia requires a certification by the Industrial Development Authority of Roanoke County, Virginia, that such executive meeting was conducted in conformity with Virginia law. NOW, THEREFORE, BE IT RESOLVED, that the Industrial Development Authority of Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge: 1. Only public business matters lawfully exempted from open meeting requirements by Virginia law were discussed in the executive meeting which this certification resolution applies, and 2 . Only such public business matters as were identified in . the motion convening the executive meeting were heard, discussed or considered by the Industrial Development Authority of Roanoke County, Virginia. On motion of Carson Quarles and carried by the following recorded vote: AYES: Charles Saul, Bill Branch, Rick Cranwell, Wayne Dunman, Ron Martin, Carson Quarles NAYS: None ABSENT: Darnall Vinyard A Copy Teste: Timothy W.
