HomeMy WebLinkAbout11/22/1995 - Minutes MINUTES Industrial Development Authority of Roanoke County, Virginia November 22, 1995 Members Present: Absent: Bill Branch Carson Quarles Carole Brackman Darnall Vinyard Rick Cranwell Ron Martin Timothy Gubala, Secretary-Treasurer Edward Natt, Counsel Vice chairman Branch called the meeting to order at 8:02 a.m. in the Conference Room of the Roanoke County Administration Center, 5204 Bernard Drive. The minutes of the August 4, 1995, meeting were reviewed and there being no corrections, were considered approved and filed for audit and record purposes. Old Business: a. Discussion of restrictive covenants as they relate to Lot 1, Valley TechPark. Tim Gubala reported that Brian Duncan, Assistant Director, had met with representatives of Rusco at Valley TechPark to review a proposal for screening/landscaping. Balzer and Associates has prepared a proposal that they say will provide for landscaping/screening to meet the intent of the restrictive covenants. Ed Natt indicated that Don Wetherington, Rusco's attorney, had requested that closing on the Rusco site occur this date and that the Authority meet on site to review the landscaping/screening proposal. After discussion, the Authority agreed to adjourn its meeting to 10:30 a.m. on November 28, 1995, at Valley TechPark. Upon a motion by Ron Martin, seconded by Rick Cranwell, the Authority authorized the Vice chairman to execute necessary legal documents for the Rusco closing subject to approval of the landscaping agreement and plans by the Authority on November 28, 1995. The motion was approved unanimously. b. Report of rezoning study Tim Gubala reported that a community meeting was held in Glenvar to present several sites in west County. There was active citizen opposition to the rezoning of the Glenn-Mary site. Three sites were being considered for rezoning at the December 5, 1995 Planning Commission meeting and a total of six sites would be considered for final action at the December 12, 1995, Board of Supervisors meeting. i New Business: The 1994-95 audit was presented. The Authority members reviewed and had no comment. At 8:25 a.m.,upon a motion by Ron Martin, seconded by Rick Cranwell, the Authority voted to go into Executive Session under Section 2.1-344(A)(5) to discuss a prospective business or industry interested in locating in the community where no previous announcement has been made by the business or industry in locating in the community and under Section 2.1-344(A)(3) to discuss a real estate matter. The motion passed unanimously. At 8:42 a.m, upon a motion by Ron Martin, seconded by Rick Cranwell, the Authority voted to return to open session and certified by resolution(attached)that the Executive Session was held in conformity with the Code of Virginia. The motion passed unanimously. Bill Branch asked that Tim Gubala contact Joe Ramsey, agent for Charles Beahm to discuss an extension of the option agreement and present his fmdings at the adjourned meeting on November 28, 1995. Tim Gubala gave the Treasurer's report. There is $3,778.65 in the regular account and $126,350.25 in the special account. Ed Natt and Tim Gubala will discuss and prepare billings for the annual audit. Tim Gubala reported that Guy Byrd, Jr.., President of Valley Bank, residing at 5521 Village Drive, Roanoke, VA 24014, has been appointed to the Authority effective November 21, 1995. There being no further business, at 9:45 a.m., the Authority adjourned until 10:30 a.m. on November 28, 1995, at which time the Authority members will meet at Valley TechPark. Gubala Secretary-Treasurer Attachment 2 AT A REGULAR MEETING OF THE INDUSTRIAL DEVELOPMENT AUTHORITY OF ROANOKE COUNTY, VIRGINIA, HELD AT THE ROANOKE COUNTY ADMINISTRATION CENTER ON NOVEMBER 22, 1995 Resolution certifying Executive Meeting was held in conformity with the Code of Virginia Whereas,the Industrial Development Authority of Roanoke County, Virginia has convened an executive meeting on this date pursuant to an affirmative recorded vote and in accordance with the provisions of the Virginia Freedom of Information Act; and Whereas, Section 2.1-344.1 of the Code of Virginia requires a certification by the Industrial Development Authority of Roanoke County, Virginia,that such executive meeting was conducted in conformity with Virginia law. NOW, THEREFORE, BE IT RESOLVED, that the Industrial Development Authority of Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge: 1. Only public business matters lawfully exempted from open meeting requirements by Virginia law were discussed in the executive meeting which this certification resolution applies, and 2. Only such public business matters as were identified in the motion convening the executive meeting were heard, discussed or considered by the Industrial Development Authority of Roanoke County, Virginia.
