Bill Branch called the special meeting to order at 9:35 a.m. in the conference room of the Roanoke County
Administration Building. Bill reported that since this was a special meeting he would dispense with
approval of minutes until the regular meeting in December.
Old Business -Approval of grant requests for Williamson Road project
Tim Gubala reported that he had received three affirmative ballots from Authority members in addition to
the two affirmative votes from the November 12, 1996 meeting. After a brief review of the three grant
requests, Darnall Vinyard moved to approve the three grant requests totaling $4,104.00 and to authorize
the Chairman to sign contracts approved by the Authority's Counsel. Carole Brackman seconded the
motion which passed unanimously.
New Business - Approval of multi-party agreement for construction of a shell building
Tim Gubala and Ed Natt presented a concept plan for the construction of a shell building on property
owned by Fralin & Waldron in eastern Roanoke County. A multi-party agreement has been drafted
between the County, Authority, Fralin & Waldron and the Greater Roanoke Valley Development
Foundation to allow for the Valley Gateway industrial site to be developed. The Authority is being asked
to acquire a 16.2 acre tract at a price of$15,000 per acre (with funds provided by Roanoke County) and
deed it to the Foundation so that they might construct a 75,000 square foot expandable shell building on
the site. The County has obligations to provide an industrial access road, public water and sewer and a
contingency fund of$75,000 for grading on the shell building site. The project will open up a 105+acre
commercial and industrial site that can be marketed to prospects.
After some discussion and questions about the project, Ron Martin made a motion to authorize the
Chairman- to sign the agreement on behalf of the Authority subject to a legal review by Ed Natt. Darnall
Vinyard seconded and the motion passed unanimously. Bill Branch asked for a copy of the draft agreement
for his review.
Treasurer's Report
Tim Gubala asked that the review and approval of the Treasurer's Report be held until the regular December
meeting. Tim requested that the Authority approve the 1995-1996 audit so that it could be forwarded to
the Board of Supervisors and the auditor could be paid. Ron Martin made a motion to receive and accept
the audit. Carole Brackman seconded and the motion passed unanimously.

There being no further business, the Authority adjourned at 10:15 a.m. and agreed to meet at 10 a.m. on
Wednesday December 11, 1996 at the County Administration Building.
