HomeMy WebLinkAbout10/8/1996 - Minutes Minutes of Industrial Development Authority of Roanoke County 10 a.m. October 8, 1996 Members Present: Other guests: Bill Branch, Chairperson Brian Duncan Carole Brackman Elmer Hodge Guy Byrd Paul Mahoney Rick Cranwell Carson Quarles, Vice Chairperson Members Absent: Ed Natt, Counsel Ron Martin Tim Gubala, Secretary-Treasurer Darnall Vinyard Bill Branch called the meeting to order at 10:01 a.m. at the conference room of the Roanoke County Administration Center, 5204 Bernard Drive, SW, Roanoke, and asked for approval of the minutes of the September 27, 1996 meeting. Upon a motion by Carole Brackman, seconded by Carson Quarles, the minutes of the September 27, 1996 meeting were approved unanimously. Old Business -Discussion of Agreement between IDA and County Ed Natt pointed out that a draft agreement acceptable to counsel was included in the agenda packet for the members' review. It was noted that in obtaining surveys from various counties regarding their IDA guidelines, Montgomery County was the only county that came close in comparison to Roanoke County's IDA in providing services. Bill Branch asked if the draft agreement was an "operating agreement." Ed Natt provided a copy of the Code of Virginia to each member and pointed out that the Authority members had only those powers written in the state statute; that the County could not require anything more of the Authority. He pointed out that this draft agreement was to establish a relationship between the County and Authority and as new projects/programs were developed, the agreement may have to be amended. Mr. Branch was concerned that the Board of Supervisors asked the Authority to do certain things that the Authority may/may not be liable for. Again, Mr.Natt pointed out that the draft agreement was meant to establish a relationship with the County and would be used as a guideline. If and when the County wanted the Authority to work on a project, then they would have to come together and decide if and how this would be done. Mr. Branch stated that the Authority seems to be "different things in different projects." He feels the Authority needs a more formal (written) request from the County when asking the Authority for their assistance on a project. County Attorney Paul Mahoney noted that the County was allowing the IDA to do what the Code of Virginia stated. He also noted that the County can ask the IDA to do less, but not more than what the Code allows. He noted that a three part performance agreement could be developed when there were certain projects to work on. 1 There being no further business, the Authority adjourned at 10:15 a.m. and agreed to meet at 10 a.m. on Wednesday December 11, 1996 at the County Administration Building.
