Bill Branch called the meeting to order at 10:09 a.m. in the conference room of the Roanoke
County Administration Center and asked for approval of the minutes of the April 9, 1996
meeting. Upon a motion by Rick Cranwell, seconded by Guy Byrd, the minutes were
approved unanimously
Old Business - Briefing on R.R. Donnelley & Sons Project
Brian Duncan reported on several issues relating to the location of R.R. Donnelley at Valley
TechPark. Brian presented information that J. M. Turner Construction Company had been
selected to build the manufacturing facility. He also showed models of four proposed
entrance signs to be placed on Route 11 at Technology Drive and discussed the status of
landscape improvements.
One issue of concern related to the placement of lime on site during the site grading. The
lime subcontractor failed to provide the necessary quantities and notified Thomas Brothers
that they could not fulfill the contract because of other obligations. Subsequently, another
supplier was found that agreed to provide lime at a higher cost than originally was quoted in
the contract. Brian worked with the County Procurement Director who reviewed the request
and approved the expenditure for lime at the new cost. Bill Branch questioned the
appropriateness of this action and asked that Ed Natt review the contract and discuss this
action with the County Attorney and other County officials.

Old Business - Status of Rezoning Study
Tim Gubala reported that the County Planning Commission had approved the rezoning of
88+ acres for Al Hammond along the Blue Ridge Parkway. Another rezoning for 5 acres in
North County was denied but Ed Natt feels that the presentation of an acceptable proffer will
allow the Board of Supervisors to rezone the property to commercial as requested. Two
other rezonings in the Hollins area have scheduled for the June 4, 1996 Planning
Commission meeting.
Old Business - ITT Performance Agreement
Joyce Waugh presented a draft of the performance agreement between the Authority, the
County and ITT Electro-Optical for the retention of jobs in the Commercial Division. Ed
Natt discussed the covenant contained within the agreement that the County agreed not to sue"
ITT if they meet the terms of the performance agreement. After a brief discussion Guy Byrd
made a motion to approve the agreement and authorize the Chairman to execute on behalf
of the Authority, subject to approval by the Board of Supervisors. Rick Cranwell seconded
and the motion passed unanimously.
Treasurers's Report
Tim Gubala presented the Treasurers report (attached) on the format suggested by Vice
Chairman Quarles at the April Meeting. The members reviewed the format and the status
of accounts. Guy Byrd.asked that the report indicate the checks written during the month.
Other Business
Guy Byrd and Bill Branch asked for additional background information that would assist the
Authority members in handling their duties and responsibilities. A need for an orientation
session was discussed.
There being no further business,the Authority adjourned at 11:18 a.m.
