HomeMy WebLinkAbout3/13/1996 - Minutes Minutes of Industrial Development Authority of_Roanoke County 9:30 a.m. March 13, 1996 Members Present: Members Absent: Bill Branch, Vice-Chairman Rick Cranwell Guy Byrd Carole Bradman Ron Martin Carson Quarles Darnall Vinyard Tim Gubala, Secretary-Treasurer Ed Natt, Counsel Bill Branch called the meeting to order at 9:36 a.m. and asked for approval of the minutes of the February 21, 1996 meeting. Upon a motion,by Carson Quarles, seconded by Darnall Vinyard, the minutes were approved unanimously. Election of Officers Bill Branch asked Tim Gubala to review for the members the slate of officers that needed to be elected or appointed. Tim indicated that the offices included Chairman, Vice-Chairman and Secretary-Treasurer with an appointed Counsel who also served as assistant treasurer. Bill Branch asked Tim Gubala if he and Ed Natt would continue to serve in their respective offices. Tim answered affirmatively and he and Ed Natt were appointed by acclamation. Carson Quarles made a motion to elect Bill Branch as Chairman. The motion was seconded by Ron Martin and passed by unanimous vote. Ron Martin nominated Carson Quarles as Vice-Chairman. The motion was seconded by Darnall Vinyard and was passed by unanimous vote. Bill Branch asked if the members of the Authority had received the survey from the Secretary regarding the setting of a regularly scheduled monthly meeting. After discussion by the membership it was determined that 10 a.m. on the second Tuesday of each month would be reserved for an Authority meeting. Old Business Rezoning.Study Tim Gubala reviewed the background of the rezoning study and reported that the Board of Supervisors had approved the rezoning of four potential commercial sites in December 1995. The rezoning of two additional properties have been approved by the Board of Supervisors in February. Several community meetings have been held to review and discuss the proposed 1 sites in West County. A schedule of rezonings has been prepared for consideration by the Planning Commission over the next few months. Discussion of a draft performance agreement between ITT Electro-Optical and the Authority Tim Gubala introduced Joyce Waugh, Economic Development Specialist, who briefed the Authority on a proposal to assist in the retention of 50 jobs at ITT's night vision goggles commercial division. The proposal would involve the preparation of a performance agreement among the Authority, Roanoke County and ITT to provide a combination of incentives with an approximate value of$300,000 over.a three year period. ITT would have to meet a combination of annual investment, employment and production goals in order to qualify for an annual grant Joyce will present this concept to the Board of Supervisors and Authority for consideration and approval at the next meeting. New Business At 10:15 a.m.., upon a motion by Carson Quarles, seconded by Ron Martin, the Authority voted to go onto Executive Session under Section. 2.1-344(A)(3) to discuss a real estate matter. The motion passed unanimously. At 10:20 a.m., upon a motion by Carson.Quarles, seconded by Ron Martin, the Authority voted to return to open session and certified by resolution (attached) that the Executive Session was held in conformity with the Code of Virginia. The motion passed unanimously. Ed Natt advised the Authority that there were two minor grammatical corrections to be made in the performance agreement with R.R. Donnelley. Upon a motion by Carole Bradman, seconded by Ron Martin, the amendments were approved by unanimous vote. Treasurers's Report Tim Gubala reported that the regular account had$3,728.89 and the special account $206.89. Forms for a new checking account and savings account were obtained for convenience of managing County funds allocated as part of the new performance agreement. The new officers, Counsel and Secretary-Treasurer signed new cards and forms on all of the accounts. There being no further business, at 10:45 a.m., the Authority adjourned. Gubala Secretary-Treasurer 2 AT A REGULAR MEETING OF THE INDUSTRIAL DEVELOPMENT AUTHORITY OF ROANOKE COUNTY, VIRGINIA, HELD AT THE ROANOKE COUNTY ADMINISTRATION CENTER ON MARCH 13, 1996 Resolution certifying Executive Meeting was held in conformity with the Code of Virginia Whereas,the Industrial Development Authority of Roanoke County, Virginia has convened an executive meeting on this date pursuant to an affirmative recorded vote and in accordance with the provisions of the Virginia Freedom of Information Act; and Whereas, Section 2.1-344.1 of the Code of Virginia requires a certification by the Industrial Development Authority of Roanoke County, Virginia,that such executive meeting was conducted in conformity with Virginia law. NOW, THEREFORE, BE IT RESOLVED, that the Industrial Development Authority of Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge: 1. Only public business matters lawfully exempted from open meeting requirements by Virginia law were discussed in the executive meeting which this certification resolution applies, and 2. Only such public business matters as were identified in the motion convening the executive meeting were heard, discussed or considered by the Industrial Development Authority of Roanoke County, Virginia.
