Industrial Development Authority
of Roanoke County

In the absence of a Chairman, Ed Natt called the meeting to order at 9:26 a.m. and indicated
that with the illness of Vice-Chairman Bill Branch and the replacement of former Chairman
Charlie Saul, the Authority members needed to elect an acting Chairman for the purposes of
conducting the meeting. Rick Cranwell nominated Ron Martin as Acting Chairman. The
motion was seconded by Darnall Vinyard and the motion was approved unanimously.
Ron Martin asked if the members of the Authority had received the minutes of the November
22 and November 28, 1996 meetings. A motion was made by Darnall Vinyard, seconded by
Rick Cranwell to approve the minutes of both meetings. The motion was approved by a
unanimous vote.
Old Business
Tim Gubala reported that the Board of Supervisors had approved the rezoning of four
potential commercial sites in December 1995. The rezoning of two additional properties
have been approved by the Planning Commission and are pending a decision by the Board
of Supervisors next week. A community meeting is being held on February 21 at Glenvar
High School to review and discuss the proposed sites in West county.
New Business
At 9:34 a.m., upon a motion by Damall Vinyard, seconded by Rick Cranwell, the Authority
voted to go onto Executive Session under Section 2.1-344(A)(5) to discuss a prospective
business or industry interested in locating in the community where no previous
announcement has been made by the business or industry in locating in the community. The
motion passed unanimously.

At 9:56 a.m., upon a motion by Carole Brackman, seconded by Darnall Vinyard, the
Authority voted to return to open session and certified by resolution (attached) that the
Executive Session was held in conformity with the Code of Virginia. The motion passed
unanimously.
Rick Cranwell made a motion to authorize the Acting Chairman to execute a Performance
Agreement between the Authority, the Roanoke County Board of Supervisors, and an
industrial prospect after the Performance Agreement has been approved by the Board of
Supervisors. The motion passed unanimously.
Tim Gubala reported that Richfield Retirement Community had inquired about seeking $4
million of industrial revenue bonds for the construction of an Alzheimer's Center at their
facility in Glenvar. Ron Martin disclosed that he may have a potential conflict of interest
on this matter when it comes to the Authority for action.
Tim Gubala introduced Joyce Waugh, Economic Development Specialist for Roanoke
County. Joyce outlined a request from ITT-Electro-Optical for assistance from Roanoke
County for the retention of jobs at the new commercial division over a three year period.
Joyce suggested that the Authority and the County would enter into a Performance
Agreement with ITT. This would provide a combination of County and state of Virginia
incentives based on employment and production goals at the company. Ed Natt indicated
that he would work with Joyce and other County staff to prepare the agreement and bring it
back to the Authority for review and approval.
Treasurer's Report
Tim Gubala reported that the regular account had$3,445.99 and the special account $205.52.
A checking account would be obtained for convenience of managing County funds allocated
as part of the new Performance Agreement.
There being no further business, at 10:14 a.m., the Authority adjourned.

Resolution.certifying Executive Meeting was held in conformity
with the Code of Virginia
Whereas,the Industrial Development Authority of Roanoke County, Virginia has convened
an executive meeting on this date pursuant to an affirmative recorded vote and in accordance with
the provisions of the Virginia Freedom of Information Act; and
Whereas, Section 2.1-344.1 of the Code of Virginia requires a certification by the Industrial
Development Authority of Roanoke County, Virginia, that such executive meeting was conducted
in conformity with Virginia law.
NOW, THEREFORE, BE IT RESOLVED, that the Industrial Development Authority of
Roanoke County, Virginia, hereby certifies that, to the best of each members knowledge:
1. Only public business matters lawfully exempted from open meeting requirements by
Virginia law were discussed in the executive meeting which this certification resolution applies, and
2. Only such public business matters as were identified in the motion convening the
executive meeting were heard, discussed or considered by the Industrial Development Authority of
Roanoke County, Virginia.
On motion by Darnall Vinyard, seconded by Rick Cranwell and carried by the following recorded
vote:
AYES: Carole Bradman, Ron Martin, Rick Cranwell, Darnall Vinyard
NAYS: None
