Bill Branch called the meeting to order at 10:01 a.m. in the conference room of the Roanoke County
Administration Building. He asked that the Authority change the order of the agenda to allow time for Ed
Natt to participate in an the Executive Session. Upon a motion by Ron Martin, seconded by Carson
Quarles,the Authority voted to go into Executive Session under Section 2.1-344 (A)(3) for real estate and
legal matters related to the Kroger expansion.project.
At 10:20 a.m. upon a motion by Carson Quarles, seconded by Carole Brockman, the Authority voted to
return to open session and certified by resolution (attached) that the executive session was held in
conformity with the Code of Virginia. The motion passed unanimously.
Carson Quarles made a motion to authorize the Chairman to execute a performance agreement with the
County and the Kroger Co. and to file two rezonings on behalf of the County for the benefit of the Kroger
project. He further stipulated that these actions were dependent upon the receipt of a written request from
the County outlining the anticipated role and actions required of the Authority in the Kroger project and
the execution of an agreement between the Authority and County governing procedures and policies for
economic development projects. Rick Cranwell seconded and the motion passed unanimously.
Chairman Branch noted that minutes of the January 8, 1997 meeting were passed out for review. Upon a
motion by Ron Martin, seconded by Rick Cranwell,the minutes were approved with a correction relating
to a one year term for the Chairman. The motion passed unanimously.
Old Business-Valley Gateway project
Tim Gubala reported that an application for industrial access road funding will be considered by the
Commonwealth Transportation Board on February 20, 1997. Lang Engineering is preparing the road plans
and profiles. Brian Duncan reported that he had met with VDOT to resolve questions about the access road
design. Brian has also been working with the County Engineering Department and several property owners
in the area to obtain easements for drainage that flows through Valley Gateway to Glade Creek. Ed Natt
reported that he was working on legal issues regarding a suspected burial site on Valley Gateway property.

Old Business -Valley TechPark project update
Brian Duncan, Assistant Director of Economic Development, reported that Donnelley has obtained a
temporary certificate of occupancy in January 1997 and their employees are using the building. Brian
indicated that the project budget only had an expenditure of$400.00 in January. The anticipated surplus
amount of approximately $1,049,033.00 is planned to be used for additional on site grading in the spring
of 1997. This grading project will be bid in March.
Brian presented the model and specifications for the Valley TechPark entrance sign and asked that the
Authority authorize the County Procurement Department to advertise and solicit bids. Upon a motion by
Rick Cranwell, seconded by Ron Martin, the Authority authorized the County Procurement Department
to advertise and solicit bids for the Valley TechPark entrance sign.
Brian reintroduced the concept of having a child care center locate at Valley TechPark. After some
discussion of the development concept, location and potential users, the consensus of the Authority was
for Brian to proceed to develop a request for proposal and bring it back at the next meeting for
consideration.
New Business -Hanover property issues
Tim Gubala asked Brian Duncan to report on property issues relating to Hanover Domestications and
Hanover Apparel. The Company has contacted the County about obtaining title to the 15 acres adjacent
to the Hanover Domestications facility on Hollins Road. This property is owned by the Authority. Brian
asked that a written request be made for the Authority to consider.
Brian also noted that Hanover has notified Roanoke County that they will not need a 15 acre tract located
in Jack Smith Park for expansion purposes. Accordingly,this land will be returned to joint ownership of
the Authority and the Industrial Development Authority of Botetourt County.
Treasurer's Report
Tim Gubala presented Treasurer's reports for the month of December 1996. After a brief review,Chairman
Branch said they were received and filed.
There being no further business, the Authority adjourned at 11 a.m. and agreed to meet at 10 a.m. on
Wednesday March 5, 1997 at the County Administration Center.
