The Industrial Development Authority of Roanoke County, Virginia met this day at the Roanoke County
Administration Center, this being a special called meeting to discuss a legal matter concerning the
Performance Agreement for Tecton Products, LLC.
Chairman Billy Branch called the meeting to order at 3:00 P.M.
Attached is a form in which the board members signed explaining that this would waive any defects in the
Notice of a Special Meeting. Normal procedures are for the Chairman or Vice-Chairman to notify
members of the special meeting.
Ed Natt, explained to the board members that this special meeting was called for the purpose approving
and giving Chairman Billy Branch authority to execute a Performance Agreement drafted by Paul
Mahoney, reviewed by Ed Natt, negotiated between the County of Roanoke, Tecton Products, LLC, and
the Industrial Development Authority.
Vice-Chairman, Steve Musselwhite made a motion, upon the recommendation of Ed Natt, Legal Counsel
for the Industrial Development Authority, to approve and execute a Performance Agreement with Tecton
Products, LLC. Seconded by Linwood Windley, and carried by a unanimous 5-0 vote.

Being no further business the meeting was adjourned at 3:15 P.M.
