Chairman Bill Branch called the special meeting to order at 3:05 p.m. in the conference room of the
Roanoke County Administration Building.
New Business - Consideration of an offer to purchase Lot 9 at Valley TechPark
Tim Gubala introduced Tom and Guilia Gustafson, principals in Lincra, USA, a prospective industrial
client interested in acquiring a tract of land at Valley TechPark. This company has written the Authority
offering to purchase a portion of Lot 9 so that a distribution and cloth cutting operation may be located
thereon. Ms. Gustafson stated that Lincra, USA is a Virginia Corporation, formed from an Italian tie
manufacturing company. She showed the Authority members.samples of product and indicated that she
wanted to construct initially; a 10,000 square foot building and hire up to 10 employees. Preliminary
building and capital equipment investment is $500,000 and a new cutting machine valued at$750,000 is
on order for delivery in the fall of 1999. Lincra, USA is offering to purchase 1.5 acres for their building
project at.a price of$35,000 per acre. A future expansion of the building to 18,000 square feet is planned.
Ron Martin asked a question regarding minimum building size of 25,000 square feet referenced in the
Valley TechPark protective and restrictive covenants. Ed Natt reported that the Authority had a previous
economic development prospect for this same parcel and the Authority voted in May 1998 to grant a waiver
to the covenants to reduce the minimum building size to 18,000 square feet. There was a further discussion
with Ray Craighead and Frank Caldwell regarding the exact dimensions of Lot 9 and the acreage needs of
Lincra, USA.
Steve Musselwhite moved to accept the offer of Lincra,USA to purchase 1.5 acres'(+/-)at$35,000 per acre
(total cost of$52,500), subject to a subdivision plat being prepared by Caldwell White Associates and a
waiver being approved to reduce the minimum building size in the protective and restrictive covenants.
Neil Gallagher seconded and the motion passed by unanimous voice vote.

At 3:40 p.m.,Ron Martin moved for the Authority go into executive session under Section 2.1-344(A)(3)
of the Code of Virginia to discuss a real estate matter. Steve Musselwhite seconded and the motion passed
by unanimous voice vote. Ron Martin moved to return to open session at 3:50 p.m and certified by the
attached resolution that only matters pertinent to the session were discussed. Steve Musselwhite seconded
and the motion passed by unanimous voice vote.
There being no further business,the Chairman moved to adjourn the meeting at 3:51 p.m. and noted that
their next meeting would be held on March'3, 1999.

AT A REGULAR MEETING OF THE INDUSTRIAL DEVELOPMENT AUTHORITY OF'
ROANOKE COUNTY, VIRGINIA, HELD AT THE ROANOKE COUNTY
ADMINISTRATION CENTER ON FEBRUARY 8, 1999
RESOLUTION CERTIFYING EXECUTIVE MEETING WAS
HELD IN CONFORMITY WITH THE CODE OF VIRGINIA
WHEREAS, the Industrial Development Authority of Roanoke County,
Virginia has convened an executive meeting on this date pursuant to and in accordance
with the Code of Virginia, Section 2.1-344(A) requiring a certification that such
executive meeting was conducted in conformity with Virginia law.
NOW, THEREFORE, BE IT RESOLVED, that the Industrial Development
Authority of Roanoke County, Virginia, hereby certifies that, to the best of each
members knowledge:
1. Only public business matters lawfully exempted from open meeting
requirements by Virginia law were discussed in the executive meeting which this
certification resolution applies, and
2. Only such public business matters as were identified in the motion
convening the executive meeting were heard, discussed or considered by the Industrial
Development Authority of Roanoke County, Virginia.
On motion of Ronald Martin to adopt the Certification Resolution for executive
session and carried by the following recorded vote:
AYES: Rick Cranwell, Carole Brackman, Ron Martin, Steve Musselwhite
