Chairman Bill Branch called the meeting to order at 10:02 a.m. in the conference room of the Roanoke
County Administration Building. He presented the minutes of the November 4, 1998 meeting and
Certifications of Executive Session for that meeting. Rick Cranwell moved for approval of minutes and
adoption of Certification Resolution which was seconded by Carol Brackman and passed by unanimous
voice vote. Bill noted that he would change the order of the agenda as he planned to leave before
Executive Session.
Election of Officers
Carson Quarles made a motion to elect Bill Branch as Chairman. He then asked if the same slate of other
officers and officials could remain in office. Ed Natt noted that if there were no objections, this could
occur. Rick Cranwell seconded and the motion passed by unanimous voice vote.
New Business -Approval of Williamson Road mini-grant applications for Starmount Clinic
Tim Gubala introduced Carol Rizzio, Planner in the Department of Community Development who made
presentations on the plans for a new sign at Kingma Products on Williamson Road. She indicated that the
business was applying for the grant amount of$2,289.19. Carson Quarles moved to approve the grant
award. Neil Gallagher seconded and the motion passed by unanimous voice vote.
Treasurer's Report
Tim Gubala and Vincent Copenhaver presented the Authority's financial report for the period ending
December 31, 1998. There were no questions.
Copies of the annual audit were distributed. There were no problems noted.
The Authority members were reminded to submit their Disclosure Forms to the Clerk of the Board of
Supervisors by January 15, 1999.

Request for Executive Session pursuant to the Code of Virginia,Sec 2.1-344 (A) (7)to discuss a legal
matter related to Branch Highways,Inc. grading contract
Bill Branch indicated that he was leaving the meeting and passed the Chair to Vice Chairman Quarles.
Rick Cranwell moved that the Authority go into Executive Session to discuss a legal matter at 10:13 a.m.
Neil Gallagher seconded and the matter passed by unanimous voice vote.
Rick Cranwell moved to return to open session at 10:40 a.m and certified that only matters pertinent to the
session were discussed. Neil Gallagher seconded and the motion passed by unanimous voice vote. Carole
Bradman moved to adopt the certification resolution. Rick Cranwell seconded and the motion passed by
unanimous voice vote.
Rick Cranwell made a motion for the Authority to authorize payment of$18,506.56 to Branch Highways,
Inc. for seeding work completed as part of the Stage II grading at Valley TechPark.
There being no further business,the Vice Chairman moved to adjourn the meeting at 10:43 a.m. and noted
that the next meeting would be held on February 3, 1999.

AT A REGULAR MEETING OF THE INDUSTRIAL DEVELOPMENT AUTHORITY OF
ROANOKE COUNTY, VIRGINIA, HELD AT THE ROANOKE COUNTY
ADMINISTRATION CENTER ON JANUARY 6, 1999
RESOLUTION CERTIFYING EXECUTIVE MEETING WAS
HELD IN CONFORMITY WITH THE CODE OF VIRGINIA
WHEREAS, the Industrial Development Authority of Roanoke County,
Virginia has convened an executive meeting on this date pursuant to and in accordance
with the Code of Virginia, Section 2.1-344(A) requiring a certification that such
executive meeting was conducted in conformity with Virginia law.
NOW, THEREFORE, BE IT RESOLVED, that the Industrial Development
Authority of Roanoke County, Virginia, hereby certifies that, to the best of each
members knowledge:
1. Only public business matters lawfully exempted from open meeting
requirements by Virginia law were discussed in the executive meeting which this
certification resolution applies, and
2. Only such public business matters as were identified in the motion
convening the executive meeting were heard, discussed or considered by the Industrial
Development Authority of Roanoke County, Virginia.
On motion of Rick Cranwell to adopt the Certification Resolution for executive
session and carried by the following recorded vote:
AYES: Carson Quarles, Rick Cranwell, Carole Brackman, Neil Gallagher
NAYS: None
ABSENT: Bill Branch, Ron Martin, Steve Musselwhite
