SPECIAL MEETING

Chairman Bill Branch called the meeting to order at 10:45 AM in the Board of
Supervisors meeting room of the Roanoke County Administration Building.
Ed Natt handed out a form for the board members to sign explaining that this would
waive any defects in the Notice of,a Special Meeting. Normal procedures are for the
Chairman.or.Vice-Chairman to notify members of the special meeting.
Ed Natt and Doug Chittum explained to the board members that this special meeting was
called for the purpose of giving Chairman Bill Branch authority to execute a Performance
Agreement drafted by Paul,Mahoney and reviewed by Ed Natt, and negotiated between
the County of Roanoke, Integrity Windows and Doors by Marvin, and d the Industrial
Development Authority. Steve Musselwhite made a motion that the authority be given to
Bill Branch to execute the Performance Agreement. The motion was seconded by Craig
Sharp and unanimously approved.
Doug Chittum thanked the board members for their attendance at the announcement and
stated they are an integral part of this project.
There being no further business,the meeting was adjourned at 10:55am.

We, the undersigned, being the seven members of the Roanoke County Industrial
Development Authority do hereby waive any defects in the Notice of a Special Meeting of said
Authority to be held at the Roanoke County Administration Center, on Wednesday, February 19,
2003, at 10:00 a.m. for the purpose of consideri the app al o Perforinance Agreement
with Integrity Windows,Inc.

Per Paul Mahoney 2/19/03:
IDA Special meetings per By-Laws states that the meeting should be called by the
Chairman or Vice-Chairman of the Authority.
Paul had everyone sign a waiver for today's special meeting.
Paul also mentioned that we might want to post a notice of monthly meetings and special
meetings on the BOS bulletin board(behind glass). He questioned sending notices to all
media but probably the newspaper is the only that has requested notice since this is all
that has been sent in the past.
Per meeting with Doug:
Post a notice of meeting each month a couple of days prior;
Whenever there is a special meeting, type a letter for Billy Branch to sign to notify each
member;
Review By-Laws;
Write down procedures so that EDC will know what to do.
