Chairman Bill Branch called the meeting to order at 10:05 AM in the conference room of
the Roanoke County Administration Building. The minutes of December 11, 2002 were
approved with a unanimous voice vote.
New Business
Request for Closed Session pursuant to the Code of Virginia, Sec. 2.2-3711 (A.5),to
discuss a prospective business or industry or the expansion of an existing business or
industry where no previous announcement has been made of the business' or
industry's interest in locating or expanding its facilities in the community.
Carole Brackman made the motion that the Authority go into Closed Session to discuss
an economic development matter at 10:10 AM. Steve Musselwhite seconded and the
motion passed by unanimous voice vote. -
Steve Musselwhite made the motion to return to open session at 10:23 AM and certified
that only matters pertinent to the session were discussed. Carole Brackman seconded and
the motion passed by unanimous voice vote.
A motion was made by Steve Musselwhite to authorize Chairman Bill Branch to sign a
Contract of Sale on behalf of the Authority between F&W Properties II, Inc. and the
Industrial Development Authority.of Roanoke County, Virginia for the purchase of an
industrial site. Carole Brackman seconded the motion and it was unanimously approved
by voice vote. The contract was then signed by Bill Branch and.notarized.

Treasurer's Report
Rosemary Trussell handed out the IDA Revenues and Expenditures report for the period
ending 1/06/03. There were no questions.
Ms. Trussell reminded the board members that she had not received a copy of all
members' social security cards and this was needed in order for them to be placed on the
County payroll.
Doug Chittum reminded Authority members that Disclosure forms needed to be signed
and returned to Diane Childers, Clerk to the Board of Supervisors, by January 15, 2003
There being no further business, the meeting was adjourned at 10:35 AM.

OF ROANOKE COUNTY,VIRGINIA,HELD AT THE ROANOKE COUNTY
ADMINISTRATION CENTER ON JANUARY 8,2003
RESOLUTION CERTIFYING CLOSED MEETING WAS
HELD IN CONFORMITY WITH THE CODE OF VIRGINIA
WHEREAS,the Industrial Development Authority of Roanoke County, Virginia has
convened a closed meeting on this date pursuant to and in accordance with the Code of Virginia,
Section 2.2-3711(A.5)requiring a certification that such closed meeting was conducted in
conformity with Virginia law.
NOW, THEREFORE, BE IT RESOLVED,that the Industrial Development Authority of
Roanoke County, Virginia, hereby certifies that,to the best of each member's knowledge:
1. Only public business matters lawfully exempted from open meeting requirements
by Virginia law were discussed in the closed meeting which this certification resolution applies,
and •
2. Only such public business matters as were identified in the motion convening the
closed meeting were heard, discussed or considered by the Industrial Development Authority of
Roanoke,Virginia.
On motion of Carole Brackman to adopt the Certification Resolution for a Closed
Meeting and carried by the following recorded vote:
AYES: Bill Branch, Carole Brackman, Steve Musselwhite, Allan Robinson
NAYS: None
ABSENT: Neil Gallagher, Craig Sharp, Linwood Windley
