After a Moment of Silence, Council Member Mullins led the Pledge of Allegiance to the U.S. Flag. announcements, and Council Activities, Council Member McCarty announced the following: October 26 – Vinton Trick or Treating from 3 p.m. to 5 p.m. at the Vinton Municipal Building and November 30 – Parade starting at 6 p.m. in downtown Vinton. Council Member McCarty encouraged everyone to visit the many restaurants and entertainment venues in the Vinton community. following: October 7 to 11 – Vice Mayor Stovall attended the VML Conference; October 11 – October 16 – Grose attended the Finance Committee Meeting. 2 Council Member McCarty made a motion to approve the Consent Agenda as presented; the Mullins and carried by the following vote, with all members voting: Vote 4-0; Yeas (4) – McCarty, Mullins, Stovall, Grose; Nays (0) – None; Absent (1) - Liles. October 3, 2023 Under awards, introductions, presentations, and proclamations, Vice Mayor Stovall presented Proclamation. Under awards, introductions, presentations, and proclamations, Officer Hagy and Lieutenant Hurt introduced Officer Sean Officer Douglas Aune Jr. to Council. Council and staff expressed their Department. Under briefings, Chief Drumond presented the first quarter police report. Chief Drumond reviewed a PowerPoint that will be available at the Town Clerk’s office as part of the permanent written, 991 traffi issued, 104 traffic accidents, 14 drug cases, and 735 security checks. Mayor Grose asked about wildlife removal and who citizens can contact for help. Chief Drumond commented that he could information online for everyone to see. The Police Department is very limited in what they can do with wildlife. For now, they have the help from SPCA. The next item on the agenda was the consideration of public comments concerning the proposed granting of a lease to t Historical Society for property located at 210 East Jackson Avenue (Vinton History Museum). Mayor Grose opened the Public Hearing at 6:47 p.m. Ms. Barbour commented that there was a briefing at the previous meeting regarding Museum lease. Ms. Barbour reviewed the Public Hearing Opened 3 History Museum and what was briefed at the last meeting. Hearing no comments, Mayor Grose closed the Public Hearing at 6:49 p.m. Vice Mayor Stovall made a motion to approve the Resolution authorizing the Town Manager to execute a lease to the Vinton Historical Society for property located at 210 East Jackson Avenue members voting: Vote 4-0; Yeas (4) – McCarty, Mullins, Stovall, Grose; Nays (0) – None; Absent (1) - Liles. Public Hearing Closed Approval of Resolution No. 2569 authorizing the Town Manager to execute a lease to the Vinton Historical Society for property located at 210 East Jackson Avenue (Vinton History Museum). Under items requiring action under the agenda, there was a motion to consider the Manager to execute a Performance Agreement redevelop the former Red Jasmine building into the Tacorita Tacos & Tequila Bar restaurant. agreement with the Town of Vinton and Tacorita Tacos & Tequila Bar Restaurant introduced Tacorita & Tequila Bar Restaurant owner Mr. Sergio Ariano. Mr. Ariano expressed his excitement about Vinton and mentioned that his grandfather was the first person to open a Mexican restaurant in Roanoke, VA. Council Member McCarty made a motion to approve Manager to execute a Performance Agreement redevelop the former Red Jasmine building into the Tacorita Tacos & Tequila Bar restaurant; the motion was seconded by Council Memb Mullins and carried by the following roll call vote, with all members voting: Vote 4-0; Yeas (4) – McCarty, Mullins, Stovall, Grose; Nays (0) – None; Absent (1) - Liles. Performance Agreement with Tacorita Inc. and the Town of Vinton to redevelop the former Red Tequila Bar restaurant. Under items requiring action under the agenda, there was a motion to consider the 4 $500,000 Community-wide Brownfields Assessment Grant from the U.S. Environmental Protection Agency (EPA). Mr. McClung commented that this contract would allow TRC to do assessments on properties to help with the selling process received the first Brownfields grant. Council Member Mullins m approve the Resolution authorizing the Town Manager to execute a Contract with TRC Companies, Inc. for Environmental Consulting Services to assist with the administration of the $500,000 Community- Assessment Grant from the U.S. Environmental seconded by Council Member McCarty and members voting: Vote 4-0; Yeas (4) – McCarty, Mullins, Stovall, Grose; Nays (0) – None; Absent (1) - Liles. Environmental Consulting Services to assist with the administration of the $500,000 Community- wide Brownfields Assessment Grant from the U.S. Environmental Protection Agency (EPA). Town Manager Peters commented on the upcoming paving projects. There were a couple of contractor availability and weather, there will be through Wednesday. As soon as they finish with the Farmers Market, Avenue and finish Phase I. Under reports from committees, Mr. Keen Committee meeting. Mr. Keen commented that revenues which are performing well. The Town is maintaining about 14 million dollars in total cash. The ARPA funding was The Town went live in July with Tyler Munis, and its staff is currently being trained to use Munis. The committee members approved next year's finance committee meeting dates. Vice Mayor Stovall made a motion to approve the financial statements for July 31, 2023, and August 31, 2023, the motion was seconded by Council Member Mullins. Vote 4-0; Yeas (4) – McCarty, Mullins, Stovall, Grose; Nays (0) – None; Absent (1) - Liles. 2023, and August 31, 2023. 5 Under reports from committees, Mr. McClung commented on the October 11, 2023, Community Development Committee meeting. Mr. discussed the Tacorita performance agreement. The committee discussed the hotel development. The Town will be applying for an HSIP Grant for improvements on crosswalks, curved ramps, and lighting up intersections. The Tree Inventory study has been finished, and Ms. Gordon showed results. The Town is still waiting on the survey results for the Multi-Generational Park project, and Jamie Hurt, Capital Project Manager is currently reviewing bids from contractors. Vice Mayor Stovall expressed appreciation to Council for the donation to the Boys and Girls Club playground. Council Member Mullins expressed appreciation to the Police Department and Town staff. Council Member McCarty expressed appreciation towards the Dogwood restaurant and commented on reduction on Gus Nicks Boulevard. Mayor Grose commented on the Fall Festival and expressed appreciation towards the Vinton Chamber and Town event. Mayor Grose commented on the Vinton History Museum yard sale and how well it turned out. Mayor Grose gave a shout-out to Donna Collins for birthday lunches. The next item on the agenda was a request to convene in Closed Meeting, Pursuant to § 2.2- discussion of appointing the Town Treasurer McC Session; the motion was seconded by Council Member Mullins vote, with all members voting: Vote 4-0; Yeas (4) – McCarty, Mullins, Stovall, Grose; Nays (0) – None; Absent (1) - Liles. Mullins STAFF PRESENT: Pete Peters, Town Manager Cody Sexton, Deputy Town Manager Antonia Arias-Magallon, Town Clerk/Administrative Manager Jeremy Carroll, Town Attorney Timothy Lawless, Deputy Police Chief The Mayor called the meeting to order at 4:00 p.m. The Town Clerk called the roll with Council Member Liles, Council Member McCarty, Council Member Mullins, Vice Mayor Stovall, and Mayor Grose present. Roll call Under items requiring action under the agenda, there was a motion to consider the adoption of a Resolution authorizing the Town Manager to execute agreements between the Town of Vinton, the Roanoke County Economic Development Authority, and Gish Mill Davii LLC., pertaining to the redevelopment of Gish Mill. Town Manager Peters commented that the Town is currently scheduled for closing on Friday, December 1, 2023. The Town was at the same stage about a year ago. The developers had used Virginia Community Capital for the financing regarding the tax credit at the time. There was a little discrepancy in some of the language in some of the agreements that the bank could not agree to. After a certain time, the developers searched for other bank opportunities. They ended up selecting the Bank of Botetourt to provide the financing. All the documents associated today in the agenda package have been changed minimally. This meeting is to review and go over the documents to seek additional authorization . The SDNA document is the only new document. This was presented to the Roanoke County Economic Development Authority this morning and received authorization. The ownership of Gish Mill will be transferred on the first of December this year. Construction should start around the spring of next year. Approval of adoption of Resolution No. 2574 authorizing the Town Manager to execute agreements between the Town of Vinton, the Roanoke County Economic Development Authority, and Gish Mill Davii LLC., pertaining to the redevelopment of Gish Mill. 2 Mr. Carroll commented that the documents are by in large what was previously approved. The performance agreement sets out what the local contribution is to the grant. There is an IRF loan that comes from the Department of Housing and Community Development. With the IRF, there is a loan agreement, promissory note, deed of trust, and performance agreement. There is also a local construction loan that will be paid out over time provided that Gish Mill meets all requirements. The construction loan also has a loan agreement, promissory note, deed of trust, and performance agreement. Bank of Botetourt is providing a construction loan as well. The Town’s two loans will be subordinate to the Bank of Botetourt’s loan. The SNDA is a new document driven by tax credits. The Town, as lenders, are agreeing that should Gish Mill default, the Town will not kick out the master tenant from the property. The master tenant would still have to pay rent. They need to be tenants for 5 years for the tax credits to kick in. The Town consents to the lease and agrees that should the Gish Mill foreclose then the Town will allow the tenants to stay. Town Manager Peters commented that if Gish Mill was privately owned, there may not be a lot of investment but with public help, there is more of an incentive for the property. It is not all town funds going into the project. There are a number of sources making this project possible. Mayor Grose and Council Member Liles expressed appreciation for the work put into the redevelopment and are excited t o see what will come of it. WHEREAS, Fralin and Waldron, Inc. is selling a 3.56-acre tract that is located in the Vinton Industrial Park – at the end of 3rd St (Tax ID 070.08-01-01.07-0000); and WHEREAS, Covenants contained in a 1986 Deed of Restriction and a 1986 Amended Deed of Restriction grant the Town a Right and Option to Purchase the property; and WHEREAS, Town staff recommends the Town release its Right and Option to Purchase the property because there is no public need for the property and because doing so will facilitate the sale and productive development of the property.
