Summary
The Town Clerk, Susan Johnson, has completed all of the requirements to become a Certified
Municipal Clerk through the International Institute of Municipal Clerks. She was notified of her
CMC Designation on June 6, 2017. Town Council would like to recognize Ms. Johnson for her
accomplishment.

Issue
Consider adoption of a Resolution authorizing the Town Manager to approve intradepartmental
and interdepartmental transfers in an amount not to exceed $10,000 per occurrence once
approved by the Finance Committee.
Summary
At the June 19, 2017 Finance Committee meeting, the Town Manager requested that he be
authorized to make intradepartmental and interdepartmental transfers not to exceed $10,000.00.
The Town Manager commented that this would help to reduce the number of transfers required
to true-up the budget at the end of the year that require Council action.
The Finance Committee had discussion and agreed with this recommendation based on the fact
that if these transfers were approved by the Finance Committee there would be enough checks
and balances to monitor these types of transactions. The Chairman of the Finance Committee
brought this recommendation to Council in his finance report at the June 20, 2017 meeting to
apprise Council of the recommendation that would be on the next agenda for Council
consideration and approval.

AT A REGULAR MEETING OF THE VINTON TOWN COUNCIL HELD ON TUESDAY,
JULY 18, 2017 AT 7:00 PM IN THE COUNCIL CHAMBERS OF THE VINTON
MUNICIPAL BUILDING, 311 SOUTH POLLARD STREET, VINTON, VIRGINIA
WHEREAS, on November 4, 2014, the Finance Committee recommended to Council that the
Town Manager be authorized to approve intradepartmental transfers in an amount
not to exceed $5,000 per occurrence and Council approved the recommendation by
Resolution No. 2087; and
WHEREAS, the Finance Committee is now recommending to Council that the Town Manager be
authorized to approve intradepartmental and interdepartmental transfers in an
amount not to exceed $10,000 per occurrence; and
WHEREAS, the Town Manager shall provide the Finance Committee a list of the requested
transfers and once approved by the Committee may proceed to make said transfers.
NOW, THEREFORE, BE IT RESOLVED that the Vinton Town Council does hereby
authorize the Town Manager to approve intradepartmental and interdepartmental transfers in an
amount not to exceed $10,000 per occurrence once approved by the Finance Committee.

Consider adoption of a Resolution authorizing the Town Manager to execute a Real Property
Option and Parking Lot Lease for the Former Vinton Motors Property.
Summary
Staff has worked with members of the Town Council Economic Development Committee, the
Town Attorney and the Owner of the former Vinton Motors Property to finalize the terms of a
Real Property Purchase Option and Parking Lot Lease.
The Purchase Option will provide the Town with the opportunity to market the property to
prospective developers for the purpose of encouraging redevelopment of the site that is
consistent with the recent revitalization efforts within the Downtown.
The Parking Lot Lease will provide the Town with additional public parking options for the
patrons of the downtown businesses and special events.
General Terms and Conditions of the Option and Lease consist of the following:
1. Includes all ten parcels totaling approximately 1.4 acres, including the primary parking
area, the former dealership/garage, the former parts store, the former Cundiff Drugstore
and the vacant lot on Lee St.
2. The Option is transferrable in whole or in part with written consent of the Owner.
3. The Option is valid for two years, although may be extended or terminated upon mutual
agreement.
4. The Parking Lot Lease allows for general parking of town patrons seven days per week
for the duration of the agreement.
5. An annual rent will be paid by the Town to the Owner in the amount of $5,000.

REAL PROPERTY PURCHASE OPTION
AND PARKING LOT LEASE
THIS REAL PROPERTY PURCHASE OPTION AND PARKING LOT LEASE,
(“Agreement”) is made and entered into this ____ day of July, 2017, by and between WILLIAM P.
VINYARD, JR., (“Owner”), and the TOWN OF VINTON, VIRGINIA, (“Town”).
WITNESSETH:
WHEREAS, Owner is the owner of certain real property situate in the Town of Vinton,
County of Roanoke, Virginia, identified as Tax Parcel Numbers 060.16-02-03.00; 060.16-02-04.00;
060.16-02-05.00; 060.16-02-06.00; 060.16-02-07.00; 060.16-02-08.00; 060.16-02-09.00; 060.16-02-
10.00; 060.16-02-11.00; 060.16-02-15.00 (the “Property”); as depicted on the Roanoke County GIS
Map attached hereto as Exhibit A; AND BEING the same Property conveyed to Owner by the deeds
listed on the Ownership and History of the Property report prepared by Russell & Associates,
attached hereto as Exhibit B; and
WHEREAS, the Property is located on a primary corner in downtown Vinton and the Parties
desire to see the Property redeveloped in a manner that enhances Vinton’s downtown area, provides
future revenue generation for the Town, and adds employment opportunities for its citizens; and
WHEREAS, Town and Owner have agreed that Town shall have an option to purchase the
Property, which may be assignable, so that Town may market the Property to prospective purchasers
for the purpose of economic redevelopment of the Property; and
WHEREAS, Town is also in need of additional public parking for its farmer’s market,
downtown businesses, and special events; and
WHEREAS, Owner agrees to lease the parking lot located on the Property to Town for
public parking;
NOW THEREFORE, in consideration of the promises and mutual covenants exchanged
herein, the parties agree that:
OPTION TO PURCHASE PROPERTY
1. Option. In accordance with the terms and conditions herein, Owner hereby
unconditionally and irrevocably grants, bargains, sells, and conveys to Town, the

exclusive right and option ("Option") to purchase all or part of the Property identified
herein at a price agreed upon by the Parties.
2. Term. The term of the Option shall commence on the Effective Date, and shall
continue for two (2) years expiring on the second anniversary of the Effective Date
(“Option Term"), unless extended pursuant to the terms of Section 4 below or
terminated earlier pursuant to the terms hereof.
3. Consideration. This Option is granted by Owner in consideration of Town’s
agreement to market the Property at no cost to Owner. Town has agreed to market
the Property in order to further the parties’ goals of seeing the Property redeveloped
in a manner that will benefit the Town, the downtown area, and its citizens.
4. Extension of Term. This Option may be extended upon mutual agreement of the
Parties.
5. Method of Exercising Option. Town may exercise the Option by providing written
notice of its (or its assignee’s) intent to do so and executing a purchase contract with
Owner.
6. Assignment. This Option to purchase may be assigned by Town to a prospective
purchaser of all or a part of the Property upon written consent of the Owner, which
shall not be unreasonably withheld.
7. Termination. If not exercised, this Option shall expire automatically at the end of
the two year Option Term, unless extended by mutual agreement of the Parties. This
Option may be terminated earlier if agreed to by the Parties in writing.
PARKING LOT LEASE
8. Premises. Owner agrees to lease to Town and Town hereby agrees to rent from
Lessor the parking lot area identified as Tax Parcel Numbers 060.16-02-06.00;
060.16-02-07.00; 060.16-02-08.00; 060.16-02-09.00; 060.16-02-10.00; 060.16-02-
11.00, as depicted in the cross hatched area on the Roanoke County GIS Map of the
Property attached hereto as Exhibit “C” (“Premises”).
9. Term. The initial term of this Lease shall be for a period of one (1) year and shall
commence on the date this Agreement is fully executed by the Parties
(“Commencement Date”). The Lease shall renew itself automatically on the same

terms unless either Party gives notice of its intention not to renew or terminates the
lease. Either Party may terminate this lease at their convenience at any time by
providing thirty (30) days written notice of termination to the other Party. If Owner
terminates the lease for his convenience, Owner shall refund the Town its prorated
share of the Rent paid in advance for the period remaining during the initial term or
any renewal term. If Town terminates the lease for its convenience, no refund shall
be due for prepaid Rent.
10. Rent. Town shall pay Owner Five Thousand and no/100 ($5,000.00) annually on the
Commencement Date and each anniversary thereof as long as the Premises is being
leased by the Town.
11. Use of Premises. Town’s use of the Premises shall be for public parking 7 days per
week.
12. Maintenance. Town shall regularly inspect the Premises and keep the Premises free
of trash and debris.
13. Indemnification. To the extent permitted by law, Town agrees to indemnify,
defend, and save harmless the Owner from and against all liabilities, claims,
expenses, costs, losses, and damages, including, but not limited to, reasonable
attorney’s fees arising from Town’s use of the Premises.
14. Insurance. Town shall carry public liability insurance for its activities on the
Property and name the Owner as additional insured.
15. Notice. Any notice or communication required or permitted to be given by any
provision of this Agreement will be in writing and will be deemed to have been given
when delivered personally, by email, or by first class mail to the Party designated
below to receive such notice:

16. Amendments. This Agreement shall not be amended or modified in any way except
by an instrument signed by Owner and Town.
17. Governing Law. This Agreement shall be governed by and construed in accordance
with the laws of .the Commonwealth of Virginia. The venue for any action taken
pursuant to this Agreement shall be Roanoke County, Virginia.
18. Memorandum of Option. The Parties may execute a Memorandum of Option and
record such Memorandum of Option in the Clerk’s Office of the Circuit Court of

19. Entire Agreement. This Agreement contains the entire agreement between the
parties and may be changed only by a written amendment, signed by both parties.
This Agreement shall be governed by the laws of the Commonwealth of Virginia. It
shall not be assigned by Lessee without the prior written approval of Lessor.
20. Owner’s Certification of Ownership. By executing this Agreement, Owner
acknowledges that (i) Owner has the full power and authority to enter into and
perform its obligations under this Agreement and (ii) Owner holds fee simple title to
the Property and is the sole owner of the Property.

AT A REGULAR MEETING OF THE VINTON TOWN COUNCIL HELD ON TUESDAY, JULY
18, 2017 AT 7:00 PM IN THE COUNCIL CHAMBERS OF THE VINTON MUNICIPAL
BUILDING, 311 SOUTH POLLARD STREET, VINTON, VIRGINIA 24179.
WHEREAS, the former Vinton Motors property comprised of 10 parcels totaling 1.4 acres
(“Property”), is located on a primary corner of downtown Vinton and has been vacant
since 2009; and
WHEREAS, the Owner of the Property and the Town of Vinton desired to see the property
redeveloped in a manner that enhances Vinton’s downtown area, provides future revenue
generation for the Town, and adds employment opportunities for its citizens; and
WHEREAS, the Owner and the Town have agreed to terms for a Purchase Option for the Town to
acquire the Property, which may be assignable, so that Town may market the Property to
prospective purchasers for the purpose of economic redevelopment of the Property; and
WHEREAS, the Town is also in need of additional public parking for its farmer’s market, downtown
businesses, and special events; and
WHEREAS, the Owner agrees to lease the parking lot located on the Property to the Town for public
parking.
NOW, THEREFORE, BE IT RESOLVED, BY THE COUNCIL OF THE TOWN OF VINTON,
VIRGINIA, AS FOLLOWS:
1. The Real Property Purchase Option and Parking Lot Lease is hereby approved in a form
substantially similar to the one presented to Council and approved by the Town Attorney; and
2. The Town Manager is hereby authorized, for and on behalf of the Town, to execute and then to
deliver the Real Property Purchase Option and Parking Lot Lease and any other necessary
documents in furtherance of the same.

Briefing on a Performance Agreement to accept a $50,000 grant from the VEDP/DEQ Virginia
Brownfield’s Assistance Fund (VBAF).
Summary
Vinton staff partnered with Draper Aden and Associates to apply for the VBAF Grant in the
amount of $50,000 in May of 2017 to conduct an Environmental Phase I and II for the Gish Mill
Property. The Town was recently notified that our application was accepted and execution of a
Performance Agreement is necessary to receive the funds and track the benefits associated with
the project’s completion.
The VBAF grant does require a 50% match, although we are able to use our purchase of the
property as the Town’s portion, so no additional Town funds are required to move forward.
