After a Moment of Silence, Council Member Stovall led the Pledge of Allegiance. Events/Announcements, and Council Activities, Council Member McCarty announced the following events: December 4 – Christmas Parade to follow at 7:00 p.m.; December 9 – The Santa Crawl will begin at 5:30 p.m. and will end at 9:00 p.m.; December 11 – Chamber of Commerce is hosting a Holiday Open House from 5:00 p.m. until 7:00 p.m.; December 16 – Town Council meeting is canceled; December 24 – Town Offices will close at 12:00 p.m. in December 25th and 26th. 2 Vice Mayor Mullins announced the following Council Activities: November 19 – Mullins and Council Member McCarty attended the Public Works Committee meeting; December 1 – Board meeting; December 2 – Attended the Ribbon Cutting ceremony for Vinton Café. Under Requests to Postpone, A Change the agenda, there were no requests for postponements, additions or changes. Council Member approve the Consent Agenda as presented with the minutes of the Regular Meeting on November 18, 2025, and the Resolution to amend the Town January 2, 2026 following vote, with all members voting: Vote 5-0; Yeas (5) – Liles, McCarty, Stovall, Mullins, Grose; Approved the minutes of the Regular Meeting of November 18, 2025; and approved Resolution No. 2657 amending the Town Holiday Schedule to close Town Offices on January 2, 2026. Under Awards, Introductions Presentations, Police Officer Dustin Bray and then introduced Rachel Slate as the new Police Records Manager. Under Citizens’ Comments and Petitions, no one offered any comments. Under B Community Development with Roanoke Valley- Alleghany Regional Commission briefed everyone on the 2025 Hazard Mitigation Plan to be adopted and incorporated as an amendment to the Town’s Comprehensive Plan. The Hazard Mitigation Plan Mitigation Act of 2000. Ms. McGee shared a mitigations goals and stra jurisdiction specific takeaways and the next steps. This presentation will be kept as a part of the permanent file at the Town Clerk’s Office. Under Items Requiring A items that required action. Mayor Grose opened the first of two Public Hearings for Town Council. Public Hearing for Town Council opened at 6:28 p.m. 3 Mrs. McMillan called the roll for the Planning Commission with Mr. Benninger, Mr. McCoy, Mr. Mullen, Vice Chairman Jones, and Chairman Liles present. Council Member Stovall recused himself from the Public Hearing due to a conflict of interest. McClung who shared that the Special Use Permit South Pollard Street in Vinton. The proposed use for this property meets the definition of a medical clinic which requires a Special Use Permit in this care, medical weight loss, and other medical and therapeutic services to their clientele. Chairman Liles opened the first of two Public Hearings for the Planning Commission. McConnell, to share comments. Ms. McConnell shared that she opened her clinic in 2019 in Stewartsville, Virginia. She obtained the ability to provide massage therapy which prompted After a year of business in Roanoke, she decided to have a location in Vinton. Mr. McCoy made the motion to recommend the Special Use Permit for the proposed medical clinic to the Town Council; the motioned was seconded by Vice Chairman Jones following vote, with all members voting: Vote 5-0; Yeas (5) – Benninger, McCoy, Mullen, Jones, Liles; Nays (0) – None. Vice Mayor Mullins made the motion to approve the Ordinance to allow a Special Use Permit; the motion was seconded by Council Member McCarty and carried by the following vote, with members voting: Vote 4-0-1; Yeas (4) – Mullins, Grose; Nays (0) – None; Abstain (1) – Stovall. comments. McClung who shared details about amendments to the Vinton Zoning Ordinance, which include adding commissary kitchens to the use table in Article IV (District Regulations) and add a definition for these use types in Article XI (Definitions) and amending multiple provisions and requirements for Planned Unit Development Districts in Article IV, Division 4 (Planned United Development Districts). comments. None were offered. Chairman Liles asked if the Planning Commission had questions or comments. None were offered. Mayor Grose closed the Public Hearing for Town Council. Public Hearing for Town Council Planning Commission closed at 6:38 p.m. Motion to recommend to Town Council to allow Special Use Permit for proposed medical clinic. Permit for a medical clinic located at 600 South Pollard Street, Vinton. Public Hearing Planning Commission opened at 6:42 p.m. Public Hearing Planning Commission closed at 6:49 p.m. 5 Chairman Liles closed the Public Hearing for the Planning Commission. Chairman Liles advised there is no more business for the Planning Commission. Vinton Zoning Ordinance. Planning Commission meeting adjourned at 6:51 p.m. Under Items Requiring Action, there were no items requiring action. Under Reports from Committees, Mr. Peters provided an update Committee. downtown area, we have had an increased need for dumpster service at the Farmer’s Market. We are looking to install a compactor where the current dumpster sits. Creek Greenway and at the Vinton War Memorial Community Park have been set in place. We are restroom. The restrooms should be open soon. We received the scope of work from RK&K for the 3rd Street repairs. They hope to have a deliverable information to build the CIP budget. 6 We purchased additional benches and trash cans for the 100 block of South Pollard Street and Walnut Avenue. Every five years we are required to submit a Solid Solid Waste Management plan is around 80 pages information. We are working to revise the plan and condense the information. We are transitioning from underground fuel storage tanks at the Public Works facility assigned to it. The fuel cards will be accepted at any fueling station. The transition to the fuel cards will take place at the first of the year. After the fuel cards are implemented, we will decommission the fuel storage tanks which will remove a large liability from the Town. We have had a significant delay in the stormwater improvements at South Pollard Street and Cedar We should be ready to place the bid soon and start construction in early Spring 2026. The Spring Clean-Up Event is scheduled for April 6-10, 2026. Mr. Peters then highlighted the new projects that are taking place around the Town such as Christmas decorations, and Christmas Parade and Santa along Mountain View Road and Clearview Drive. The Public Works Department has been practicing on the snow removal equipment in preparation for snow days. Mr. Peters then shared that we are moving forward with some unexpected repairs to equipment. Lastly 12, 2025. Mayor Grose shared his appreciation for the efforts of the Public Works Department. Under Town Manager’s Projects Updates, Mr. Peters advised we have busy weeks ahead of us 7 that the Town Council meeting scheduled for December 16, 2025, has been canceled. Under Council and Mayor comments, Council Member Liles hopes the parade is the best one yet. He appreciates seeing it grow year after year. He then complimented the progress of the hotel by the construction of the elevator shaft. Council Member McCarty wished everyone a Merry Christmas and complimented the staff and the work they do. Vice Mayor Mullins shared appreciation for the staff and expressed that she is looking forward to the parade. Council Member Stovall commented on the changes coming to skill games and iGaming. He wished everyone a Merry Christmas. Mayor Grose wished everyone a Merry Christmas spoke about the Ribbon Cutting ceremony at the Vinton Café and encouraged everyone to stop by to enjoy good food. Summary Chief Drumond will introduce Corporal Dibble as the new traffic unit officer. Chief Drumond will also provide a presentation on the restructuring of the chain of command within the police department. Attachments None Recommendations None Town Council Agenda Summary 1 Meeting Date January 6, 2026 Department Administration Issue Consider adoption of a Resolution authorizing the Town Manager to execute Second Amendments to Memoranda of Understanding with Roanoke County for the Vinton/East County Hotel Project. Summary The Town of Vinton and Roanoke County have previously adopted Memoranda of Understanding for the Vinton Hotel Project. The agreement references a specified reimbursement of net, new taxes generated by the development during the previous year. The Second Amendment to the MOU is summarized as follows: • The McDevitt Company is no longer the developer of the Vinton/East County Hotel Project. The new developer is KARA Hospitality, LLC. • The “Hotel Parcels” are not combined and identified as: 060.15-06-44.00-0000 (525 South Pollard Street, Vinton, VA 24179). • The County agrees to annually reimburse the Town all net new taxes (including real property taxes, personal property taxes, and sales taxes) generated by the Vinton/ East County Hotel project during the preceding year. Net new taxes shall be any taxes received in excess of any taxes received from the properties for tax year preceding the year in which the certificate of occupancy for the Hotel is issued. The County will make payments under this section over a maximum period of five (5) years, and total payments will not exceed $500,000. • Paragraphs 2 and 3 of the Terms section of the MOU are deleted; the County will not include payment in the initial year of development for any building fees paid by the developer. • Paragraph 4 of the Terms section is amended to state that payments will commence during January of the year after the hotel receives its certificate of occupancy. • The Effective Date and Termination section of the MOU is amended to provide that the MOU, as amended, shall remain in effect until the final annual payment is made. Town Council Agenda Summary 2 Attachments Second Amendment to MOU-Vinton Hotel Resolution Recommendations Motion to adopt Resolution {00454460.DOCX } Page 1 of 4 SECOND AMENDMENT TO MEMORANDUM OF UNDERSTANDING BETWEEN THE BOARD OF SUPERVISORS OF ROANOKE COUNTY AND THE TOWN COUNCIL OF THE TOWN OF VINTON TO SUPPORT THE VINTON/EAST COUNTY HOTEL PROJECT This SECOND AMENDMENT TO MEMORANDUM OF UNDERSTANDING (“Second Amendment”) is entered into between the Board of Supervisors the County of Roanoke, Virginia (the “County”) and the Town Council of the Town of Vinton (the “Town”) to provide support for the Vinton/East County Hotel Project. WHEREAS, the County and the Town previously entered into a Memorandum of Understanding (“MOU”) to support the Vinton/East County Hotel Project in August 2021; and WHEREAS, the MOU provided, inter alia, that the County would, for a period of three years, annually pay to the Town up to $150,000 from net new taxes (including real property taxes; personal property taxes; and sales taxes) generated by the Vinton/East County Hotel Project as identified in the MOU; and WHEREAS, the County and Town intended for the first payment from the County to the Town for net new taxes generated by the Vinton/East County Hotel Project to be made in January 2024 and the last payment to be made in January 2026; and WHEREAS, in the First Amendment to the MOU, executed in 2022, the County and Town amended the MOU to delay the County’s first annual payment of net new taxes until January 2025, which would have delayed the County’s final annual payment of net new taxes until January 2027; and WHEREAS, delays in completion of the project necessitate further amendments to the MOU; and {00454460.DOCX } Page 2 of 4 WHEREAS, the County and Town again desire to further amend the MOU. NOW, THEREFORE, in consideration of the foregoing premises, and the mutual benefits, promises, and understandings of the County and Town contained herein and in the MOU, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the County and Town covenant and agree as follows: 1. The MOU is amended to reflect that The McDevitt Company is no longer the developer of the Vinton/East County Hotel Project. The developer is KARA Roanoke, LLC. The Town and County acknowledge and agree that the performance agreement executed among the Town, the Economic Development Authority of Roanoke County, Virginia, and KARA Roanoke, LLC satisfies the performance agreement requirement contained in paragraph 1 of the Terms section of the MOU. 2. The MOU is amended to reflect that: (A) the 0.295 acre parcel formerly known as Roanoke County Tax Map No. 060.15-06-44.00-0000, located at 525 South Pollard Street, Vinton, VA 24179, is added to the Hotel Parcels identified in the MOU, and (B) the seven parcels that comprise the Hotel Parcels have been consolidated, along with vacated rights-of-way over a portion of the former First Street and the 15’ Alley extending in a westerly direction from the vacated portion of First Street, to form a single 1.88 +/- acre parcel identified as Roanoke County Tax Map No. 060.15-06-44.00-0000, located at 525 South Pollard Street, Vinton, VA 24179. 3. Paragraph 1 of the Terms section of the MOU is amended to state that the County agrees to annually reimburse the Town all net new taxes (including {00454460.DOCX } Page 3 of 4 real property taxes, personal property taxes, and sales taxes) generated by the Vinton/ East County Hotel project during the preceding year. Net new taxes shall be any taxes received in excess of any taxes received from the Hotel Parcels, whether considered individually or in their current consolidated state, for the tax year preceding the year in which the certificate of occupancy for the Hotel is issued. The County will make payments under this section over a maximum period of five (5) years, and total payments will not exceed $500,000. 4. Paragraphs 2 and 3 of the Terms section of the MOU are deleted; the County will not make a payment in the initial year of development for any building fees paid by the developer. 5. Paragraph 4 of the Terms section is amended to state that payments will commence during January of the year after the hotel receives its certificate of occupancy. 2. The Effective Date and Termination section of the MOU is amended to provide that the MOU, as amended, shall remain in effect until the final annual payment is made. 3. The remainder of the MOU is unaffected by this Second Amendment, and the MOU shall remain in full force and effect, binding upon the parties, as amended herein. Lawless, Town Clerk 1 Meeting Date January 6, 2026 Department Council Issue Appointments to Boards/Commissions/Committees Summary Requesting Council make the following appointments: Board of Zoning Appeals Allen Kasey’s term on the Board of Zoning Appeals expires on January 16, 2026. Mr. Kasey is interested in being re-appointed. Council needs to re-appoint Allen Kasey to a new five-year term beginning January 17, 2026, and ending January 16, 2031. Western Virginia Regional Industrial Facility Authority Mayor Grose and Cody Sexton’s terms expire on February 3, 2026. Council needs to re-appoint them to new four-year terms beginning February 4, 2026, and ending February 3, 2030. Greater Roanoke Transit Company Board Since Andrew Keen is no longer employed with the Town of Vinton, Council is being asked to appoint Richard W. Peters, Jr., as a member of the Greater Roanoke Transit Board for the remainder of the one-year term that will end on June 30, 2026. Appointment of Deputies Chapter 4 of the Charter of the Town of Vinton provides for the appointment of deputies to each of the appointive officers by Town Council. Deputy Town Manager – Adam E. AT A REGULAR MEETING OF THE VINTON TOWN COUNCIL, HELD ON TUESDAY, JANUARY 6, 2026, AT 6:00 P.M., IN THE COUNCIL CHAMBERS OF THE VINTON MUNICIPAL BUILDING, 311 SOUTH POLLARD STREET, VINTON, VIRGINIA 24179. Cody Sexton as Deputy Town Manager in the Town of Vinton effective January 1, 2026; and, BE IT FURTHER RESOLVED, that the Vinton Town Council does hereby appoint Kimberley Ramsey as Deputy Town Treasurer in the Town of Vinton effective January 1, 2026; and, BE IT FURTHER RESOLVED, that the Vinton Town Council does hereby appoint Julie Tucei as Deputy Town Clerk in the Town of Vinton effective January 1, 2026; and, BE IT FURTHER RESOLVED, that the Vinton Town Council does hereby appoint Michael W. S. Lockaby as Deputy Town Attorney in the Town of Vinton effective January 1, 2026; and, BE IT FURTHER RESOLVED, that the Vinton Town Council does hereby appoint Timothy J. Lawless as Deputy Chief of Police in the Town of Vinton effective January 1, 2026; and, BE IT FURTHER RESOLVED, that the appointed deputy officer may fully serve in the capacity of his or her respective appointive officer in the absence or disability of the appointive officer in accordance with the Charter of the Town of Vinton, the Code of the Town of Vinton, the Code of the Commonwealth of Virginia, and any other applicable laws.
