After a Moment of Silence, Council Member Liles led the Pledge of Allegiance. Announcements, and Council Activities: Vice Mayor Mullins March 24th – Chamber of Commerce. The event will be held at William Byrd Middle School. Vice Mayor Mullins announced the following Council activities: February 5th – Council Member Liles, and Council Member Stovall attended Legislative Day in Richmond 5th – Committee meeting; February 11th – Council attended the Community Development Committee meeting; February 17th – Mayor Grose and Council Member Stovall attended the Finance Committee meeting. Attachment Proclamation Recommendations Present Proclamation Town Council Agenda Summary PROCLAMATION A RESOLUTION RECOgNIzINg ThE WhEREAS, Multiple Sclerosis (MS) is a chronic, often debilitating, disease of the central nervous system that afflicts approximately 1 million people in the United States; and, WhEREAS, it typically strikes young people in the prime of their life in their twenties, thirties, and forties; and, WhEREAS, symptoms can start as tingling, numbness in the limbs or nerves, loss of mobility, coordination, and vision and progress to paralysis; and, WhEREAS, women are more likely than men to have MS by about two to one; and, WhEREAS, March is Multiple Sclerosis Education and Awareness Month, and it is important to have better education and awareness of Multiple Sclerosis so that victims can lead more productive and satisfying lives to benefit themselves, their caregivers, families, and the entire community; and, WhEREAS, the exact cause of Multiple Sclerosis is unknown and there is no known cure and every hour of every day, someone is newly diagnosed with MS; and, WhEREAS, the Multiple Sclerosis Alliance of Virginia (MSAV) provides programs and services for anyone in Virginia whose life has been affected by MS. NOW, ThEREFORE, Mayor Bradley E. Town Manager, Richard ‘Pete’ Peters will present the Gus Nicks and Gish Mill Water Improvements Reimbursement Agreement for the Town to fund associated constructions costs. This project provides public benefits, enhances public infrastructure, and supports economic development and revitalization. Town Council Agenda Summary Page 1 of 6 GUS NICKS AND GISH MILL WATER IMPROVEMENTS REIMBURSEMENT AGREEMENT This GUS NICKS AND GISH MILL WATER IMPROVEMENTS REIMBURSEMENT AGREEMENT (“Agreement”) is made as of the ____ day of March, 2026, by and between the Western Virginia Water Authority, a water and sewer authority formed pursuant to Chapter 51 of Title 15.2 of the Code of Virginia (1950), as amended (“Authority”) and the Town of Vinton, Virginia, a municipal corporation of the Commonwealth of Virginia (“Town"). The Authority and Town may be referred to herein as a Party or, collectively, as the Parties. WITNESSETH WHEREAS the Town desires to provide water utility infrastructure improvements (collectively, the “Project”) necessary to enhance residential and commercial water pressure, capacity, and fire flow for properties located along Gus Nicks Blvd, Highland Road, Wayne Street, and Marlou Street, as well as the Billy Byrd Apartments and Gish Mill area, all along strategic corridors within the Town; and, WHEREAS the Town has determined that construction of the Project will provide public benefits, enhance public infrastructure, and support economic development and revitalization within the Town; and, WHEREAS the Authority, as the provider of water and wastewater services in the Town, has completed engineering design for the Project, which will be carried out as depicted in the Project plans attached hereto as Exhibit A, dated February 3, 2026; and, WHEREAS the Town and Authority agree that it will be mutually beneficial for the Authority to construct the Project and for the Town to fund the construction costs thereof; and, WHEREAS the Town and Authority understand that time is important and both parties will use any reasonable means necessary to start and complete the construction of the Project in a timely manner. NOW THEREFORE in consideration of the mutual benefits accruing to each Party, the Parties do hereby agree and covenant as follows: 1. Retention of Consulting Engineer. The Authority will retain a licensed professional engineer or engineers (either Authority employee(s) or independent contractor(s)) to provide engineering design services, permitting services, bid-phase services, and construction administration and oversight services as necessary to the Authority on the Project (whether one or more, the “Consulting Engineer”). 2. Construction Contract. Pursuant to the provisions of the Virginia Public Procurement Act, the Authority will enter into a construction contract with a contractor or contractors (collectively, the “Contractor”) to perform construction work on the Project, in accordance with the approved design and specifications provided by the Consulting Engineer. The Authority will require the Contractor to post payment and performance bonds equal to 100% of the Project Funds (as defined below) and will retain 5% on all payments to the Contractor to ensure faithful performance of the construction contract. 3. Project Funding. The Town shall budget, appropriate, and make available to the Page 2 of 6 Authority the sum of eight hundred thirteen thousand, six hundred sixty-three dollars and zero cents ($813,663.00) (the “Project Funds”), to be used solely for construction costs of the Project. The Project Funds represent the accepted bid amount of eight hundred thirteen thousand, six hundred sixty-three dollars and zero cents ($813,663.00) for the Project, less ____________________________ ($_____________) of unused federal funding previously awarded to the Authority and applied to the Project as of the Effective Date of this Agreement. If additional unused federal funding previously awarded to the Authority is subsequently identified and applied to the Project, the required Project Funds shall be reduced by a corresponding amount. Any change orders, including those that increase or decrease the Project Funds, shall be submitted to the Town for prior review and written approval. The Town shall be responsible for funding and paying all approved change orders that increase the cost of the Project in addition to the Project Funds. Any approved change orders that decrease the cost of the Project shall result in a corresponding reduction to the Project Funds. 4. Payment of Funds. a. The Authority shall provide the Town monthly itemized invoices describing all work done during the period covered by the invoices, as well as all costs and expenses incurred on the Project during that period. b. The Town will reimburse the Authority promptly, but no later than 30 days after receipt of invoicing for costs and expenses actually incurred and paid by the Authority for the performance of the Project. 5. Representations. a. The Authority shall maintain a financial management system and financial records and shall administer funds received pursuant to this Agreement in accordance with all applicable federal and state requirements. The Authority shall maintain detailed, itemized documentation and records of expenses incurred pursuant to this Agreement to exhibit to the Town the receipts, vouchers, statements, bills of sale or other evidence of the actual payment. b. The Authority shall comply with, and shall obtain all permits, consents, and approvals required by local, state or federal laws, ordinances, rules, regulations or requirements in connection with the acquisition, construction, reconstruction, expansion, renovation, or equipping of the Project. 6. Cooperation in Monitoring, Evaluation and Project Completion and Acceptance. a. Both parties understand that time is important. The Authority shall use reasonable means necessary to start and complete the Project in a timely manner, and the Authority shall use its reasonable diligence to issue the Certificate of Substantial Completion thereafter. b. Town Responsibilities. The Town shall monitor, evaluate, and provide guidance and direction to the Authority in the conduct of the Project. The Town has the responsibility to determine whether the Authority has spent funds in accordance with applicable laws and regulations, including federal, state, and local audit requirements and agreements and shall monitor the activities of the Authority to ensure that the Page 3 of 6 Authority has met such requirements. The Town may require the Authority to take reasonably necessary corrective action if the parties agree that deficiencies exist. c. Authority Responsibilities. i. The Authority shall permit the Town to carry out monitoring and evaluation activities, including any performance measurement system required by applicable law, regulation, funding sources guidelines, or by the terms and conditions of this Agreement, and the Authority agrees to ensure, to the greatest extent possible, the cooperation of its agents, employees and board members in such monitoring and evaluation efforts. This provision shall survive the expiration or termination of this Agreement. ii. The water supply infrastructure improvements will be dedicated to the Authority upon the completion of the Project. Final Acceptance by the Authority for the Project shall not be unreasonably withheld, conditioned or delayed. The Authority shall work and cooperate with the Town in good faith in all aspects of the work contemplated herein, as may be reasonably required in connection with the Project. Upon such Final Acceptance and conveyance of the Project, the Authority, at the Authority's cost, shall assume the maintenance, repair, replacement and operations of the Project and to keep the same in good working condition. 7. Reports/Accountability/Public Information. The Authority shall allow the Town, its auditors, and other persons authorized by the Town to inspect and copy its books and records related to the Project for the purpose of verifying that monies provided to the Authority pursuant to this Agreement were used in compliance with this Agreement and all applicable provisions of federal, state, and local law. The Authority will retain such records in accordance with the current retention schedules as published by the Library of Virginia. 8. Independent Contractor Status. The Parties agree that the Authority, its agents, employees, contractors, or subcontractors, are independent contractors for purposes of this Agreement and are not to be considered employees or agents of the Town for any purpose. The Authority and its agents, employees, contractors, or subcontractors, are not subject to the terms and provisions of the Town’s personnel policies handbook and may not be considered a Town employee for workers’ compensation or any other purpose, The Authority, its agents, employees, contractors, or subcontractors, are not authorized to represent the Town or otherwise bind the Town in any way. Likewise, the Town, its agents, employees, contractors, or subcontractors, are not authorized to represent the Authority or otherwise bind the Authority in any way. 9. Default and Termination. If either Party breaches any term or condition of this Agreement, the non-breaching Party may provide written notice to the breaching Party detailing the breach, and the breaching Party must remedy the breach within fifteen (15) days of its receipt of the notice, provided, however, that if the breach cannot be remedied within fifteen (15) days, the breaching Party must promptly commence efforts to remedy the breach and diligently pursue such remedy until the breach has been remedied. If the breaching Party does not timely remedy the breach as provided in the foregoing sentence, then the non-breaching Party may terminate this Agreement and pursue such other remedies as it may have available to it at law. Page 4 of 6 The notice will set forth the items to be cured. If this Agreement is terminated pursuant to this Section, the Town will pay the Authority for any costs and expenses incurred prior to the date of termination as well as any other non-cancellable charges related to the Project. 10. Indemnity/Waiver of Claims/Insurance. To the fullest extent permitted by law and without waiving sovereign immunity, the Authority agrees to defend, indemnify, and hold the Town and its agents, representatives, employees, and officers (collectively referred to for purposes of this Section as the Town) harmless against all third party claims, demands, suits, damages, losses, and expenses, including reasonable defense attorney fees, which arise out of, relate to or result from Authority’s (i) negligence, or (ii) willful or reckless misconduct in its performance under this Agreement. In the event of an action filed against Town resulting from the Town’s performance under this Agreement, the Town may elect to represent itself and incur all costs and expenses of suit. These obligations shall survive termination of this Agreement. In addition to and independent from the foregoing, the Authority shall at the Authority’s expense secure insurance coverage through an insurance company or companies duly licensed and authorized to conduct insurance business in Virginia which insures the liabilities and obligations specifically assumed by Authority in this Section or through a lawful and actuarially sound policy of self-insurance under the Virginia Local Government Group Self-Insurance Pools Act, Title 15.2, Chapter 27, Code of Virginia (1950), as amended. The insurance coverage shall not contain any exclusion for liabilities specifically assumed by Authority in this Section unless and to the extent coverage for such liability is not reasonably available. The insurance shall cover and apply to all claims, demands, suits, damages, losses, and expenses that may be asserted or claimed against, recovered from, or suffered by the Town without limit and without regard to the cause therefore and which is acceptable to the Town and the Authority shall furnish to the Town an accompanying certificate of insurance and accompanying endorsements in amounts not less than as follows: • Employer’s Liability Limits o Bodily Injury by Accident: $1,000,000 o Bodily Injury by Disease: $1,000,000 each employee o Bodily Injury by Disease: $1,000,000 policy limit • General Liability - $ 1,000,000 per occurrence 11. Attorney’s Fees and Costs. In the event it becomes necessary for a Party to this Agreement to retain an attorney to enforce any of the terms or conditions of this Agreement, then the prevailing Party in any subsequent litigation shall be entitled to recover its reasonable attorney’s fees and costs associated with the claim. 12. Integration and Modification. This document contains the entire understanding between the Parties as to the subject matter hereof and no statements, promises or Page 5 of 6 inducements made by either Party or agents of either Party not contained in this written Agreement may be considered valid or binding. This Agreement may not be modified except by written agreement signed by both Parties. 13. Dispute Resolution. a. Any claim, controversy, or dispute between the Parties, their agents, employees, or representatives shall be resolved first by negotiation between senior-level personnel from each Party duly authorized to execute settlement agreements. Upon mutual agreement of the Parties, the Parties may invite an independent, disinterested mediator to assist in the negotiated settlement discussion. b. If the Parties are unable to resolve the dispute within ninety (90) days from the date the dispute was first raised, then such dispute may only be resolved in a court of competent jurisdiction in compliance with the Choice of Law provisions of this Agreement. This provision shall not have the effect of altering the statute of limitations applicable to the claim, controversy, or dispute under applicable law. 14. No Assignment. Except as provided in this Agreement, neither Party may subcontract, assign, or delegate any of its rights or obligations under this Agreement without the prior written consent of the other Party. 15. No Third-Party Beneficiary. The terms and provisions of this Agreement are intended solely for the benefit of each Party and their respective successors and permitted assigns. It is not the Parties’ intent to confer third-party beneficiary rights upon any other person or entity. 16. Choice of Law. This Agreement shall be governed, construed, and enforced in accordance with the laws of the Commonwealth of Virginia without regard to conflict of law provisions. The Parties agree that the exclusive jurisdiction for any litigation between them related to this Agreement shall be in the courts of Roanoke County, Virginia. 17. Non-Waiver. Failure by either Party to insist on strict compliance with any of the terms or conditions of this Agreement by the other Party shall not be construed to be a waiver thereof, and does not limit the non-breaching Party's right to enforce such terms or conditions or to pursue any available legal or equitable rights in the event of any subsequent default or breach. 18. Severability. If any portion of this Agreement is held to be void or unenforceable, the balance of the Agreement shall continue in effect. 19. Counterparts. This Agreement may be executed in any number of counterpart copies, each of which when executed and delivered shall be deemed to be an original and all of which counterparts when taken together shall constitute a single instrument. Facsimile, electronic, or scanned signatures shall be binding as originals in accordance with the Virginia Uniform Electronic Transactions Act, Va. Code §§ 59.1-479, et seq. 20. Notices and Communications. AT A REGULAR MEETING OF THE VINTON TOWN COUNCIL, HELD ON TUESDAY, MARCH 17, 2026, AT 6:00 P.M., IN THE COUNCIL CHAMBERS OF THE VINTON MUNICIPAL BUILDING, 311 SOUTH POLLARD STREET, VINTON, VIRGINIA, 24179. WHEREAS, on April 7, 2020, the Vinton Town Council authorized the sale of the historic Gish Mill property located at 350 Gus Nicks Blvd. in the Town of Vinton to Gish Mill Davii, LLC, which is planning to redevelop the property into a mixed-use commercial, residential and retail development known as the Gish Mill Redevelopment Project; and WHEREAS, water utility infrastructure improvements are needed to provide the water pressure, capacity, and fire flow necessary for the Gish Mill Redevelopment Project; and WHEREAS, the Western Virginia Water Authority (“WVWA”) is willing to design and construct water line infrastructure improvements in the vicinity of Gus Nicks Blvd. and the Gish Mill property; and WHEREAS, the Town Manager has advised Town Council, and Town Council hereby finds, that the water utility infrastructure improvements the WVWA has offered to design and construct in the vicinity of Gus Nicks Blvd. and the Gish Mill property will benefit not only the Gish Mill Redevelopment Project, but they also will provide improved residential and commercial water supply and fire flow for properties located along Highland Road, Wayne Street, and Marlou Street, as well as the Billy Byrd Apartments, all of which are located within the Town; and WHEREAS, the Town Manager has advised Town Council, and Town Council hereby finds, that the construction of the water utility infrastructure improvements in the vicinity of Gus Nicks Blvd. and the Gish Mill property as designed by the WVWA will provide substantial public benefits, enhance public infrastructure, provide improved fire protection, and support economic development and revitalization in the Town; and WHEREAS, based on the foregoing, Town Council finds it is in the best interests of the Town and its citizens to fund the construction of the water utility infrastructure improvements in the vicinity of Gus Nicks Blvd. and the Gish Mill property. NOW, THEREFORE, BE IT RESOLVED by the Vinton Town Council as follows: 1. Town Council approves the Gus Nicks and Gish Mill Water Improvements Reimbursement Agreement with the Western Virginia Water Authority, in substantially the same form as attached hereto, for the public purposes of designing and constructing water utility improvements, enhancing fire protection, and supporting economic development and revitalization, as described in the recitals of this Resolution and the recitals to the Agreement. 2 2. Town Council authorizes and directs the Town Manager to execute and deliver the Gus Nicks and Gish Mill Water Improvements Reimbursement Agreement to the Western Virginia Water Authority, in substantially the same form as attached hereto, with such additions, deletions, modifications, and amendments as the Town Manager deems reasonable, in his sole discretion. 3. Town Council authorizes and directs the Town Manager to perform all such other acts, and execute and deliver all such additional documents, as he deems reasonably necessary to carry out the purposes of this Resolution. 4. The recitals to this Resolution are incorporated by reference and are declared to be the findings of Town Council in connection with its decision to adopt this Resolution.
